Ms. Jones joins Frantz Ward as an associate in the Labor and Employment group. Ms. Jones received her law degree from The Ohio State University Moritz College of Law, when she was Editor-in-Chief of the Ohio State Journal of Criminal Law. Ms. Jones received her undergraduate degree from Duke University. She will focus on representing primarily employers in all aspects of employment law and labor relations.

Jenner & Block LLP

Jenner & Block Represents Sam Zell in Tribune Co. Sale
Jenner & Block client Sam Zell is sponsoring the widely reported going private transaction involving the Tribune Company, in which shareholders will receive $34 per share in a complex two-stage transaction. Jenner & Block is the lead law firm representing Mr. Zell in the deal.

According to a company statement, upon completion of the transaction, the company will be privately held, with an Employee Stock Ownership Plan holding all of Tribune’s then-outstanding common stock and Mr. Zell holding a subordinated note and a warrant entitling him to acquire 40 percent of Tribune’s common stock. Mr. Zell will join the Tribune board upon completion of his initial investment and will become chairman when the merger closes.

Redecard in $2 Billion Brazilian IPO
Cleary Gottlieb represented Citigroup, Unibanco and Itaú as underwriters in the Rule 144A/Reg S offering of 150,827,527 shares of common stock of Redecard S.A., considered to be one of the biggest equity offerings on the São Paulo Stock Exchange. This offering, which closed on July 17, was Redecard's first equity offering in the Brazilian and international capital markets and raised approximately $200 million for Redecard S.A. and $1.8 billion for Banco Citibank S.A., Unibanco Participações Societárias S.A. and Banco Itaucard S.A. as selling shareholders.

Redecard is a leading merchant acquiring and payment processing company in Brazil and is currently the only authorized dealer of MasterCard and Diners Club cards in Brazil.

Citigroup Global Markets Inc./Citigroup Global Markets Brasil, Corretora de Câmbio, Títulos e Valores Mobiliários S.A., Unibanco Securities Inc./Unibanco - União de Bancos Brasileiros S.A. and Itaú Securities, Inc./Banco Itaú BBA S.A. acted as joint bookrunners.

Goldman Sachs in Insurance Company Minority Buyout
Cleary Gottlieb is representing Goldman, Sachs & Co., as financial advisor to Alfa Mutual in its proposal, announced July 17, to acquire the publicly-held shares of its subsidiary, Alfa Corporation, for $17.60 per share. A Special Committee of Alfa Corporation’s Board of Directors is reviewing the proposal.

Both Alfa Mutual and Alfa Corporation are engaged in a spectrum of insurance and financing activities. Alfa Mutual beneficially owns approximately 55% of the common stock of Alfa Corporation.

Loyens & Loeff advises in the largest ever Dutch CMBS transaction
Loyens & Loeff has acted as legal adviser to FGH Bank in the largest ever CMBS transaction in the Netherlands, Skyline 2007. The portfolio is extremely diverse, consisting of a large number of underlying commercial property loans involving more than 4,500 commercial properties.

This CMBS (Commercial Mortgage-Backed Securities) transaction - completed in June 2007 and one of the largest European commercial property transactions - is a first for FGH Bank which, in this way, hopes to manage its economic capital efficiently and attain further growth. Forming part of Rabo Bouwfonds, an international property company of the Rabobank Group, FGH Bank specialises in commercial property finance.
