Thirty-Four Thelen Partners Named Northern California Super Lawyers

Thelen Represents Morgan Stanley and Credit Suisse in $1.3 Billion Sale Leaseback Transaction
Thelen Reid Brown Raysman & Steiner LLP has helped close a deal for Morgan Stanley & Co. Incorporated and Credit Suisse Securities worth a total of $1.3 billion. Thelen represented Morgan Stanley (as sole structuring agent and joint-bookrunner) and Credit Suisse (as joint-bookrunner), where both clients represented Barclays Capital, Citigroup Global Markets, J.P. Morgan Securities, and Lehman Brothers in the initial purchase of approximately $1.135 billion aggregate principal amount of Bruce Mansfield Unit 1 2007 Pass Through Trust 6.85% Certificates, due 2034. The Certificates are part of a sale leaseback of a generating unit at FirstEnergy's Bruce Mansfield Plant.

The Bruce Mansfield Plant is a three-unit, fully-scrubbed, 2,460 MW coal-fired generating facility located in Shippingport, Pennsylvania, and it is owned by FirstEnergy Generation Corp., an affiliate of FirstEnergy Corp. Thelen regularly acts as counsel to the underwriters and initial purchasers of FirstEnergy system company securities and also represents FirstEnergy on transactional and regulatory matters.

The Certificates, which are secured obligations, were initially offered to qualified institutional buyers pursuant to Rule 144A of the Securities Act of 1933, as amended, to non-U.S. persons pursuant to Regulation S of the Securities Act, and to institutions that are accredited investors. Under a related registration rights agreement, FirstEnergy Generation will file a registration statement with the Securities and Exchange Commission to exchange the Certificates for registered Certificates or to permit the public resale of the Certificates.

The Thelen team was led by New York Business and Finance partners Doug Davidson, John Hood, and Kim Reisler. Associates Jennifer Goldberg, Binh-Minh Ha, and Daniel Borden managed the documentation for the transaction; and Binh-Minh Ha, Dan Borden, Josh Gelfand, and Ying Li handled the due diligence. Washington, DC partner Jim Mitchell and San Francisco partner Kerry Shea consulted on the regulatory and environmental issues, respectively.

Prominent New Jersey Lobbyist Joins Stradley Ronon
Prominent New Jersey lobbyist Andrew Weber has joined Stradley Ronon’s Cherry Hill office as of counsel in the firm’s government and public affairs practice group.

With more than 25 years of experience in local, state and federal government –including representing clients before numerous government agencies, and assisting cities and municipalities with economic development and other related issues – Weber will oversee government and public affairs initiatives for the firm’s New Jersey clients.

“Andrew’s presence has brought a whole new dimension to our government affairs practice,” said Stradley Ronon Chairman William R. Sasso. “His knowledge of New Jersey government and his wealth of relationships from his years in state government will serve our clients extremely well.”

“I am excited to put my 25 years of government experience to work for Stradley Ronon and its clients, and to continue to build on the firm’s established and growing government and public affairs practice in Pennsylvania, New Jersey, Delaware and Washington, D.C.,” said Weber.

Weber currently serves as general counsel to the New Jersey Conference of Mayors where he co-authored the New Jersey Municipal Tax Lien Program. Weber previously served as Chief Counsel to former N.J. Gov. Jim Florio.

He serves on the board of trustees of the Philharmonic of South Jersey and is chairman of the South Jersey Workplace Partnership for Life.

Weber received his law degree from Capital University Law School and his undergraduate degree from Fairleigh Dickinson University in Madison, N.J.

Prior to his work with Gov. Florio, Weber was commissioner of personnel as well as a member of the Executive Commission on Ethical Standards, both for the State of New Jersey. He was also Gloucester County Counsel for 15 years, and served as president of the N.J. County Counsel Association. In 1992, he was appointed chairman of the Casino Reinvestment Development Authority.

Weber was also the co-founder and general counsel to the National Tax Lien Association. His other appointments include serving as a member of the Industry Sector Advisory Committee for the U.S. Trade Policy (as appointed by the U.S. Secretary of Commerce and the Office of the U.S. Trade Representative); special finance counsel to Washington, D.C.; the board of directors for the New Jersey Academy for Aquatic Sciences; the board of trustees for Cooper Hospital; and the board of trustees of Richard Stockton College of New Jersey.

He is an adjunct professor at Fairleigh Dickinson University in the Certified Public Manager Program.

Schiff Hardin LLP Welcomes Todd R. Eskelsen as a Partner in the Corporate Group of the Washington DC Office
Todd R. Eskelsen has joined Schiff Hardin LLP as a partner in the Corporate and Securities Group from Sonnenschein Nath & Rosenthal LLP (Washington, DC) where he was a corporate partner.

Mr. Eskelsen has extensive experience representing sole proprietorships, corporations, partnerships, limited liability companies, and cooperatives in all phases of business organization, corporate and financial transactions, and day-to-day operations. As the chief legal advisor to many of his clients, Mr. Eskelsen is regularly involved in significant litigations, overall corporate strategies, and implementation of business initiatives. Mr. Eskelsen has also represented buyers, sellers, lenders and borrowers in the acquisition and financing of real estate.

Mr. Eskelsen regularly advises clients on mergers and acquisitions, joint ventures, and other major business initiatives, most recently including transactions in the insurance, dairy, temporary staffing, imaging devices, and newspaper industries. Such transactions have involved antitrust, securities, environmental, employment, technology, corporate governance, financial, and risk management considerations and filings and negotiations with independent rating entities and state and federal regulatory agencies including state insurance departments, the U.S. Department of Justice, the Securities Exchange Commission, and others. The breadth of Mr. Eskelsen's acquisition experience has provided him with expertise and practical challenges from which to creatively develop solutions to the most difficult situations.

Mr. Eskelsen also represents buyers, sellers, lenders and borrowers in the acquisition and financing of real estate and has represented major national lenders in secured and unsecured financings involving real estate, stock pledges, assignments of tax sharing payments and other collateral, and in the workout of secured and unsecured loans. He currently represents the independent corporate instrumentality of a local governmental jurisdiction tasked with redevelopment of government-owned real estate properties within the jurisdiction.

As principal outside counsel to one of the country’s largest grain processing and marketing cooperatives, Mr. Eskelsen has advised on legal issues arising in all parts of its business, including a major acquisition and reorganization involving 23 affiliated cooperatives and a subsequent IRS tax audit, a nationwide recall by a major food manufacturer, and several joint ventures involving domestic and foreign partners in processing, manufacturing, and marketing activities.

Mr. Eskelsen is primary U.S. counsel to a London Stock Exchange-traded temporary staffing company with operations in approximately 25 U.S. states, advising on acquisitions, corporate financings and reorganizations.

As a primary outside counsel to a midwestern state farm bureau and its more than 50 affiliated companies, Mr. Eskelsen has advised this client on foreign and domestic acquisitions and divestitures, securities issues, and its complicated organizational structure.

Mr. Eskelsen also serves on the Executive Committee of the Legal, Tax and Accounting Committee (LTA) of the National Counsel of Farmer Cooperatives and as the Chairman of the LTA's Standing Subcommittee on Securities. He also is Chair and Director of the National Philharmonic Orchestra & Chorale. Mr. Eskelsen serves as the outside (pro bono) counsel to several charitable groups in the Washington, D.C. area.

Pepper Hamilton Receives NLADA Beacon of Justice Award
Pepper Hamilton LLP recently received the Beacon of Justice Award from the National Legal Aid & Defender Association (NLADA) in honor of its commitment to pro bono services on behalf of detainees at Guantanamo Bay. The award was presented to Pepper and other law firms during NLADA’s 2007 Exemplar Awards Dinner on June 12, 2007, and accepted on behalf of the firm by partner Charles H. Carpenter.

The awards dinner drew more than 450 guests from 80 corporations and law firms. Law firms from across the nation that provided pro bono representation to detainees at Guantanamo Bay were honored for their commitment to providing justice for all.

Lawyers from Pepper’s Washington, D.C., and Philadelphia offices are involved in the representation. They include Mr. Carpenter, Christopher Huber and Jason Karasik.

Mr. Carpenter is a partner in Pepper’s Washington, D.C. office, where he concentrates his practice in administrative and regulatory litigation, with special emphasis on the regulations applicable to government contracts and consumer finance.

Mr. Huber is a partner in Pepper’s Philadelphia office, where he concentrates his practices on securities fraud and antitrust litigation, with a special emphasis on class action litigation.

Mr. Karasik is an associate in the Commercial Litigation Group in Pepper’s Philadelphia office.

Damon G. Tyner Named to Atlantic City Regional Mainland Chamber of Commerce Board of Directors
Parker McCay attorney Damon G. Tyner was recently named to the Atlantic City Regional Mainland Chamber of Commerce Board of Directors.

Mr. Tyner will serve on the Board for the 2007-2008 term. As a director, he will participate in directing Chamber policy and procedures, approving its budget and spending, overseeing various committees and ensuring the Chamber fulfills its purpose of fostering economic growth and a positive business climate in Atlantic County.

Mr. Tyner serves as managing counsel of Parker McCay’s West Atlantic City office. His practice consists of real estate development, zoning and planning issues, land use matters, municipal law and education law.
