James Holland Appointed to the Board of Directors for Goodwill of Central Arizona, Inc.
James E. Holland, Jr., an associate in the firm's Business Litigation Division, was recently elected to a three-year term on the board of directors for Goodwill of Central Arizona, Inc. As one of the oldest and largest non-profit agencies in Arizona, Goodwill of Central Arizona is nationally recognized as the leader in empowering people to achieve their highest level of personal and economic independence. Goodwill provides job training and career and social services to those with vocational barriers that can include physical and emotional disadvantages, welfare dependency, illiteracy and age.

"I am grateful for the opportunity to serve on the board of Goodwill of Central Arizona and support its mission and valuable work in the state of Arizona," Holland said.

Holland focuses his practice on business litigation and has considerable experience in construction litigation, insurance defense and election law. He has represented local municipalities, contractors, insurers and owners in complex construction litigation, including construction defects, contract disputes, wrongful termination and claims for equitable adjustment of construction contracts. Holland has also been actively involved in the Boy Scouts of America for many years.

Nixon Peabody Survey Finds Optimism, Challenges in Robust IPO Market
In other key findings, a majority of senior executives reported that their companies are now trading higher than their first day close and, in over half of the transactions surveyed, management and existing shareholders did not cash out their equity stakes, further proof of the overall favorable climate for IPOs. According to the survey, increased access to capital was the primary reason for going public.

“Although the U.S. IPO market has a long way to go before approaching the high water mark set during the first quarter of 2000— when there were 137 IPOs raising a total of $21.8 billion— favorable IPO market conditions are expected to continue for the foreseeable future,” said John C. Partigan, partner and Securities Practice Group leader, Nixon Peabody LLP.

The U.S. IPO market rebounded in 2006 and, despite the spotlight on M&A and private equity, has continued its strong trajectory in Q1 2007, seeing a seven-year record high in terms of volume and proceeds. Building on this growth, 81 percent of the executives surveyed believe that the amount of capital raised through IPOs during the next 12 months will increase or remain the same. These executives expect the NASDAQ and the London Stock Exchange (AIM) to see the most IPO listings this year, despite talk of Hong Kong dominating the market.

Underscoring the importance of venture capital in funding emerging companies, 52 percent of respondent companies were backed by venture capital. “For emerging and venture-backed companies, the IPO market remains highly attractive, both as a source of additional capital to finance continued growth and expansion and as a means of providing liquidity to founding shareholders and backers,” said Jonathan R. Karis, partner and Venture Capital Emerging Growth & Technology Practice Group leader, Nixon Peabody LLP.

Despite the strong optimism on the outlook for the IPO market, respondents also see challenges facing companies as they prepare for and go through the IPO process. Attracting qualified independent directors was seen as the biggest corporate governance challenge facing emerging companies. Respondents faced a range of challenging accounting issues, including auditing of prior accounting periods by new auditors and advance compliance with Sarbanes-Oxley requirements. Regulation is a major concern to respondents and 73 percent feel that Sarbanes-Oxley imposes an excessive degree of regulation and transparency on companies.

In addition to the survey findings, IPO Executive Insights also provides commentary on London’s Alternative Investment Market (AIM), and points out the hidden challenges of listing on the lightly regulated exchange, including Exchange Act compliance and poor post-IPO performance.

W. Leighton Lord III, Chairman of the Board of Nexsen Pruet, has been elected Chair of the Midlands section of the Urban Land Institute (ULI) and will serve on the organization’s statewide executive committee.

With more than 36,000 members in 90 countries, ULI provides leadership in the responsible use of land and in creating and sustaining thriving communities worldwide. It reflects the entire spectrum of land use and real estate development disciplines, and works in both private enterprise and public service.

The South Carolina District Council, which has over 375 members, focuses on issues related to quality of growth and development, pursuing a statewide vision for responsible land use in recognition of the distinct qualities of the Upstate, the Midlands, and the Coastal regions of South Carolina.

At Nexsen Pruet, Lord practices in the areas of real estate, partnership and corporate law, with a special emphasis on real estate finance, real estate development, commercial leasing, and state land sale registrations.
