T&K Attorney Appointed to Texas Board of Legal Specialization Commission
The international law firm of Thompson & Knight LLP is pleased to congratulate Michael J. Byrd on his appointment by the Texas Board of Legal Specialization (TBLS) to serve on the Oil, Gas, and Mineral Law Exam Commission, which writes, edits, and grades the Board Certification exams for that legal specialty.

Board Certification is a voluntary designation program for attorneys and legal assistants. Initial certification is valid for a period of five years and involves, among various other criteria, a four-hour written examination. To remain certified, an attorney must apply for re-certification every five years and meet substantial involvement, peer review, and continuing legal education requirements for the specialty area.

Byrd is a Partner in the Oil and Gas Practice Group in the Firm's Houston office. He represents clients in all phases and sizes of acquisitions and divestitures of producing properties and oil and gas companies and provides advice and prepares agreements covering a variety of upstream transactions. Byrd has prepared more than 1,000 title opinions covering both onshore and offshore properties and is Board Certified in Oil, Gas, and Mineral Law by the Texas Board of Legal Specialization. Byrd is also a member of the Oil, Gas, and Mineral Law Advisory Commission, which reviews and approves the applicants for the TBLS certification and re-certification, and is licensed in Texas and Louisiana.

DLA Piper advises Ebro Puleva on the acquisition of Birkel
DLA Piper advised Ebro Puleva SA, the leading Spanish food multinational, on the €30m acquisition of Germany's prime pasta producer, Birkel Teigwaren GmbH ("Birkel"). The sale is subject to approval by German antitrust authorities.

Ebro Puleva SA owns strong rice, pasta, sugar and value-added dairy products brands. The group's production facilities are mainly located in Spain, but it also has manufacturing and sales operations in over twenty countries.

With the acquisition of Birkel, Ebro Puleva's fourth transaction in the pasta segment in less than two years, the group continues to pursue its strategy of becoming the worldwide leader in the pasta market. Ebro Puleva also strengthens its position in Germany, where it is already present through its rice subsidiary Euryza.

DLA Piper Corporate partner Abdul Aziz Al-Yaqout said: "What makes this deal special is that we achieved signing within a very short time-frame after we were chosen to work for Ebro Puleva."

Jennifer Coberly Elected to Top Ethics Position in Florida Bar
Jennifer Rae Coberly was appointed chair of the Florida Bar's Board Review Committee on Professional Ethics. Ms. Coberly was also reelected to her fourth term on the Florida Bar Board of Governors.

The Board Review Committee on Professional Ethics is the ultimate arbiter of all ethical issues within the Florida Bar. It is composed of at least seven members of the Board and makes preliminary review of advisory ethics opinions appealed to the Board of Governors from the Professional Ethics Committee and advisory advertising opinions appealed to the Board from the Standing Committee on Advertising. The committee votes to affirm, modify or withdraw the advisory opinion and the decision is then reported to the full Board of Governors for approval or modification.

Wilson Sonsini Goodrich & Rosati Expands Media Practice
Wilson Sonsini Goodrich & Rosati, the premier provider of legal services to technology, life sciences, and growth enterprises worldwide, today announced that Gary R. Greenstein has joined the firm as Of Counsel in its media practice. Based in the firm's Washington, D.C., office, Greenstein's practice will focus on assisting companies in acquiring licenses for the distribution and use of intellectual property.

"Gary has had a remarkable career as a legal adviser in the digital media area," said partner Catherine Kirkman. "His knowledge and experience will be a great asset to our existing media practice, especially in the music and entertainment field, and help us to better meet our clients' needs in this vibrant and increasingly important area."

Prior to joining Wilson Sonsini Goodrich & Rosati, Greenstein served as general counsel at SoundExchange, where he was responsible for all corporate matters, including tax, compliance, and governance issues. He developed enforcement strategies that reduced infringement of music on the Internet, as well as industry-wide strategies for litigation before the Copyright Royalty Board. Before joining SoundExchange, Greenstein was vice president of business and legal affairs at the Recording Industry Association of America (RIAA), where he negotiated and drafted licensing agreements for webcasters and satellite radio services, managed complex arbitrations before Copyright Arbitration Royalty Panels, and prepared proposed legislation, regulations, and congressional testimony.

Before joining the RIAA, Greenstein was an associate in the Washington, D.C., office of Arnold & Porter, where he represented Major League Baseball on numerous matters before the U.S. Copyright Office. He also served as outside counsel to the music industry, specializing in statutory and non-statutory licensing matters for the use of sound recordings in digital media. Greenstein received his J.D. from George Washington University Law School in 1996 and earned a B.A. in history from the University of Pennsylvania in 1987.

Saint-Gobain to Acquire Owens Corning’s Siding Solutions Business
Davis Polk & Wardwell is advising Compagnie de Saint-Gobain on its acquisition of Owens Corning’s Siding Solutions business. Based in Ohio, Owens Corning is a world leader in building materials systems and composite solutions. Based in France, Saint-Gobain is a leading producer of flat glass, glass packaging, insulation, building materials, fiber glass reinforcements, abrasives, high-performance plastics, industrial ceramics and pipe.

Under the terms of the transaction, Saint-Gobain will acquire Owens Corning’s Siding Solutions business, including the Norandex/Reynolds distribution business, for $371 million in cash. The transaction is expected to close by the end of the third quarter of 2007.

The Davis Polk corporate team includes partner Carole Schiffman, associates Scott D. Mitnick, Natacha Marty and Tyler W. Thorn and summer associate Carlo M. Caponi. Weil Gotshal Ranked Number 2 for Canadian M&A in the First Half of 2007
Weil, Gotshal & Manges LLP was ranked number 2 for Canadian M&A in the first half of 2007 by The Globe and Mail (Canada). The publication also cited Weil Gotshal for its involvement in the leveraged buyout of Bell Canada, which was reported as being the largest leveraged buyout in history. The firm represented an investor group comprised of Providence Equity Partners, the Ontario Teachers' Pension Plan Private Capital Group, Madison Dearborn Partners and other Canadian investors in the transaction. The buyout was valued at $51.7 billion Canadian dollars or $48.5 billion US.

Fennemore Craig Expands Business and Finance Practice and Estate Planning Practice
Business and Finance attorneys Joseph Parker and Leonardo Loo have joined Fennemore Craig as shareholders in the Business and Finance Practice Group. David Haga, a leading estate planning attorney, has joined the firm’s Estate Planning Practice as well.

Parker is experienced in corporate and tax law, accounting and finance. He represents clients in business transactions, mergers, asset sales, stock sales and joint ventures, as well as federal tax planning matters and IRS controversy matters. Prior to joining Fennemore Craig, Parker was with Gallagher & Kennedy in Phoenix.

He earned his juris doctorate from Arizona State University. He also holds a bachelor’s degree in accountancy from ASU.
Loo represents clients in business transactions, mergers and acquisitions, private offerings, financings and general corporate and securities law matters. He formerly was with Gallagher & Kennedy in Phoenix before joining Fennemore Craig.

Loo is a graduate of the University of Chicago Law School. He earned a bachelor’s degree in economics and international relations from Stanford University.

David Haga has joined Fennemore Craig as of counsel in the Estate Planning Practice Group. Haga practices in the areas of federal tax, trusts and estates, wills, corporate and business law. Prior to joining Fennemore Craig, Haga was with Gallagher & Kennedy.

Haga has an AV rating from Martindale-Hubble, the highest peer review rating. He holds a law degree with an emphasis in taxation from New York University
