Sheila Bjorklund - A Woman to Watch
Sheila Bjorklund, a Lommen Abdo partner, was presented with a Woman to Watch Award by the Minneapolis/St. Paul Business Journal. Sheila was nominated in part because of her work in the Omnibus Autism Proceeding in June of this year. Prior to becoming an attorney, Sheila was a public health nurse and worked in the health care industry. Twenty-five awards were given to women in the Twin Cities area. The attached feature article appeared in the July 27th edition of the Business Journal highlighting Sheila’s work. The attached ad also appeared in that issue.

Coolidge Mourns Passing of Shareholder and Friend
Janice Marie Paulus, 47, died on July 20, 2007. Janice was born on August 11, 1959, the daughter of Laura and Norman Paulus. She joined the firm on September 15, 1987, and became its first female shareholder on July 1, 1991.

Janice graduated from The Ohio State University in 1980. At the University of Dayton School of Law, she graduated as valedictorian of her class in 1985. When she took the Ohio bar in the summer of 1985, she placed 2nd in the State of Ohio.

At the firm, she practiced commercial litigation. Her research and writing talents were legendary at the firm, in front of the judiciary and throughout the bar. A search of West Law or LEXIS will generate a long list of significant cases in which Janice Paulus was the attorney of record.

Outside the firm, Janice Paulus spearheaded the efforts to create the City of Clayton, served on its City Council at its inception and continued thereon for a total of eight years. She played an integral part in getting the Clayton Charter adopted, and headed the Town Center Committee that successfully promoted the urban development of Clayton.

Within the Dayton legal community, Janice Paulus served as the first woman trustee of the Dayton Law Library Board of Trustees. She also chaired the Dayton Bar Association Judiciary Committee.

Bingham mourns loss of partner, mentor, friend Tina Brozman
New York partner Tina Brozman, co-leader of Bingham’s financial restructuring group and deputy chair of the financial institutions area, died June 26 after a two-year battle with ovarian cancer. She was 54.

Brozman is the former chief judge of the U.S. Bankruptcy Court for the Southern District of New York. She retired from the bench in 2000 to join Bingham.

“Tina was an extraordinary friend, partner, jurist, lawyer, mentor, wife and mother,” said Bingham Chairman Jay Zimmerman. “All of us whose lives she has touched will never be the same.”

In 1985, at age 32, Brozman became the youngest bankruptcy lawyer appointed to the Second Circuit. During her time on the bench, she issued more than 150 decisions, many of which had a major impact on bankruptcies involving multinational corporations.

Brozman was a judge on the 1991 bankruptcy case of the British company Maxwell Communication Corp., the former parent of the New York Daily News. The work involved significant proceedings between New York and London, and Brozman’s cooperation with Lord Leonard Hoffman of the High Court of England helped define the standard for multinational bankruptcies.

The United Nations later adopted policies Brozman set out in that case for its model law on cross-border insolvencies. The Chapter 15 addition to the U.S. Bankruptcy Code in 2005 also was based on Brozman’s work in the Maxwell insolvency.

“Tina was and always will be a guiding light for this office,” said Bingham’s New York Managing Partner Robert Dombroff. “From the day she started at Bingham, we all valued her presence as a lawyer who was held in the highest esteem by her colleagues throughout the world.”

Brozman transferred her negotiation and legal skills from the bench to private practice when she joined Bingham.

Most recently, Brozman led a team of lawyers who sorted through the multibillion-dollar Refco restructuring. The court-appointed trustee asked Brozman to provide legal counsel because of her experience, and despite having been diagnosed with ovarian cancer, she told him she would devote “every well hour” she had to the case.

Within 10 weeks, and after working with nearly 30 lawyers from different parties, Brozman and her team had worked out a settlement in the case.

In addition to her legal knowledge, Brozman’s colleagues remember her dedication to others and her ability to find ways to improve her profession, even while undergoing cancer treatments.

“What was most remarkable to me,” Dombroff said, “was that in every conversation we had during the last year, I would begin by asking what we could do for her, and she would reply by asking how she could do more to help others. Even during her most difficult personal moments, she remained rock-steady and directed her concern to the well-being of others.”

Her work did not go unnoticed by those outside the firm.

Brozman was recently named one of the 50 Most Influential Women Lawyers in America by The National Law Journal. In May, the UJA-Federation of New York’s bankruptcy and reorganization group unanimously selected Brozman as the 2007 recipient of the Professor Lawrence P. King Award for her contributions to the bankruptcy field.

“Professional recognition barely scratches the surface of Tina’s value to our office,” Dombroff said. “So long as we hold Tina in our memory, it is a value that should not diminish over time.”

Brozman is survived by her husband, Andrew, her son, Nicholas, 24, and her twin daughters Alix and Wallis, 20.

Edward A. Hogan Listed in International Who's Who of Environmental Lawyers 2007
Edward A. Hogan, a member of the Somerville law firm Norris McLaughlin & Marcus, P.A., has been selected for inclusion in the International Who’s Who of Environmental Lawyers 2007 (3rd Edition).

Hogan was nominated for this award by his peers as one of the USA’s leading practitioners in the environmental field. Nominees were selected based upon comprehensive, independent survey work with both general counsel and environmental lawyers in private practice worldwide. Only specialists who met independent international research criteria were chosen. Hogan is one of 370 lawyers to be selected for this honor.

As co-chair of the Norris McLaughlin & Marcus Environmental Law Group, Hogan devotes his practice to environmental law and litigation, counseling manufacturers, commercial and industrial landlords and highly-regulated service businesses in all aspects of environmental law and litigation. He has written and co-authored many articles and alerts on the subject of environmental law. He has also presented seminars and presentations on the subject since 1983.

Hogan is or has served as Chairman of the Environmental Law Section of the New Jersey State Bar Association, the New Jersey OSHA & Business Communication Alliance, the Technical Regulations Advisory Coalition, and the Environmental Committees of the Commerce and Industry Association of New Jersey, the Ironbound Business Association, and the New Jersey Business and Industry Association.

Hogan earned his J.D. from Georgetown University, his M.F.S. from Yale University School of Forestry and Environmental Studies and his B.S. from Saint Peter’s College. He is listed in the Environmental Law section of the 2006 edition of The Best Lawyers In America.

White & Case Advises on the Largest Public to Private LBO in Singapore
White & Case advised Credit Suisse, Singapore Branch, Deutsche Bank AG, Hong Kong Branch and J.P. Morgan Securities (Asia Pacific) Limited as joint mandated lead arrangers of the financing for the largest public-to-private leveraged buyout (LBO) financing transaction completed in Singapore to date.

The financing consisted of a $600 million credit facility provided by a syndicate of lenders arranged by the joint mandated lead arrangers to MMI International Ltd., a Labuan company formed by Kohlberg Kravis Roberts funds and certain management investors, to take private MMI Holdings Limited, a Singapore publicly listed company which engages in the manufacture of precision engineering components and electro-mechanical modules.

"The Asian LBO market is continuing to develop. Both sponsors and the leveraged finance teams of major investment banks have built out their capabilities in Asia in recent years and we have seen increasing volumes of deal flow. With the LBO markets in both Europe and the USA being extremely competitive, more and more eyes are turning to Asia in search of new targets and higher levels of potential return," commented Chen Guan Feng, the lead White & Case lawyer on the transaction.

Lawyers from White & Case's Singapore, Bangkok, Hong Kong, London and New York offices advised the joint lead arrangers with the team including Chen Guan Feng, Han Xu, Hemali Mehta, Elaine Ho (Singapore), Sunyaluck Chaikajornwat, Troy Schooneman, Nanakorn Kulachet (Bangkok), Mark Fairbairn, Bronwen May (Hong Kong), Christopher Kandel, Kate Allchurch (London), Eric Leicht and Jake Mincemoyer (New York).

As well as this transaction, White & Case's extensive LBO experience in Asia includes representing Deutsche Bank in connection with the financing arrangements for SoftBank's acquisition of Vodafone's Japanese mobile telephony operations — the largest LBO in Asia and one of the few in the Japanese market; representation of Deutsche Bank as one of the mandated lead arrangers in a loan to True Corporation to finance its acquisition of the shares of United Broadcasting Corporation — Thailand's first voluntary public to private LBO transaction; and representation of Asian funds group Pacific Alliance in the first ever leveraged buyout of a Chinese business — the acquisition of Goodbaby Group, one of the world's largest makers of baby strollers and children's products.

White & Case Continues European Capital Markets Expansion with Addition of US Capital Markets Partner in Germany
White & Case is continuing the rapid expansion of its European Capital Markets Practice with its sixth major arrival since the beginning of the year. US-qualified capital markets local partner James Black joins the Firm in Frankfurt, bringing with him ten years of experience in both equity and debt capital markets. James is fluent in both English and German.

"James's arrival demonstrates our commitment to expanding our already significant capital markets team. His arrival will enable us to serve our clients even better, particularly through his US capital markets capabilities," commented Markus Hauptmann, executive partner of White & Case in Frankfurt.

So far this year, White & Case's European Capital Markets Practice has seen the addition of partner Lutz Krämer and local partner Benedikt Gillessen in Frankfurt, as well as partners Andrew Caunt, Andrew Croxford and Carter Brod in London. Additionally London corporate and equity capital markets lawyer Greg Stonefield was promoted to partner at the beginning of 2007.

James is particularly experienced in both domestic German and international equity and debt transactions, as well as mergers and acquisitions. He regularly advises on US private placements. Most recently, he advised JP Morgan and Deutsche Bank on the initial public offering (IPO) of Alstria Office AG; Dresdner Bank on the IPO of Cat.oil AG; and UBS on an international rights offering by Holcim Ltd. All the transactions featured a Rule 144A tranche.

Three corporate attorneys join Hodgson Russ's New York office
Three attorneys have joined Hodgson Russ LLP’s New York office. They are Mark H. Peikin, a partner in the Corporate & Securities Practice Group, and Eric A. Pinero and Sebastian Weiss, associates in the Corporate & Securities Practice Group.

Mark H. Peikin concentrates his practice in corporate and securities law, including private equity and debt financing, venture capital financing, project financing, private and public securities offerings, and mergers and acquisitions. He represents issuers, underwriters, and investment banking firms in public and private securities offerings and buyers and sellers in mergers and acquisitions. Mr. Peikin has extensive experience in representing clients whose businesses are in the energy industry, including independent power producers, energy services companies, coal companies, oil and gas companies, and alternative and renewable energy companies engaged in solar power, wind power, bio-fuels, ethanol, landfill gas, clean coal, fuel cells, and waste-to-energy. He is knowledgeable about carbon emissions reductions, environmental credit trading, and energy-related tax credits and represents numerous clients regarding these issues. Mr. Peikin is also recognized for his work representing directors’ and officers’ liability insurers when their insured’s are involved in complex securities litigation. He chairs the American Bar Association Tort Trial and Insurance Practice Section’s Professionals’ Officers’ and Directors’ Liability Committee.

Eric A. Pinero concentrates his practice in corporate and securities matters, having handled a diverse range of transactions, including secondary public offerings, private equity and debt security financings, and corporate governance. His focus is on all matters relating to the organization and operation of business entities and the offer, sale, and exchange of securities. This includes the preparation and filing of periodic reports, current reports, registration statements, and other filings required by the 1933 Act and 1934 Act. Prior to joining Hodgson Russ, Mr. Pinero worked as an associate focusing in corporate and securities law for two boutique law firms in New York City.

Sebastian Weiss concentrates his practice in corporate and securities law, including corporate finance, corporate formation, corporate governance, mergers and acquisitions, 1933 Act and 1934 Act filings, and commercial transactions. While attending law school, Mr. Weiss worked as a law clerk for the Federal Deposit Insurance Corporation Receivership Litigation & Policy Section and for New York Supreme Court Judge Louise Gruner Gans.
