Edward A. Hogan to Speak About Underground Storage Tanks At NJDEP Regulatory Training Course
Edward A. Hogan, a member of the law firm of Norris McLaughlin & Marcus, P.A., headquartered in Somerville, New Jersey, will speak at a Rutgers University seminar entitled Underground Storage Tanks: NJDEP’s Regulatory Training on September 7, 2006 at the Cook Campus in New Brunswick.

The New Jersey Department of Environmental Protection’s Bureau of Underground Storage Tanks has approved this course, which meets the requirements of the state law for training required for certification or recertification of individuals who conduct work on regulated underground storage tanks in the state.

As co-chair of the Norris McLaughlin & Marcus Environmental Law Group, Hogan devotes his practice to environmental law and litigation, counseling manufacturers, commercial and industrial landlords and highly-regulated service businesses in all aspects of environmental law and litigation. He has written and co-authored many articles and alerts on the subject of environmental law. He has also presented seminars and presentations on the subject since 1983.

Hogan is or has served as Chairman of the Environmental Law Section of the New Jersey State Bar Association, the New Jersey OSHA & Business Communication Alliance, the Technical Regulations Advisory Coalition, and the Environmental Committees of the Commerce and Industry Association of New Jersey, the Ironbound Business Association, and the New Jersey Business and Industry Association.

A resident of Liberty Corner, Hogan earned his J.D. from Georgetown University, his M.F.S. from Yale University School of Forestry and Environmental Studies and his B.S. from Saint Peter’s College.

American SI Group Sells Chemtec Leuna GMBH Affiliate to Minafin S.A., France
American SI Group has sold their affiliate Chemtec Leuna Gesell-schaft für Chemie und Technologie mbH to Minafin S.A., France. The international law firm Milbank, Tweed, Hadley & McCloy LLP acted as the advisor to American SI Group, a the leading pro-ducer of phenolic resins, alkylphenols, electronic specialty chemicals, and specialty coatings.

The Milbank team representing SI Group included: Munich: Dr. Peter Nussbaum (Partner – M&A), Stefan Kroeker (Associate – M&A); New York: Charles J. Conroy (Partner – Corporate), Megan Moore (Associate – Corporate). In this cross border transaction, Milbank again brought its integrated German and US M&A capabilities to bear.

Refund opportunity for nonresidents with stock option income
On August 17, 2006, New York’s Tax Appeals Tribunal rejected the Tax Department’s long-standing formula used to calculate the portion of stock option income that is taxable to nonresidents. This methodology, which was promulgated in TSB-M-95(3)I, required nonresidents to allocate stock option income to New York based on a ratio of days worked in New York State during the option’s “grant-to-exercise” period.

In rejecting this approach, the Tribunal held that any allocation of income to New York must be limited to the year the stock option income was realized. According to the Tribunal, the Tax Department had no authority to authorize a multiple-year test.

This ruling may present a refund opportunity for nonresidents who paid tax to New York on stock option income using the “grant-to-exercise” rule. Taxpayers who are considering the exercise of options in 2006 might want to limit their time in New York for the rest of the year.

Telecom Italia Wins Another Antitrust Dismissal
Cleary Gottlieb successfully represented Telecom Italia S.p.A., Italy’s largest phone operator, against an antitrust claim filed by Telvia, an internet services provider, before the Court of Appeals of Catania. Telvia sought an interim decision ordering Telecom to modify its high-velocity broadband internet services wholesale offer or, alternatively, to cease offering internet television services.

According to Telvia, Telecom was irreparably damaging competition in the broadband internet market by offering its 20 Mbps broadband internet services to customers under conditions different from those authorized by the Italian Communications Authority and, particularly, by bundling them with internet television services at prices competitors could not match.

The Court of Catania dismissed Telvia’s action, finding that the Italian communications authority had already monitored Telecom’s offers and that Telvia’s competitive analysis was not persuasive. This was Cleary Gottlieb’s second win for Telecom in less than two months against applications to civil courts for interim reliefbased on the antitrust laws.

Partner Addresses Jurisdictional Confusion in Bankruptcy Sale Disputes
The power to sell assets free and clear of liens is a key tool available to a debtor-in-possession or trustee under the Bankruptcy Code. Post-sale disputes involving asset purchasers are fairly common, however, as are disagreements as to the proper forum in which disputes should be resolved. Bryan Cave LLP Partner Brian Walsh addresses this topic in the current issue of the American Bankruptcy Institute Journal.

Purchasers typically prefer to have issues resolved by the bankruptcy court that approved the sale, while other parties favor the courts of the state whose law applies to the substance of the dispute, Walsh said. A recent Supreme Court decision may improve the odds that a purchaser of assets from a debtor will have access to a federal forum to resolve post-sale disputes.

Walsh’s practice with Bryan Cave includes representation of debtors, secured lenders and unsecured creditors in bankruptcy cases, receiverships and workout matters, as well as bankruptcy- and insolvency-related litigation in federal and state courts.

Hogan & Hartson Advises Workflow Management, Inc. in Sale of Relizon Canada to The DATA Group
Lawyers with Hogan & Hartson LLP recently provided U.S. legal advice to Workflow Management, Inc., one of North America’s leading providers of document and business process outsourcing services, in connection with its agreement to sell 100% of the outstanding stock of Relizon Canada Inc. to The DATA Group Income Fund. Completion of the transaction is subject to the satisfaction of customary closing conditions, including the approval of Canada’s Competition Bureau. The transaction is expected to close during the third quarter of this year.

Workflow Management acquired its interest in Relizon Canada in November 2005 when it purchased The Relizon Company from The Carlyle Group. Workflow Management subsequently merged the U.S. assets of Relizon into its WorkflowOne brand and continued to operate the Canadian assets under the brand name Relizon Canada.

The Hogan & Hartson team representing Workflow Management included Lex Eley and Stacey Joslin from the New York office.
