Maslon Attorneys Lead the Way at Recent Legal Aid Fundraiser
A group of Maslon litigators raced to victory in a recent 1.25 mile run down Nicollet Mall in Minneapolis, MN to benefit Legal Aid. About 350 people participated in the race, including teams from other law firms. The Maslon team, consisting of Andre LaMere, Alison Morris, Dawn VanTassel, Jennifer Wood , and various members of their families, earned the title of Fastest Law Firm Team. In the process, they raised over $600 for Legal Aid. They will receive an award at the annual Legal Aid dinner this spring, and will be recognized in Legal Aid's 2006 annual report.

Michael K. Ligorano Included in Who's Who in American Law
The Somerville law firm Norris McLaughlin & Marcus, P.A. is pleased to announce that Michael K. Ligorano, a member of firm, has been selected for inclusion in the 2007-2008 (15th) Edition of Marquis’ Who’s Who in American Law.

For more than 100 years, Who’s Who in America has provided accurate, concise biographies of notable Americans. That was the mission of founder, Albert Nelson Marquis, who selected 8,602 distinguished people for the first edition in 1899. Today, the Marquis Who’s Who family of directories has grown to include the biographies of millions of leaders and achievers from around the world and from every significant field of endeavor. Corporate executives, journalists, personnel recruiters, librarians, researchers, students, and many others consult these information databases for in-depth information they can use with confidence.

A resident of Clinton, Ligorano focuses his practice on immigration law and land use.

Ligorano heads the Norris McLaughlin & Marcus Immigration Law Group. He has extensive experience processing all types of business and family immigration matters before the U.S. Immigration and Naturalization Service, the U.S. Department of State and other federal agencies and courts, both domestically and abroad. Ligorano has been designated as the spokesman for immigration law for the New Jersey State Bar Association Foundation.

In the area of real estate and land use, Ligorano assists land developers, construction companies, major corporations and small businesses in the evaluation of undeveloped land and all phases of the application process. He also handles zoning-related disputes, denial of land use permits, exclusionary zoning disputes, and other litigation which arises from planning and zoning processes. He has been actively involved in the local business community, most notably in Hunterdon County.

Ligorano is a member of the New Jersey, New York and Florida State Bar Associations, the American Immigration Lawyers Association and the Canon Law Society of America. He is also a Past President of the Hunterdon County Bar Association.

Ligorano regularly speaks to local business organizations on a variety of land use and immigration topics. He has authored a number of articles on these topics as well. He is very active in business and charitable organizations in Hunterdon County and was honored with the Volunteer of the Year Award by the Arc of New Jersey in 2004 for his contributions to the Arc of Hunterdon County.

American Law Institute Elects Sedgwick Partner to Membership
Sedgwick, Detert, Moran and Arnold LLP announced that Chicago Partner Kirk Jenkins has been elected to membership in the American Law Institute (ALI). For more than eighty years, ALI has served as a leading resource for legal research, analysis, and authoritative texts. Its mission is to reduce the variations and complexity of the law in order to improve the administration of justice. Membership is composed of judges, attorneys, and legal scholars from the United States and two dozen foreign countries who are selected based on professional performance and a demonstrated commitment to improving the law.

"As an appellate attorney, I understand that clarity and uniformity of the law is the foundation of our justice system," said Jenkins. "The ALI's contribution to that goal has been immeasurable, and I am honored to have the opportunity to help continue that tradition."

Based in the Sedgwick's Chicago office, Jenkins maintains an exclusively appellate practice, with special emphasis in matters of constitutional and employment law. He is an elected member of the California Academy of Appellate Lawyers, a prestigious group of highly experienced appellate specialists whose election process involves rigorous scrutiny of a candidate's skill in appellate practice. Jenkins received his J.D., cum laude, from Harvard Law School and his B.A., magna cum laude, from Harvard University, where he was elected to Phi Beta Kappa.

The Carlyle Group Makes Offer to Acquire World's Largest Semiconductor Packaging Company
Paul, Weiss client The Carlyle Group announced that its affiliate Carlyle Asia Partners II has made an offer to the board of directors of Advanced Semiconductor Engineering, Inc. (ASE), the largest semiconductor packaging and testing company in the world, regarding a potential all-cash acquisition of ASE for US$5.6 billion. ASE is a Taiwanese company with shares listed on the Taiwan Stock Exchange and the New York Stock Exchange. Carlyle has entered into an exclusivity agreement with Jason Chang, the founder and largest shareholder of ASE, who has agreed to roll over his equity interest in ASE into an equity interest in the acquisition company formed by Carlyle. This would be the first leveraged buyout of a listed company in Taiwan; the first acquisition of a company dual-listed in Taiwan and the United States; and, we believe, the largest private equity acquisition in Asia to date. The Paul, Weiss partners involved in this ongoing transaction include Jack Lange, Mark Bergman, Toby Myerson, Mark Underberg, Doug Cifu, Jeffrey Samuels and Rob Fleder. The associates involved are Greg Liu, Stephen Nichols and Olivia Wong in the Hong Kong office and Jill Lutzy and Patricia Vaz de Almeida in the London office.

Tips include sharpening organizational skills, staying flexible with your schedule, preparing the clearest and most comprehensive documents so you don’t get calls on your day off for clarification, providing extra value to the firm by writing articles on legal topics, and using your time off to schedule time to visit friends, do volunteer work, or schedule special activities for yourself or with children. Attorneys keeping these factors in mind will more likely be able to balance the challenging demands of part-time work with other aspects of life.

Baker & McKenzie Acts on Landmark IPO on LSE for Bank of Georgia
Baker & McKenzie, London has acted for Bank of Georgia on its initial public offering of shares on the London Stock Exchange.

It is the first Georgian company ever to be listed on the London Stock Exchange, and only the second bank from the CIS since 1999 to be listed on the London Stock Exchange.

The offering involved a combination of 6.6 million new shares issued by Bank of Georgia and the sale of 1.1 million existing shares by shareholders in the form of 7.7 million Global Depositary Receipts to international institutional investors. The size of the offering is US$139 million, before the potential of exercise of the over-allotment option. The offering was lead-managed by ING and CAIB.

Lado Gurgenidze, Chairman of the Supervisory Board of Bank of Georgia, said: "The IPO on the London Stock Exchange has attracted substantial interest from a broad range of investors across Europe. It is intended to raise our profile, position us within our international peer group and enable us to benefit from a diversified capital structure."

Carter Brod, Corporate partner at Baker & McKenzie, said: "Bank of Georgia is a significant institution in its country, and this is one of several market opening deals on which we have worked with ING.

"In the past three years, we have acted on 17 international securities offerings by CIS banks. This landmark listing on the London Stock Exchange gives equity investors the opportunity to invest in one of Georgia’s leading financial institutions as well as a new CIS market."

The Baker & McKenzie team was led by Corporate Partners Peter Magyar and Carter Brod, and included associates Kathryn Rea and Laura Russell.

ING acted as Lead Manager and Sole Bookrunner on the public offering, and was advised by Clifford Chance.

Turlough Galvin named in Tax Business 'Top 50'
Turlough Galvin, tax partner in Matheson Ormsby Prentice, has this year been included in Tax Business magazine's 'Top 50', a highly regarded annual survey of the 50 most influential individuals in global tax. This year's Top 50 also includes such high profile figures as the Finance Ministers from China, Italy, and the Netherlands, and US Senators Michael Oxley and Paul Sarbanes, the architects of the Sarbanes-Oxley post-Enron regulations.

The survey describes Turlough as possessing 'an astonishing depth of tax and structured finance expertise, commensurate with his status as the leading tax partner at Ireland's leading tax law firm.' The survey also acknowledged Turlough's experience in influencing legislative reform in Ireland.
