Borland Software Convertible Notes Offering
Davis Polk & Wardwell advised J.P. Morgan Securities Inc. as sole manager of a $175 million Rule 144A offering by Borland Software Corporation of its 2.75% convertible senior notes due 2012.

Borland is a leading provider of application lifecycle management software. The company’s products also include integrated development environments and other tools for software development.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Mischa Travers and Lee B. Shepard of the Menlo Park office. Partner Rachel D. Kleinberg of the Menlo Park office and associate Jenny L. Ruzow of the New York office provided tax advice. Don Snyder of the Menlo Park office was the legal assistant for the transaction.

Edge Petroleum Corporation Concurrent Equity Offerings
Davis Polk & Wardwell advised J.P. Morgan Securities Inc. and Raymond James & Associates, Inc., as joint book-running managers of concurrent equity offerings by Edge Petroleum Corporation. The offerings included 10,925,000 shares of common stock and 2,875,000 shares of 5.75% Series A cumulative convertible perpetual preferred stock and raised gross proceeds of approximately $288.5 million combined.

Based in Houston, Texas, Edge Petroleum Corporation is an independent oil and natural gas company engaged in the exploration, development, acquisition and production of crude oil and natural gas properties in the United States.

The Davis Polk corporate team included partner Deanna L. Kirkpatrick and associates Justin G. Powell, Ross A. Oliver and Shih-Jern Liang (not yet admitted). Partner Michael Farber and associate Craig A. Phillips provided tax advice. Partner Barbara Nims provided ERISA advice. The environmental team included counsel Betty Moy and associate Elisabeth Hanratty (not yet admitted). All members of the Davis Polk team are based in the New York office.

NTR Acquisition Co. IPO
Davis Polk & Wardwell advised Citigroup Global Markets Inc. and Ladenburg Thalman & Co. Inc. as underwriters in connection with the initial public offering of 24,000,000 units of NTR Acquisition Co. for $240 million, each unit consisting of one share of common stock and one warrant to purchase one share of common stock of NTR Acquisition Co. The units, the shares and the warrants are listed on the American Stock Exchange.

NTR Acquisition Co., headquartered in Danbury, Connecticut, is a specified purpose acquisition company (SPAC) formed for the purpose of entering into an unspecified business combination in the energy industry, with a particular focus on refining, distribution and marketing of petroleum products in North America.

The Davis Polk corporate team included partner Deanna L. Kirkpatrick and associate Luis I. Mendoza III. The NASD team included counsel Marcie A. Goldstein and legal assistant Peggy Ann Petercsak. Partner Michael Farber and associate Suzan H. Sandikcioglu provided tax advice. Partner Gail A. Flesher provided advice with respect to environmental matters. Maria Norbis was the legal assistant on the transaction. All members of the Davis Polk team are based in the New York office.

Certilman Balin Takes Teens To Court on Shadow Day
On Friday, February 2, “Groundhog Day,” the law firm of Certilman Balin participated once again in the Mentoring Partnership of Long Island’s (“MPLI”) “Shadow Day.” Eight teenagers from Oceanside, Baldwin, and Syosset spent the day “shadowing” some of the firm’s staff, including two Corporate Partners Brian Ziegler and Fred Skolnik, the Director of Marketing Debra Scala, and the Director of Information Technology Ed Bennett and his staff Andi Barouch and Seth Bekritsky.

Brian Ziegler, Fred Skolnik and Debra Scala took the teens who aspire to be lawyers to Criminal Court to experience an actual trial. According to Ziegler, who serves as the Co-Chair of the “MPLI”, “The organization has influenced the lives of 17,000 children, and we will keep going until every youth on Long Island that needs a mentor has one.”

Brian Ziegler is also the Village Justice for the Village of Woodsburgh, the Assistant Treasurer of Temple Beth-El in Cedarhurst and a member of the Golf Advisory Committee for New York State for which he also serves as the Chairperson for the Empire State Cup and Commissioner’s Golf Cup Tournaments at the Black Course of Bethpage State Park.

The Mentoring Partnership of Long Island works to start and support mentoring programs across Long Island.

HASKELL SLAUGHTER'S DRIVER APPOINTED TO ONB MAGIC CITY ART CONNECTION BOARD
Khristi Doss Driver, an attorney with Haskell Slaughter Young & Rediker, LLC, has been appointed to the Board of Directors of the ONB Magic City Art Connection. As part of its mission to promote arts and culture in the community, the ONB Magic City Art Connection presents a free three-day festival of outstanding visual and performing arts each spring in Linn Park in downtown Birmingham that draws over 30,000 visitors.
ABOUT KHRISTI DRIVER

Khristi Driver's practice is focused on civil trials and appeals. She has represented insurers and insureds in a wide variety of matters, including products liability, insurance coverage matters, property and casualty claims, fraud, bad faith and punitive damages claims and employment discrimination cases.

Ms. Driver was awarded full scholarships to both the University of Alabama and Cumberland School of Law. At law school, she was active in both trial advocacy competitions and the Cumberland Law Review. Currently, Ms. Driver has served in many committee roles for the Birmingham Bar Association and has engaged in substantial fundraising efforts for the Susan G. Komen Breast Cancer Foundation. In 2006, she received the Distinguished Service Award from the Women Lawyers Section of the Birmingham Bar Association.

Alley and Surrey named Partners of Graydon Head & Ritchey LLP
Graydon Head & Richey LLP is pleased to announce that University of Kentucky College of Law graduates Paul Alley and Michael C. Surrey have been named Partners in the Firm.

Alley is a partner in the Firm’s Northern Kentucky office, where he is a member of the Commercial Litigation and Dispute Resolution Client Service Department. His primary areas of focus include alternative dispute resolution, construction and insurance disputes. Alley has been with the Firm for six years and was elected to the partnership in October of 2006. He has practiced law since 1997 in Northern Kentucky, representing municipalities, local governments and businesses in commercial litigation, and defense of civil rights and personal injury actions. He was a member of the U.S. Navy JAGC from 1993- 1997. Alley earned his B.A. from Miami University, cum laude, in 1991 and his J.D. from the University of Kentucky College of Law in 1994. Alley is an Alumnus of Leadership of Northern Kentucky and is involved with the Kentucky Bar Association, Northern Kentucky Bar Association, Northern Kentucky Chamber of Commerce and serves on the Board of iSpace.

Alley is admitted to practice in the State of Ohio, the Commonwealth of Kentucky, the U.S. Sixth Circuit Court of Appeals, and the U.S. District Court for the Eastern and Western Districts of Kentucky.

Surrey is a partner in the Firm’s Northern Kentucky office, where he is a member of the Commercial Litigation and Dispute Resolution Client Service Department. His primary areas of focus include construction law; including litigation, arbitration, mediation, dispute resolution, mechanic’s liens, insurance disputes and contract negotiation. Surrey has been with the Firm for four years and was elected to the partnership in October of 2006. He has practiced law since 1998, primarily in the construction area. Surrey earned his B.S. in Mathematics and Economics, cum laude, from Centre College in 1995 and his J.D., cum laude, from the University of Kentucky College of Law, Order of the Coif, in 1998. He is an active participant in the Northern Kentucky/Greater Cincinnati Community, having been appointed by Kentucky Governor Ernie Fletcher to serve on the Board of Directors for the Kentucky Assistive Technology Loan Corporation. Surrey is also a Board member and Treasurer for New Perceptions, Inc. and Chair of the Northern Kentucky Bar Association Construction Law Section. Additionally, he is a member of the Ohio State Bar Association, the Kentucky Bar Association, Allied Construction Industries and Leadership Northern Kentucky Class of 2001.

Surrey is admitted to practice in the State of Ohio, Commonwealth of Kentucky, the U.S. Sixth Circuit Court of Appeals, the U.S. District Court for the Eastern Districts of Kentucky and the U.S. District Court for the Southern District of Ohio.
