Joe M. Wallin Joins Davis Wright Tremaine’s Corporate Finance Practice
Joe M. Wallin has joined Davis Wright Tremaine's (DWT) Seattle office as a partner. Wallin joins DWT's well-known corporate finance practice group, where he plans to continue providing general counsel services to public and private companies on a wide variety of matters, including mergers and acquisitions and financing transactions.

Wallin brings to DWT over ten years of advising clients on a myriad of corporate finance, mergers and acquisitions, and tax matters. Prior to to DWT he was a partner at DLA Piper US LLP, where he provided general counsel services to companies from start-up to post-public, represented both companies and investors in venture financings, represented both public and private buyers and sellers in mergers and acquisition transactions, provided tax planning and equity compensation advice to individuals and companies, and provided counsel to public companies on compliance with with respect to federal and state securities laws and corporate governance matters. Prior to DLA Piper, Wallin was an associate at Riddell Williams, P.S., where he provided general tax and business advice. Wallin was also an adjunct professor for three years at Seattle University School of Law, where he taught a course on taxation.

Wallin received his law degree from Seattle University in 1994, his LLM in taxation from New York University in 1996, and a BA in economics from the University of Washington in 1990. He is licensed to practice law in Washington state.

Covington Advises on US$925m India-Based Project Financings
Covington & Burling LLP today announced its role in advising ICICI Bank Limited, India’s 2nd largest bank, and Standard Chartered Bank, India’s largest international bank, as joint lead arrangers for an aggregate of US$925m in project financings supporting two separate projects being undertaken separately by Reliance Ports and Terminals Limited (RPTL) and Reliance Utilities Limited (RUL). Both borrowers are members of the Reliance group of companies, the flagship company of the group being Reliance Industries Ltd, India’s largest company by market capitalisation.

The project financings were structured as two separate financings, with a separate loan facility made available to each of RPTL and RUL individually. A total of 29 banks spanning Europe, Middle East, South Africa, and Asia participated in the syndication of the two loan facilities.

The Covington team was led by Ralph Voltmer, a corporate partner based in Washington, DC, who has an active India practice. The team included several members of the firm’s London office, including corporate partners Simon Goodworth and Louise Nash; associates Gregor Frizzell, Tom Kollar, and Rachel Turner; and trainee-solicitor Emilie Jones. Also included was corporate partner Bill Collins, who specializes in infrastructure finance and works out of the firm’s New York office.

Ralph Voltmer commented: “We are delighted to have advised the Joint Lead Arrangers on these project financings which illustrates their leading position in the Asia-Pacific and international markets. These complex project financings were completed within a very short time frame and called on the firm’s broad deal and substantive experience and highlighted the firm’s international capabilities.”

Baker & McKenzie Advise the Suez Group on €2 Billion Joint Public Takeover of Sociedad General de Aguas de Barcelona
Baker & McKenzie, Madrid has advised the SUEZ Group on its joint public takeover bid, together with La Caixa and HISUSA, of the shares of Sociedad General de Aguas de Barcelona (AGBAR), S.A, a company listed on the Spanish Stock Exchange and included in the IBEX 35 index. The transaction is subject to regulatory clearances.

The group jointly control 49.7% of AGBAR, and the current bid is to acquire an additional 50.3% that the group does not already own, for a consideration of €2 billion. The transaction will be funded by the groups' own resources.

The takeover is aimed at strengthening control of AGBAR, while maintaining the listing of the company on the Spanish Stock Exchange.

The SUEZ Group is an energy and environment company, operating a decentralised network of subsidiaries and agencies to manage water and waste services at a local level. Three quarters of its activities are in Europe, and it has a presence on five continents.

María Gracia Rubio, Corporate Partner at Baker & McKenzie, said: ''We are pleased to have had the opportunity to advise SUEZ on this significant transaction, which further consolidates SUEZ as the major player in the Spanish water treatment sector, and has offered Baker & McKenzie the chance to work as a single team across different fields of law and countries.''

The Baker & McKenzie team was led by Corporate Partners Enrique Carretero and María Gracia Rubio, and included Carlos Rodríguez, Miguel Díez and José María Olivares. Finance advice was provided by Rossanna D’Onza and Tax advice by Rodrigo Ogea and Dolores Devoto. Ernesto García-Trevijano, José Antonio de la Calle and Nerea Gutiérrez provided Competition advice.

Ulmer & Berne LLP Real Estate Practice Ranked 1st in Ohio; 10th in the Midwest
Ulmer & Berne LLP announced today that Midwest Real Estate News magazine named the Firm 10th on its list of 2007 Top 25 Real Estate Law Firms. Ulmer & Berne was also the highest ranked Ohio-based law firm. This is the second year in a row that Ulmer & Berne has been ranked in the Top 10 regionally and the third year in a row that the Firm has been in the Top 15.

“Ulmer & Berne has an incredibly strong Real Estate Group, and all the attorneys in the group have worked very hard to achieve this local and national recognition once again,” stated Bill J. Gagliano, chair of the Firm’s Real Estate Group.

Midwest Real Estate News is one of the region’s leaders in commercial real estate coverage. According to the publication, each year hundreds of surveys are submitted by law firms from across the Midwest (a 14-state region) to the magazine for consideration. Rankings are determined by the number of real estate transactions in the previous year and the dollar amount related with those transactions above $5 million.

In the 14-state region alone, Ulmer & Berne completed over 345 transactions with 80 of those transactions valued at above $5 million in 2006. Areas of transaction included, commercial, industrial, shopping centers, land, office buildings and multifamily housing.

Partner Taking Part in Appellate Advocacy Institute
Tyler Cooper attorney Ben A. Solnit will serve as a faculty member at the Third Annual Connecticut Appellate Advocacy Institute, which will take place May 6-8, 2007, in New Britain. The Institute is an intensive legal analysis and oral argument program for lawyers who wish to sharpen their skills in appellate litigation.

The event is co-sponsored by the CT Bar Institute, Inc. and the Connecticut Bar Association Litigation Section. Sessions will be held at both the CBA Law Center and Central Connecticut State University’s nearby Institute of Technology and Business Development.

In addition to lectures and panel discussions on appellate practice, the Institute will feature hands-on, small-group sessions taught by experienced appellate lawyers and judges. Participating lawyers will cultivate their appellate advocacy skills by performing in a variety of simulated situations, including a client conference, a pre-argument conference, and an oral argument to the Supreme Court. Ben and other faculty members will provide guidance and instruction, as well as review and critique of videotaped sessions with the lawyers.

Ben, who works in the firm’s New Haven office, is a partner and Co-Chair of the Litigation Group. He focuses his practice on complex commercial litigation at both the trial and appellate levels. He is one of the firm’s designated Appellate Attorneys. Ben has substantial experience with construction, product liability, antitrust and unfair trade practice cases. He also coordinates the firm’s pro bono program. Ben clerked for the Hon. Ellen A. Peters, Chief Justice of the Connecticut Supreme Court, upon his graduation from Yale Law School.
