Stephen Foster Named To Ninth Circuit Advisory Board
Stephen Foster was appointed to the Ninth Circuit Advisory Board by Chief Judge Mary Schroeder. In his three year term, Mr. Foster will represent the Northern Unit of Alaska, Idaho, Montana, Oregon, and Washington.

Mr. Foster is currently of counsel in Holland & Hart's Billings office. His legal practice includes environmental and commercial litigation in state and federal courts. He is a fellow of the American College of Trial Lawyers and a member of the American Board of Trial Advocates. Mr. Foster is a former member of the Montana Supreme Court Commission on Rules of Evidence. He also served on the Board of Trustees and Executive Committee of the State Bar of Montana and was president of the Yellowstone County Bar Association.

As a member of the Ninth Circuit Advisory Board, he will help advise the Judicial Council and Ninth Circuit courts regarding proposed matters relating to the effective administration of the courts in the circuit. He will also serve as liaison to at least one other circuit committee.

The Board consists of 12 attorneys representing three administrative units and meets several times a year to discuss the needs of the courts and projects that might be undertaken. Members must have an outstanding record of contribution to the administration of the federal judicial system, with leadership qualities and a history of past service to the Judicial Conference and the federal courts of the Circuit. Mr. Foster is one of three attorneys appointed to the board this year.

HRO Participates in 39th Annual Rocky Mountain Securities Conference
Holme Roberts & Owen LLP (“HRO”) is pleased to announce that two of its partners are speaking at the 39th Annual Rocky Mountain Securities Conference to be held in Denver on Friday, May 11, at the Denver Marriott City Center Hotel. The Rocky Mountain Securities Conference is the leading securities conference of its kind in this region and attracts hundreds of attendees.

Garth Jensen, a partner in HRO’s Securities and Corporate Law Group, together with a panel of top current and former SEC officials, will discuss several new and proposed SEC rules and positions on a variety of issues, including electronic proxy statements, PIPE (private investment in public equity) offerings, effects of financial statement restatements, shareholder proposals and executive compensation disclosure. Garth represents a number of NYSE, AMEX, and NASDAQ listed companies, assisting them with their securities offerings and SEC filings.

John McDermott, a partner in HRO’s Denver office, chairs the firm’s Litigation Department and leads the Securities Litigation and Enforcement Practice Group. The SEC asked John to moderate the panel on “Enforcement: Developments, Goals and Issues.” Two SEC representatives and two other private practitioners will join John on the panel. They will discuss a host of current enforcement issues facing companies and their officers and directors, including options backdating, cooperation by companies during investigations, waiver of the attorney-client privilege, and SEC priorities in 2007. John and Matthew Smith, an HRO associate, co-authored an article for the conference entitled, “SEC Enforcement Actions: Cooperation After the Seaboard Report.

Reed Elsevier sells Harcourt businesses to Pearson for $950m
Reed Elsevier has announced that it has entered into a definitive agreement to sell the Harcourt Assessment and Harcourt Education International businesses of its Harcourt Education division to Pearson plc for a consideration of $950m payable in cash.

Harcourt Assessment, headquartered in San Antonio, Texas, is a leader in testing and performance measurement services for educational and clinical use. Harcourt Education International, headquartered in Oxford, UK, is a leading publisher of educational materials in international markets, including the UK, South Africa, Botswana, Australia and New Zealand.

International law firm Freshfields Bruckhaus Deringer is advising Reed Elsevier. The Freshfields team is led by corporate partner Julian Long with corporate associates Michael Hilton and Neeshe Patel, and includes partners Jonathan Cooklin (tax), David Aitman (antitrust competition and trade), Mark Wheelhouse (real estate), Justin Watts (IP/IT), Dan Schaffer (pensions) and Nicholas Squire (employment), plus associates Jenny Doak (tax), Martin McElwee and Simon Constantine (antitrust competition and trade), Matthew Beniston (real estate), Karen Brown (IP/IT), and Andrew Murphy, Will Dineley and Angela Harth (employment pensions and benefits).

Freshfields is also advising the client on the proposed return of proceeds to shareholders by the two parent companies Reed Elsevier plc and Reed Elsevier NV later in the year. The team is led by Julian Long in London with corporate associate Jennifer Bethlehem, Jonathan Cooklin (partner, tax) and Jenny Doak (associate, tax); and in The Netherlands by Robert ten Have (partner, corporate) with Alexander Doorman (associate, corporate) and Machiel Lambooij (partner, tax).

Freshfields advises Lion Air as Boeing delivers first 737-900ER
On 27 April 2007, Lion Air took delivery of the first 737-900ER aircraft manufactured by Boeing. To date, Lion Air has ordered 60 737-900ERs valued at over US$3bn. The aircraft, the newest member of Boeing's Next-Generation 737 airplane family, increases the capability of the 737 by carrying more passengers and extending its range.

The delivery of the latest Boeing aircraft to Lion Air is at a time when faith in Indonesia's air safety is low. Jusuf Kalla, Indonesia's Vice-President, said the transaction "marks the first step in addressing public concerns and criticisms about the safety of air travel in Indonesia."

HSH Nordbank AG arranged the financing by way of a multi-jurisdictional leasing structure through France. Freshfields Bruckhaus Deringer acted as airline counsel, led by Paul Ng, a partner in the Hong Kong office. He was supported by associate Sebastian Smith in Hong Kong and partner Jean-Luc Michaud and associates Virginie Gaubert-Ravoire, Laurent Dabernat and Sophie Perus in the Paris office.

Paul Ng commented: "We are delighted to have been involved in this landmark aviation transaction for Indonesia."

EBG Name Partner Steven B. Epstein Selected as Columbia Alumni Medalist
Epstein Becker & Green name partner Steven B. Epstein has been selected to receive Columbia University’s Alumni Medal, in recognition of his significant contributions over many years to one of the country’s leading institutions of higher education.

Columbia University annually bestows Alumni Medals on individuals for noteworthy accomplishments on behalf of the University. The Medal, first awarded in 1933, recognizes alumni for distinguished service of 10 years or more to the University.

Mr. Epstein, a 1968 graduate of Columbia University Law School, serves as Chairman of the Columbia Law School Board of Visitors. "He has provided guidance and leadership to the Law School through the terms of two deans," the University said. "He was asked to chair the board when new energy was needed. In this connection, Epstein has spearheaded an overhaul of the Board that promises to ensure it will play a vital role in the life of the Law School." Mr. Epstein has encouraged Board members and all Alumni to actively participate in and donate to the Law School to help maintain its status as one of the leading law schools in the country. Mr. Epstein will teach a course in health law at the Law School next fall.

Mr. Epstein’s "many important and helpful contributions over the years have enriched our University and faculty, student and alumni life on our campus," the University said when notifying Epstein of the honor.

The Columbia University honor will be presented to Mr. Epstein at the University’s Commencement, Wednesday, May 16, at the University’s campus in New York.

Mr. Epstein is a pioneer in the legal specialty known as health care law. For more than 30 years, Mr. Epstein has played a unique role in the establishment of the concept that health care organizations require a dedicated form of legal representation. During this time, Mr. Epstein was also instrumental in the acceptance of managed care as the most prominent form of health care delivery. He has been referred to as the "father of the health care industry" by Chambers USA and was selected as a member of the Greater Washington Legal Elite by Washington Smart CEO.

Mr. Epstein graduated from Tufts University in 1965, where he earned the Donald A. Cowdery Memorial Award for leadership and was awarded the Tufts University Distinguished Alumni Award in 1999. He was appointed to the Board of Trustees in November 1999 and to the Executive Committee of Tufts University in 2004.

Mr. Epstein founded the firm of Epstein Becker & Green in 1973.

Just recently, in one of the largest bankruptcy cases filed in United States history, involving a major insurance and financial-services group, Mr. Gulkowitz’s successful representation resulted in an increase in value of more than 2500 percent to the bondholders.

Mr. Goldberg’s experience encompasses a wide range of restructuring matters, including Chapter 11 and Chapter 7 bankruptcy proceedings and out-of-court restructuring transactions, primarily on behalf of bondholder and creditors’ committees, as well as various financial institutions and individual creditors.
