ZKS Handles Successful $28 Million Real Estate Transaction
Dwight I. (Ike) Cool, with the real estate practice group, and Jeremy S. Sloane with the corporate practice group, recently represented the developer of the new $28 million City Centre project in downtown Kissimmee. Our firm's representation was in connection with construction financing, condominium documentation, corporate structuring, an agreement with the Community Redevelopment Agency, and related matters. The City Centre development will include residential condominium units ranging in size from 1,500 square feet to 3,000 square feet, commercial condominium units for office use and retail use, and a parking garage. The eight-story development will be the first of this type of mixed-use project in downtown Kissimmee. Construction should be completed in 2008.

Dickinson Wright Attorney John M. Dempsey Appointed to Michigan Historical Commission
Dickinson Wright attorney John M. Dempsey has been appointed by Governor Jennifer M. Granholm to the Michigan Historical Commission.

The Commission is charged with advising the director of the Michigan Department of History, Arts, and Libraries, approving Michigan historical markers, and working to preserve and protect Michigan's history. Dempsey is appointed to represent the general public for a term expiring May 21, 2010. He succeeds Douglas B. Roberts, whose term has expired.

Other appointees to the Commission are James A. McConnell of Livonia, a history education consultant; Judith L. Tappero of Bloomfield Hills, an associate at Phoenix Homes; and Samuel Logan of Detroit, publisher and part owner of the Michigan Chronicle. The appointments are subject to Article V, Section 6 of the Michigan State Constitution of 1963, and stand confirmed unless disapproved by the Michigan Senate within 60 days.

Dempsey, who lives in Plymouth, is a member of Dickinson Wright based in the firm's Ann Arbor office. He focuses his practice on telecommunications, energy and public utilities, regulatory and administrative law and appellate litigation. He has litigated numerous state and federal cases before the Michigan Public Service Commission and the utility commissions of the other five Great Lakes states, the Federal Communications Commission, the Federal Energy Regulatory Commission, the Nuclear Regulatory Commission, and all levels of state and federal courts including the Michigan Supreme Court and the U.S. Supreme Court. He has extensive experience in legislative matters in Michigan relating to telecommunications and other regulated industries, including the providing of expert testimony.

Before joining Dickinson Wright. Dempsey held positions as Assistant General Counsel for Regulatory Matters, Ameritech Corporation, General Counsel, Michigan Bell Telephone Company, and Assistant Attorney General, State of Michigan.
He earned a bachelor's degree with high honors from Michigan State University and a J.D. degree with honors from the National Law Center, George Washington University, where he was editor of the Law Review.

He is a member of the State Bar of Michigan (Administrative Law Section); a member of the American Bar Association (Public Utility Section); Adjunct Professor, Communications Program, Michigan State University; a Life member of the NAACP;
a member of the Plymouth Township Compensation Commission; and a Life member of the Plymouth Historical Society.

Alejandro Angulo Successfully Defends Seller in Disclosure Action
"Alejandro Angulo of Rutan & Tucker successfully defended the seller of a high-end residence against claims of intentionally and negligently concealing and failing to disclose material information about the home to the buyers.

After purchasing the client's residence for over $2.2 million, the plaintiffs sued the client, the client's real estate agent, their own real estate agent and the broker involved in the transaction. The plaintiffs alleged claims for fraud, negligent misrepresentation and negligence against all of the defendants. In addition, the plaintiffs alleged a claim for breach of contract against the client. In support of their claims, the plaintiffs alleged, among other things, that the client had misrepresented the capacity of the property's boat dock and failed to disclose alleged long-term water intrusion problems, remodeling work performed without necessary permits, and the existence of an easement affecting the property.

Shortly before trial, the real estate agents and broker -- who were not represented by Rutan & Tucker -- settled out of the case. Attorney Angulo successfully disputed the plaintiffs' claims during the ensuing three-week jury trial. At the end of the trial, the plaintiffs asked the jury for a damages award against the client in excess of $500,000 and for a finding entitling the plaintiffs to punitive damages. After hearing all of the evidence, the jury required only four hours before deciding that the Plaintiffs were not entitled to any compensation whatsoever. As a result of the jury's verdict, the trial court entered a judgment favor of Rutan & Tucker's client."

Miller Johnson welcomes Jason P. Mahar as an associate in the firm's Grand Rapids office.

Miller & Chevalier’s Homer Moyer to Kick off Historic Dedication Ceremonies for the CEELI Institute in Prague
Miller & Chevalier Chartered today announced that Homer E. Moyer, founder of the firm's International Practice and co-founder of the Central European and Eurasian Law Initiative (CEELI), will lead a formal dedication of the CEELI Institute's newly restored facility, the historic Villa Gröbovka, in Prague on June 8th.

CEELI was co-founded by Moyer in 1990, shortly after the fall of the Berlin Wall, as a pro bono public service project of the American Bar Association (ABA) to advance the rule of law by assisting the law reform process in the aspiring democracies of Central and Eastern Europe and the former Soviet Union. Following a decade of rapid growth and success, the CEELI Institute was founded in 1999 to build on the great works of CEELI.

To date, more than 5,000 American lawyers, judges and legal scholars, as well as distinguished professionals from Canada and Europe, have served without pay as CEELI volunteers and have provided nearly $190 million in pro bono legal services and assistance.

"This dedication marks the culmination of years of tireless effort to establish the CEELI Institute as a premier international organization dedicated to advancing the rule of law," said Moyer. "As a post-graduate educational institution for legal professionals, judges, and law reformers, the Institute will provide a unique focus on concepts and skills training that are integral to effective law reform and functioning rule of law societies."

Unprecedented Legal Volunteerism

The dedication ceremony signifies the completion of the five-year restoration project of Villa Gröbovka, the CEELI Institute's historic facility, and will satisfy the Institute's lease obligations to secure the facility as the Institute's permanent home until the middle of the 21st century.

Prominent guests to participate in the dedication ceremony as speakers include former U.S. Supreme Court Justice Sandra Day O'Connor, who will deliver the keynote address, and President Vaclav Havel of the Czech Republic. Other participants will include the U.S. Ambassador to the Czech Republic, Richard Graber; the presidents of the American Bar Association and the International Bar Association; officials of the Czech Republic; senior judges from the United States, Europe, and Asia; board members; individual and corporate benefactors of the Institute; and representatives of various governmental and non-governmental organizations.

"CEELI volunteer liaisons have provided the most cost effective and creative programs in the world today," said Justice Sandra Day O'Connor. "Such volunteerism should make each of us stand a bit taller and bask in the reflected beneficence of their contributions."

About the CEELI Institute

A unique and versatile educational and training institution focused exclusively on advancing the rule of law, the CEELI Institute serves all of the countries of Central Europe, the former Soviet Union, and beyond. Among those trained at the Institute have been judges from more than 31 countries, including the chief justices of several countries, the Supreme Court of Afghanistan, and 140 Iraqi judges.

The Institute's offerings are diverse. Educational and skills training is available to judges and lawyers, to leaders of professional associations, to government policy makers, and to others committed to law reform. Special training and regional conferences on such subjects as intellectual property, anti-corruption initiatives and human rights are offered. In addition, the Institute's library will become a unique base for scholarship in democratization and law reform.

The work of the CEELI Institute has been made possible through the efforts of major individual and corporate benefactors, and individual judges, lawyers, volunteers, trainers, and many others who have given time and money to support the Institute's pioneering work and renovations to their facilities.

Following the dedication milestone, the Institute will become fully operational and will have the capacity to house up to 50 participants and faculty for intensive training and scholarship on a broad range of issues relating to the rule of law. About Homer Moyer

Mr. Moyer, the founder of Miller & Chevalier's International Department, manages a practice that includes anti-corruption law, international dispute settlement, trade policy, trade litigation, and a range of U.S. and international regulatory regimes that affect international business. Mr. Moyer has represented clients before a variety of federal courts and international tribunals, including the U.S. Supreme Court, federal appellate and trial courts, NAFTA and other international arbitral tribunals, and United States government agencies and specialized courts.
