Hogan & Hartson Advises PubliGroupe on Acquisition of ZANOX.de AG in Largest Web 2.0 Transaction in Germany to Date
Attorneys from the Berlin office of Hogan & Hartson LLP have advised Lausanne-based PublicGroupe AG on the joint acquisition of ZANOX.de. PubliGroupe and Axel Springer AG jointly acquired ZANOX.de for 214.9 million Euro plus a commission-dependent payment. Axel Springer AG is paying 60 percent and PubliGroupe is paying 40 percent of the total purchase price.

The deal is effective retroactively January 1, 2007 and is currently subject to approval by the cartel authorities. The sellers consist of the three founders of ZANOX.de (Thomas Hessler, CEO, Jens Hewald, CTO, and Heiko Rauch, COO and CFO), an Asian financial investor, and individual minority shareholders. By acquiring ZANOX.de, Axel Springer and PubliGroupe expand their Internet-based business with access to a high-performance technology platform. This deal is reported to be the largest Web 2.0 transaction in Germany to date.

Hogan & Hartson advised PubliGroupe on all aspects of the transaction. The team was led by Dr. Christoph Wagner and included Dr. Andreas Grünwald and Dr. Jörg Meissner.

ZANOX.de offers advertisers, e-commerce companies, and online shop operators an Internet-based platform for the effective marketing of products and services through various channels. The company is based in Berlin.

NDIA Honors Partner Karen Manos
DC partner Karen Manos received the National Defense Industrial Association (NDIA) Procurement Division's prestigious Howard H. Cork Memorial Award in a ceremony on March 12 in San Antonio, Texas. Lockheed Martin's Director, Contract Policy, D. Scott Parry was also a recipient.

This award has been given annually since 1967 to Procurement Division members who have devoted extensive time and energy for the general good of the association, the defense industry and government. Candidates for the award also must have stature in the defense community, as well as the respect of their government and non-government associates. Active NDIA participants for many years, Manos and Parry have both held leadership positions in the division.

Cynthia Mitchell Barnett Named Among Nashville Business Journal's Women of Influence
Cynthia Mitchell Barnett, Partner in Charge of the Downtown Nashville office of Adams and Reese, has been selected by the Nashville Business Journal as one of its inaugural “Women of Influence.” She was selected in the Corporate Executive category for her contributions to the firm, to the legal and public finance professions and to the Nashville community. She will be profiled in a Special Issue of the Nashville Business Journal and will be recognized at an awards luncheon in July 2007.

Ms. Barnett is a member of the Public Finance Team in Transactions and Corporate Advisory Services Practice Group. Her practice concentrates on public finance transactions, and she regularly serves as bond counsel and issuer's counsel. Known for her work in the area of multifamily housing, her experience encompasses virtually every type of tax-exempt structure utilized in the financial markets for every type of institution, including revenue and tax municipal bonds, certificates of participation, credit enhancement vehicles, multi-model rate structures, pooled transactions, health and educational tax-exempt organizations, refunding issues, aviation, corrections, industrial development and pilot leases, sports and convention facilities, derivative products and housing. She regularly works with domestic and foreign financial institutions that provide credit and liquidity facilities to support municipal obligations.

Ms. Barnett handles many of the most complex public finance matters, providing productive client relationships that deliver sound advice and innovative and imaginative solutions to maximize financing opportunities within Internal Revenue Code restrictions. Sample matters range from $100,000 to $500,000,000 in aggregate principal amount issued, and include the first variable rate programs in the State of Tennessee for cities and counties, the first educational and hospital pools in Tennessee, and the first swap transactions in the State of Tennessee. Representative clients include the Tennessee Municipal Bond Fund and the Metro Nashville Health and Educational Facilities Board.

Ms. Barnett received her Bachelor of Arts degree summa cum laude from the University of Tennessee in 1979, where she was selected Phi Beta Kappa and served on the Dean’s Student Advisory Council. In 1983, she received her Juris Doctorate from Vanderbilt University School of Law, where she was recognized as the Best Legal Brief Writer, and clerked with the Juvenile Legal Clinic.

She has served as a member of the State Department of Human Services Advisory Council, Juvenile Court Pro Bono Program and the Board of Directors for St. Patrick's Homeless Shelter. She is a Fellow of the Nashville Bar Association, and a member of the Tennessee and American Bar Associations, the Lawyer's Association for Women and the National Association of Bond Lawyers. She also serves as a member of the Funding Board for the Music City Center 2008 Project.

Ms. Barnett is listed in The Best Lawyers in America (Public Finance Law) and in Nashville Business Journal’s “Best of the Bar” (Public Finance).

Governor appoints Arax to Fresno County Superior Court bench
McCormick Barstow partner, Brian M. Arax, has been named as Fresno County’s newest Superior Court judges, as announced by Governor Scharzenegger’s office on Friday.

A private practice attorney for more than 20 years, Arax specialized in insurance defense litigation, including mold-related litigation, premises liability, products liability, general negligence, automobile liability, government entity-related matters and environmental law.

Hughes & Luce Represents HM Capital in $603 Million Sale of Natural Gas Limited Partnership
DALLAS - The Private Equity section of Dallas-based law firm Hughes & Luce recently served as the legal advisor to HM Capital Partners LLC in its sale of Regency Energy Partners LP to GE Energy Financial Services. Regency Energy Partners is a NASDQ-traded master limited partnership that owns natural gas gathering and processing systems in Texas, Louisiana, Oklahoma, and Kansas, and an intrastate pipeline in Louisiana. GE Energy Financial Services, a division of GE, acquired the interests in the partnership for $603 million.

GE Energy Financial Services acquired 91 percent of Regency’s general partner and nearly 17 million subordinated units from HM Capital, which retained more than 8 million of the common limited partner units and stands as the second largest investor in Regency. HM Capital Partners formerly was known as Hicks Muse.
