New Partner Strengthens Firm's Capital Markets Capabilities in the Emerging Markets
White & Case has continued the aggressive build-out of its Capital Markets practice in London with the recruitment of partner Carter Brod. Carter, who is both US and English qualified, has extensive experience in advising both issuers and underwriters on all aspects of debt and equity capital markets transactions. Carter's practice is primarily focused on offerings from the emerging markets, particularly from the CIS region, which will complement the Firm's established emerging markets capabilities in this region.

"The emerging markets continue to be characterised by rapid growth and innovation and we are seeing increasing activity in both the debt and equity capital markets across all emerging market jurisdictions. On the debt side it is Central and Eastern Europe, including former CIS countries, driving the market forwards, with Russia, Israel and India emerging as leaders in the equity capital markets," commented Capital Markets partner Tim Jeveons. "As a result we are expanding our emerging markets resources at the partner level in order to meet time critical demands of our clients who are becoming ever more active in these regions."

The arrival of Carter Brod follows-on from the recent recruitment of equity capital markets partners Andrew Croxford and Andrew Caunt, as well as the relocation of US-qualified securities partner Sven Krogius from the Firm's Moscow office. This is all part of a broader expansion of White & Case's London Capital Markets practice, which has been experiencing strong growth.

Highlights of the Firm's recent emerging capital markets work include:

* advising leading Indian real estate company DLF Ltd., on its $2.25 billion Initial Public Offering (IPO) on the National Stock Exchange of India and the Bombay Stock Exchange. The flotation, which was 3.5 times oversubscribed, is the largest in Indian stock market history;
* advising leading Indian television broadcaster NDTV on the issue by its indirect subsidiary, NDTV Networks plc., of a $100 million convertible bond;
* advising AFI Development PLC, a subsidiary of Africa Israel Investments, one of the largest companies listed on the Tel Aviv Stock Exchange (TASE), on its $1.4 billion IPO on the London Stock Exchange. The flotation is the largest Russian real estate IPO to date, the fifth largest real estate IPO globally, as well as the second largest IPO by an Israeli company;
* advising Merrill Lynch International and Hoare Govett Limited as joint sponsors on the move by Imperial Energy Corporation plc., a Russian oil and gas business, from AIM to the Main Market;
* advising Tau Capital plc., an Isle of Man investment company focussed on Kazakhstan, on its $250 million AIM IPO;
* advising JPMorgan Securities Ltd., Lehman Brothers International (Europe) and Merrill Lynch International on the IPO of Oil Refineries Ltd., an Israeli corporation wholly owned by the State of Israel, on the TASE. The flotation raised NIS6.43 billion ($1.54 billion), making it the largest-ever IPO on the TASE, as well as being the largest-ever privatisation in the history of the State of Israel; and
* advising Gazprombank on the first fully convertible Russian rouble Eurobond to be issued in the international markets by a Russian borrower.

Governor Appoints V&E Partner to Texas Tech Board of Regents
Texas Governor Rick Perry has named Jerry E. Turner, a partner in Vinson & Elkins’ public finance section to the Texas Tech University Board of Regents.

Mr. Turner, a 1968 graduate of Texas Tech University, feels that the next few years will be exciting times for the higher education system in the state of Texas. While serving on the Board of Regents, he will work with the other members providing oversight for the university system; establishing policies and monitoring operations are just two of the many responsibilities that he and the other regents will share during their tenure on the board.

“I am thrilled by the appointment,” said Mr. Turner. “We are in a very interesting time here in Texas, in terms of looking at our higher education structure. The Texas Tech University System has unique responsibilities in carrying out the higher education mission of the state. I’m very excited to be on the board.”

Mr. Turner has been a director of the Texas Tech Foundation for over a decade, and has served as chairman for the past three years. He received his J.D. in 1971 from Vanderbilt University where he served as Managing Editor of the Vanderbilt Law Review. Mr. Turner joined V&E in 1971, left the firm from 1971 to 1974 to serve in the Navy (JAG corps) and returned in 1975. He has been a partner with V&E since 1980.

Allen Elected as NCADA Officer
David Neal Allen, a partner with Parker Poe Adams & Bernstein LLP, has been elected Executive Vice President of the North Carolina Association of Defense Attorneys (NCADA) for 2007-2008. Following normal succession, Mr. Allen will serve as NCADA President-Elect in 2008-2009 and then as President in 2009-2010.

Mr. Allen has more than 25 years experience representing insurance companies, physicians and hospitals, manufacturing companies and chemical companies in a variety of products liability, mass torts and multi-district litigation matters. He received his JD and AB from the University of North Carolina at Chapel Hill. Mr. Allen is a State Bar Councilor for the 26th Judicial District and a member of the International Association of Defense Counsel.

Fernando M. Pinguelo to Speak Before the Association of Corporate Counsel
Fernando M. Pinguelo, a member of the law firm Norris McLaughlin & Marcus, P.A., will speak at the monthly teleconference of the Association of Corporate Counsel on July 14, 2007. Pinguelo will discuss his recently published article titled “9 Things Businesses Need To Know About Jury Waiver Clauses In Employment Contracts.”

The Association of Corporate Counsel (ACC) serves the professional needs of attorneys who practice in the legal departments of corporations and other private sector organizations worldwide. The ACC promotes the common interests of its members, contributes to their continuing education, seeks to improve understanding of the role of in-house attorneys, and encourages advancements in standards of corporate legal practice.

Pinguelo, Chair of the firm’s Entertainment Law Group, practices in the areas of litigation and entertainment law, specializing in complex lawsuits and employment matters in federal and state courts. He also coordinates the firm’s Response to Electronic Discovery and Information (“REDI”) Group and works closely with clients to develop strategies to manage issues related to information technology. Notably, he was involved in New Jersey’s first case addressing its new e-discovery rule amendments.

Pinguelo regularly publishes articles and lectures on a variety of topics including information technology, employment, contracts, and entertainment law. He has appeared on television as a legal commentator on various high-profile trials, and has been quoted and cited in many newspapers and magazines about high-impact cases he has handled. Pinguelo is an Adjunct Professor of Law at Seton Hall Law School. Prior to joining Norris McLaughlin & Marcus, Fernando was a law clerk for the Honorable Edwin H. Stern, Superior Court of New Jersey, Appellate Division.

Pinguelo earned his J.D. from Boston College Law School in 1997, and his B.A., magna cum laude, from Boston College in 1994. Fernando is admitted to practice in New Jersey, New York and the District of Columbia.

Donna Klein Appointed to LA Board of Regents
On Thursday, June 21, Louisiana Governor Kathleen Babineaux Blanco announced her appointment of Donna G. Klein to the Louisiana Board of Regents. Donna represents the 2nd Congressional District of Louisiana and will serve a term of five years. Donna also serves as co-chair of the Board of Directors of the Committee for a Better New Orleans/Metropolitan Area Committee and as a member of the Board of Commissioners for the Ernest N. Morial-New Orleans Exhibition Hall Authority, the Board of Directors of the New Orleans Center for Creative Arts/Riverfront, and the Board of Directors of Louisiana ArtWorks. Donna has received numerous awards including being selected by New Orleans CityBusiness as one of the Women of the Year in 2007 and 2001; by the Young Leadership Council as a Role Model in 2002; by the Human Rights Campaign to receive the Humanitarian Award in 2003; and by Southern Woman Magazine to receive the Spirit Award in 2004. She has also been recognized as one of Woodward White's Best Lawyers in America in Health Care each year since 1991.

In a press release announcing Donna’s appointment, Governor Blanco said, "Donna Klein is recognized as a great leader who tirelessly gives so much of herself to her local community. Her passion and expertise will be a meaningful contribution to the people of Louisiana. I look forward to working with her and the Board of Regents as we expand educational opportunities across Louisiana."

Mayer, Brown, Rowe & Maw Achieves Dismissal of a Multi-Billion Dollar Lawsuit against BASF and Wintershall
Mayer, Brown, Rowe & Maw LLP has successfully defended BASF AG and its subsidiary Wintershall AG in a lawsuit initiated by the US oil company Moncrief Oil International, Inc. Today, the District Court of Frankenthal dismissed the multi-billion dollar lawsuit citing that the claims had no legal foundation.

Moncrief claimed it was owed compensation for damages of approximately US$8.5 billion (approximately 6.3 billion Euros) because it was excluded from the exploitation of the Jushno-Russkoye gas field in Siberia. Moncrief claimed that BASF and Wintershall had encouraged Gazprom to ignore the various contractual obligations owed to Moncrief. BASF and Wintershall intend to mutually exploit the gas field with Gazprom.

As early as 2005 Moncrief had filed a suit in a Texas district court against Gazprom, Wintershall and Ruhrgas, a subsidiary of German-based oil and gas company e.on.. The U.S. court dismissed the complaint for lack of jurisdiction. Moncrief’s appeal against this decision was again dismissed.

Dr. Mark C. Hilgard, partner in the Frankfurt office of the international law firm Mayer, Brown, Rowe & Maw LLP commented on the judgment: “The judges clearly confirmed our view. BASF and Wintershall acted well within the law. There was no infringement of competition law.”BASF and Wintershall were represented in court by Dr. Mark C. Hilgard.

Kirkland & Ellis LLP Advises in Samsonite Corporation - CVC Capital Partners Deal
Kirkland & Ellis LLP acted as legal advisor to the principal shareholders in connection with Samsonite Corporation’s sale to funds managed and advised by CVC Capital Partners ("CVC"). The all-cash transaction is valued at approximately $1.7 billion, including the assumption of debt.

Under the terms of the agreement, CVC will acquire all of the outstanding common stock of Samsonite for $1.49 per share in cash.

The transaction was unanimously approved by the Board of Directors of Samsonite.

The transaction is expected to close during the fourth quarter of 2007 and is subject to customary closing conditions, including regulatory review in the US and Europe. CVC has received certain funds debt financing commitments from third-party financing sources and, accordingly, closing is not subject to the receipt of financing.

Leading the Kirkland deal team was London partner James Learner. Other Kirkland attorneys (all London based) were partners Matthew Hurlock, Abrielle Rosenthal, Stephen Gillespie and associate Arvidas Remeza.
