The Firm and nine of its partners have received top rankings in the 2007 edition of Chambers USA: America’s Leading Lawyers for Business.
Ulmer & Berne LLP, one of Ohio’s largest law firms, announced that the Firm and nine of its partners have received top rankings in the 2007 edition of Chambers USA: America’s Leading Lawyers for Business. This is the fifth year in a row that Ulmer & Berne and several of its attorneys have been ranked so highly.

The Firm was distinguished as a leading law firm in Ohio for its construction, employee benefits & executive compensation, litigation and real estate practices. Nine Ulmer & Berne partners, up from seven in 2006, were recognized by Chambers USA, including: Thomas H. Barnard (Employment & Labor), Bill J. Gagliano (Real Estate), John J. Haggerty (Litigation), Ronald L. Kahn (Employee Benefits & Executive Compensation), Marvin L. Karp (Litigation), Craig S. Miller (Real Estate), Patricia A. Shlonsky (Employee Benefits & Executive Compensation), Michael N. Ungar (Litigation) and F. Thomas Vickers (Construction).

Chambers USA is published by London-based, top legal publishers Chambers & Partners Legal Publishers, which produces a similar directory in the United Kingdom. The US directory, in its fifth year, lists top attorneys by state. The attorneys listed were chosen after more than 40 full-time researchers conducted over 14,000 interviews with clients and attorneys. According to Chambers & Partners, law firms and individual attorneys are ranked based on "technical legal ability, professional conduct, client service, commercial awareness/astuteness, diligence, commitment and other qualities most valued by the client." The directory also includes comments on each attorney that come directly from the interviews conducted by the researchers

Matheson Ormsby Prentice is advising GLG Partners LP, a leading alternative asset manager with gross assets under management of over $20 billion, on the Irish legal aspects of a $3.4 billion deal to access public markets through a reverse acquisition.

The MOP team is lead by Michael Jackson, partner in the Alternative Investment Funds Group, and Liam Flynn, partner in the Corporate Department.

Sale of LaSalle to go ahead - Loyens & Loeff wins huge victory for Bank of America
Loyens & Loeff lawyers Bas Vletter and Hans de Savornin Lohman are extremely pleased with the result. Vletter: “According to the Supreme Court’s ruling, a third party – in this case, Bank of America – that enters into an agreement in good faith, must be protected from any failures in the internal decision-making at ABN AMRO. It was the main plank of our case and that point of view has now been followed by the Supreme Court.” De Savornin Lohman adds that Bank of America has won on all points: “For the Dutch investors association VEB and the Enterprise Section the game is over.” A spokesperson for Bank of America called the ruling a “total victory”. “We are very pleased that the Supreme Court has confirmed how important the performance of a contract is. The transaction is now expected to be completed in a matter of months.”

LaSalle plays a key role in the takeover battle for ABN AMRO. The bank sold LaSalle to Bank of America without first consulting its shareholders. The deal is part of the merger with the British bank Barclays, ABN AMRO’s preferred partner. Besides Barclays, a banking consortium comprised of Fortis, Bank of Scotland and Banco Santander is also looking to take over the largest Dutch bank.

In May, the Enterprise Chamber ruled that ABN AMRO should have asked its shareholders for approval before selling LaSalle. That ruling was based on a statute which the Supreme Court has now found to be interpreted too broadly by the Enterprise Chamber. Vletter: “The statute that provides for the approval of shareholders can be construed broadly or narrowly. The Supreme Court in this case found that a restrictive interpretation is appropriate. It means that the board has more leeway and it did not require shareholder approval.” The Supreme Court held that the purchase agreement with Bank of America is definitive and that the interests of Bank of America and Barclays should therefore be weighed in. “There may be no unnecessary uncertainty about the performance of this agreement”, according to the Supreme Court.

Bank of America is one of the largest financial institutions in the world, serving over 55 million customers from over 5,700 branch offices. Bank of America Corporation (NYSE: BAC) is listed on the New York Stock Exchange.

Ellen Cappellanti Appointed to West Virginia University's Governing Board
West Virginia Governor Joe Manchin named Ellen Cappellanti to the West Virginia University Governing Board. The Governing Board oversees the academic and business affairs of the university and its branch campuses.

Ms. Cappellanti is Chair of Jackson Kelly's Business and Commercial Section. She assists clients in a wide variety of commercial transactions, including financings, leasing's, acquisitions, and real estate development projects.

Joining Ms. Cappellanti are William O. Nutting of Wheeling and James W. Dailey II of Martinsburg.

Weil Gotshal Receives Multiple Honors at The Lawyer Awards 2007
"Weil, Gotshal & Manges and private equity partner Marco Compagnoni were honored at The Lawyer Awards 2007. Mr. Compagnoni was named ""runner-up"" in the Partner of the Year category and was hailed as “Weil Gotshal & Manges’ trophy hire of 2006”, and as“one of the drivers behind Weil’s repositioning within the City.”

The Lawyer also named Advocates for International Development (A41D) the Pro Bono Team of the Year. Weil Gotshal was a founding member of the organisation committed to international pro bono rights. A4ID has mobilised 1,400 lawyers to come together to work with major non-governmental organisations such as ActionAid, Debt Relief International, Oxfam, Tearfund and WaterAid."
