Simpson Thacher Represents Royal Bank of Scotland in Commodities Trading Joint Venture With Sempra Energy
The Firm is representing The Royal Bank of Scotland PLC (LSE: RBS) in connection with the formation of a global commodities trading joint venture with Sempra Energy (NYSE: SRE). The joint venture, to be called RBS Sempra Commodities LLP, will combine the commodities trading operations held by various subsidiaries of Sempra Energy in a transaction valued at approximately $2.6 billion. The joint venture represents a unique combination of an industry-leading commodities trading operation with one of the world's largest banking and financial services organizations. The joint venture brings together RBS, the 2nd largest banking group in Europe by market capitalization and one of the largest in the world, with Sempra Commodities, one of the world's leading natural gas, power, petroleum and metals trading operations.

EuropaCorp's initial public offering
Shearman & Sterling represented ABN AMRO Rothschild and Lazard-NATIXIS in connection with EuropaCorp's initial public offering on the Eurolist by Euronext Paris through a capital increase, combining a public offering to retail investors in France and an international offering to institutional investors outside the United States in reliance on Regulation S.

EuropaCorp is an independent producer and distributor of films in French and English and one of the few independent, vertically integrated "studios"in France and Europe.

Attorneys included partners Bertrand Sénéchal (PA-CM) and Robert Treuhold (PA-CM/MA) and associates Guillaume Dolidon (PA-CM), Lucilia Grilo (PA-CM) and Lesley Janzen (PA-CM).

Ropes & Gray reaches agreement with Boston Properties to move to Prudential Tower in 2010
Ropes & Gray LLP is pleased to announce that it has reached an agreement with Boston Properties under which the firm will relocate its Boston office to the Prudential Tower in 2010. Under the lease, Ropes & Gray will occupy more than 400,000 square feet of office space in the top floors of the Prudential Tower, which is owned and managed by Boston Properties. The lease terms will not be disclosed.

“We are delighted to partner with Boston Properties, and we look forward to our upcoming tenancy in the Prudential Tower," said Brad Malt, the chairman of Ropes & Gray. Kaye Scholer Represents Ultra Electronics plc in its Acquisition of Criticom Inc.
Ultra Electronics plc, a group of specialist businesses designing, manufacturing and supporting electronic and electromechanical systems, sub-systems, and products for defense, security and aerospace applications worldwide, announced the completion of its acquisition of Criticom Inc. ("Criticom") for an initial cash consideration of US$28 million. An additional cash payment of up to $5 million will be payable if certain performance based measures are achieved by June 30, 2008. The closing of the acquisition followed the successful completion of U.S. regulatory review and approvals. Criticom, based in Lanham, Maryland, is a leading integrator of complete video solutions to both government and commercial customers.

Kaye Scholer Named to The National Law Journal's Defense Hot List for Unprecedented Third Year
Kaye Scholer LLP was named to The National Law Journal's "Defense Hot List" for 2007, the only law firm in the country to be listed all three years since the Hot List's inception in 2005. The Defense Hot List, appearing in the July 16 issue, recognizes "law firms that have done exemplary, cutting-edge defense work." Jones Day Wins Summary Judgment for Bayer in Pest Control Operators Class Action
The U.S. District Court for the Western District of North Carolina entered summary judgment for Bayer Corporation and Bayer CropScience, L.P. in a case brought as a nationwide class action by pest control operators who had purchased Premise, a termiticide that Bayer manufactures.

The original complaint contained allegations that Bayer had violated the Robinson-Patman Act by discriminating in favor of large purchasers such as Orkin and Terminix, but plaintiffs dropped these allegations in response to a motion to dismiss.

An amended complaint charged Bayer with conspiring with BASF Corporation to fix the price of termiticides by adopting a particular form of distribution, but plaintiffs dropped this allegation at the close of discovery. The summary judgment ruling addressed the plaintiffs' remaining claim, that Bayer's relationship with the intermediaries who actually sold Premise was that of title transfer or distribution, rather than true agency, such that Bayer's agreement with its intermediaries' agreement on the price at which Premise was to be sold to plaintiffs amounted to resale price maintenance under Simpson v. Union Oil. The court disagreed, holding as a matter of law that the relationship was one of agency.
