United Way Honors Fulbright For Its Generous Support
"The United Way of Greater Houston recently honored Fulbright & Jaworski for the international firm’s commitment to helping those in need.

Fulbright received three awards from the United Way in recent weeks: The Alexis de Tocqueville Award, the Pinnacle Award and the Life Time Achievement Award.

In awarding Fulbright the 2007 Alexis de Tocqueville Award, United Way also specifically recognized Fulbright partner Peggy Heeg for her vigorous fund-raising efforts as the 2006-2007 co-chair of the Alexis de Tocqueville Society.

As a result of Heeg’s and co-chair and chairman of Chase-Houston Mike Ballases’ commitment, the society raised $10.4 million, an increase of $1.3 million from last year. The society also achieved the largest influx of new members in the organization’s history, increasing membership from 478 to 675 members.

“By working with organizations like the United Way, we are able to improve the lives of individuals who otherwise may not have access to the resources they need to thrive,” Heeg said. “We are lucky to have worked with amazing donors and volunteers to achieve such success.”

Among the society’s goals is to increase the awareness of United Way’s mission to strengthen and build better communities.

“Support of the United Way effort within Fulbright has been overwhelming and continues to grow each day,” said Mike Conlon, the head of Fulbright’s Houston office. “Our firm’s commitment to the United Way and other charities is based on a dedication to giving back to the communities in which we live and practice law. Among the cornerstones of our international firm is finding ways to help others through pro bono work, community involvement and the financial support of organizations that assist those in need.”

Additionally, Fulbright received United Way’s Life Time Achievement Award for its noteworthy support among attorneys and others within the firm. In the past three years, Fulbright has generously contributed more than $1.2 million to United Way. And this year, as the largest law firm contributor, Fulbright received the Pinnacle Award for its exceptional and continuing generosity.

Fulbright also was recognized earlier this year with the Houston Bar Foundation’s “Longevity of Exemplary Service” award.

“Our attorneys donated more than 53,000 hours of pro bono service this past year and we continue to look for innovative ways in which we can help improve the communities where we live and work,” said Stewart Gagnon, the head of Fulbright’s pro bono efforts and a recipient of the Houston Bar Association’s “Volunteer of the Year” award. “From our associates pro bono work in municipal courts in cities across the nation to our pro bono representation of immigrant and refugee children, we have always been leaders in the area of pro bono work – leaders in the level of contributions we make, and leaders in creating programs to provide legal services for those who cannot afford such representation.” "

Russell Wheeler Joins Cozen O’Connor’s New York Midtown Office as Associate
"Russell Wheeler recently joined Cozen O’Connor’s New York Midtown office as an associate in the general litigation department. Prior to joining the firm, Wheeler was a staff attorney with the Nassau County Legal Aid Society in Hempstead, N.Y. Wheeler has experience in criminal defense and commercial litigation matters, as well as in pretrial hearings, negotiations, interviews, grand jury proceedings and suppression hearings.

Admitted to practice in New York, Wheeler is a member of the New York State Defenders Association (NYSDA). In 2005, he completed NYSDA’s Defender Institute, a trial skills program.

Wheeler earned his law degree, magna cum laude, from American University’s Washington College of Law, where he was articles editor of the American University Law Review, and his undergraduate degree from the University of Oregon. Following law school, he served as a law clerk for the Hon. F. Bradford Stillman, U.S. Magistrate Judge for the U.S. District Court for the Eastern District of Virginia."

Baker & McKenzie LLP Adds Three Lawyers in the Bay Area
"Baker & McKenzie LLP is pleased to announce the addition of three new lawyers to its San Francisco/Palo Alto office. Victor A. Flores joins the San Francisco office as Of Counsel in the Global Equity Services Group, Jenny C. Yeh joins the Palo Alto office as Of Counsel in the Corporate Group, and Sharlyn Dreyfus joins the San Francisco office as an Associate in the Litigation Group.

Victor A. Flores joins Baker & McKenzie LLP from Latham & Watkins LLP. His practice focuses on executive compensation, employee benefits, taxation, securities and employment law on behalf of public, privately held and global companies. Victor has advised on a wide variety of compensation and benefits issues relating to mergers and acquisitions, private equity and other transactions, and has represented issuers and underwriters in connection with initial public offerings of domestic and non-U.S. issuers, including the design and implementation of a variety of compensation plans. He received his A.B. from Columbia College in 1992 and his JD from The George Washington University Law School in 1998.

Jenny C. Yeh joins from Wilson Sonsini Goodrich & Rosati where she focused on a broad range of general corporate and transactional matters, including venture capital financings, securities offerings (both private and public), mergers and acquisitions and corporate governance. Jenny represents private and public companies across many industries, including computer, software and Internet. She received her B.A. from the University of California at Berkeley in 1994 and her JD from Georgetown University in 1998.

Sharlyn Dreyfus joins Baker & McKenzie after relocating back to the Bay Area from Chicago where she was a consultant with Conlon Public Strategies, subsequent to being an Associate with Jones Day in Texas and San Francisco. She received her JD from the University of Michigan Law School in 2004 and her A.B. in Human Biology from Stanford University.

Baker & McKenzie Triumphs at the 2007 ALB SE Asia Law Awards
"Baker & McKenzie member firms picked up four awards at the Asian Legal Business Southeast Asia Law Awards 2007, held on 29 June 2007 in Singapore.

Baker & McKenzie.Wong & Leow (“BMWL”) in Singapore was named ‘Tax & Trusts Firm of the Year’, and also picked up the ‘Singapore M&A Deal of the Year’. Meanwhile, Hadiputranto, Hadinoto & Partners (“HHP”) in Indonesia was named ‘Indonesia Deal Firm of the Year’ and also received the ‘SE Asia Structured Finance and Securitisation Deal of the Year’. This is the second time that the Jakarta-based Firm has received both of these awards.

The Singapore M&A Deal of the Year Award recognises the outstanding work carried out by the Firm’s Asia Pacific-based US securities team who acted as United States counsel to Pacific Internet Limited, a Nasdaq-listed Internet communication services provider in connection with an unsolicited tender offer by MediaRing Ltd, a leading VoIP service provider in Asia. The team was praised for its proficient handling of this complex transaction, which involved ensuring the client complied with the complex US and Singapore takeover rules.

The SE Asia Structured Finance and Securitisation Deal of the Year Award acknowledged HHP’s ground-breaking work representing Credit Suisse as the Arranger and the Bank of New York as the Trustee in relation to the issuance of US$800 million Indocoal notes issued by PT Bumi Resources in 2006. Remarkable for its scale (this was the largest corporate bond sale in Indonesia ever, and the largest private placement deal in Asia to date), the complex refinancing transaction involved using the future flow of coal sales receivables as the source for repayment.

Commenting on the award, BMWL Managing Partner Wong Kien Keong and HHP Chairman Timur Sukirno said, “We are honoured to win these awards. The Singapore M&A Deal of the Year recognises the complexity and significance of the Pacific Internet transaction. This was a key deal for Singapore and is a great compliment to all involved. Cullen and Dykman LLP Represents Ridgewood Savings Bank in Acquisition of City & Suburban Financial Corporation
"Ridgewood Savings Bank has announced the completion of its acquisition of City & Suburban Financial Corporation and its subsidiary City & Suburban Federal Savings Bank, based in Yonkers, New York.

Thomas J. Douglas, Jr., Managing Partner of Cullen and Dykman LLP, and Jeffrey F. Herz, partner in Cullen and Dykman’s Garden City, New York offices, represented Ridgewood Savings Bank as primary counsel in the deal.

William C. McGarry, Chairman, President and CEO of Ridgewood Savings Bank, said, “The culmination of this strategic acquisition marks an important beginning for the expanded footprint of Ridgewood Savings Bank, which will now feature a significantly increased presence in the Bronx as well as entry into Westchester County and Manhattan. Though we have clearly become a more prominent New York-based financial institution, our commitment to our customers, local communities, and employees will never waver. This philosophy has been at the core of our mission since 1921.”

Thomas Douglas, Managing Partner of Cullen and Dykman, said, “Given the unique nature of the acquisition -- a mutual savings bank acquiring a stock savings bank -- compliance with banking regulations was a top priority throughout the negotiating and planning process.”

With the City & Suburban acquisition completed, Ridgewood Savings Bank now has approximately $4.1 billion in assets, $2.5 billion in loans and $3.2 billion in deposits and has expanded its presence to 35 branches in seven counties (Bronx, Brooklyn, Manhattan, Nassau, Queens, Suffolk, and Westchester). The transaction has added 12 branches and approximately $678 million in assets, $480 million in loans, and $580 million in deposits based on June 30, 2007 financial data.

According to Mr. McGarry, Ridgewood Savings Bank will ensure a transparent transition for City & Suburban customers. While full conversion of electronic systems and data is expected to be completed during September 2007, customers will continue to bank seamlessly at their local branches. In addition, temporary banners at each branch will soon be replaced with permanent signage.


Walter Reese, Senior Vice President – Retail Banking, Ridgewood Savings Bank, said, “We are excited to increase our presence and also expand the service offerings for our customers in the Bronx as well as into local Westchester County and Manhattan neighborhoods. The transaction previously received approval from both the New York State Banking Department and Federal Deposit Insurance Corporation (FDIC). "

Rob Craig, partner-in-charge of Taft's Kentucky office, has been accepted into the 2007-2008 class of Leadership Cincinnati.

Leadership Cincinnati is a program sponsored by the Cincinnati Chamber of Commerce designed to identify proven leaders who have demonstrated a strong commitment to the local community and expand their knowledge of local issues and their contacts within key community institutions. Participation is limited to approximately 48 per class with participants drawn from diverse social, economic and racial backgrounds.

Firm's Sixth Circuit Victory for Heineken is Second in Recent Weeks
The United States Court of Appeals for the Sixth Circuit, in a consolidated appeal from similar dismissals in district courts in Ohio and Michigan, directed the district courts to dismiss two class actions against Heineken and other alcohol beverage companies. These cases alleged that Heineken, represented by Simpson Thacher, and the other companies "targeted" underage youth with mass media alcohol advertising. This victory followed on the heels of the Firm's obtaining a decision from the D.C. Court Of Appeals on June 27, 2007 dismissing the first of the alcohol advertising class actions brought against leading alcohol beverage manufacturers and importers.

The Simpson Thacher team includes David Ichel, Mark Cunha, Bryce Friedman, Helena Almeida, Marissa Piropato, Tamala Boyd, Michael Shenkman and summer associate Dave Edwards.
