Loyens & Loeff advises in the biggest ever Dutch CMBS transaction
Loyens & Loeff has acted as legal adviser to FGH Bank in the biggest ever CMBS transaction in the Netherlands, Skyline 2007. The portfolio is extremely diverse, consisting of a large number of underlying commercial property loans involving more than 4,500 collaterised securities.

This CMBS (Commercial Mortgage-Backed Securities) transaction - completed in June 2007 and one of the biggest European commercial property transactions - is a first for FGH Bank which, in this way, hopes to manage its economic capital efficiently and attain further growth. Forming part of Rabo Bouwfonds, an international property company of the Rabobank Group, FGH Bank specialises in commercial property finance.

The Loyens & Loeff team was made up of attorneys Mariëtte van 't Westeinde, Karina Reuder, Sandy van der Schaaf and Bas van Halder.

Garvey Schubert Barer Named One of Best Corporate Law Firms in Portland, Oregon

In total, nearly 1,000 corporate directors were surveyed.

Drinker Biddle Partner Thomas Bartrum Honored by Nightingale's Healthcare News
Drinker Biddle & Reath partner Thomas E. Bartrum has been named among the nation’s “Outstanding Healthcare Fraud and Compliance Lawyers -- 2007” by Nightingale’s Healthcare News, a newsletter for professionals and executives in the health care industry.
In recognizing Bartrum, Nightingale’s noted that he has “counseled a hospital chain on fraud and abuse risks associated with outpatient hospital-physician joint ventures; counseled multiple hospitals/health systems in structuring physician relationships to comply with Stark and anti-kickback concerns; and counseled ancillary service companies/physicians on fraud and abuse.”

“It’s truly gratifying to receive this type of recognition in the health care industry,” said Bartrum, who was one of 12 lawyers honored by Nightingale’s. He has also been recognized for his health law skill by several other publications, including Best Lawyers in America, Expert Guides and Lawdragon.

Bartrum practices exclusively in the health care regulatory and transactional areas. He counsels clients -- often on a national basis -- on structuring financial arrangements and transactions to comply with the Anti-Kickback Statute and the Stark law, Medicare payment issues affecting health care providers, licensing and certification issues affecting health care providers, joint ventures between health care providers, and obtaining advisory opinions on fraud and abuse issues. He also counsels clients on compliance-related issues, self-reporting and responding to government fraud and abuse investigations, including Medicare and Medicaid overpayment issues, commercial overpayment issues and whistleblower actions.

SonoSite, Inc. Convertible Notes Offering
"Davis Polk & Wardwell advised J.P. Morgan Securities Inc. as sole book-running manager of a $200 million registered offering by SonoSite, Inc. of its 3.75% convertible senior notes due 2014. In connection with the offering, SonoSite also entered into note hedge and warrant transactions with an affiliate of J.P. Morgan Securities Inc.

SonoSite, headquartered near Seattle, is the innovator and world leader in hand-carried ultrasound. SonoSite’s small, lightweight systems are expanding the use of ultrasound across the clinical spectrum by cost-effectively bringing high performance ultrasound to the point of patient care.

The Davis Polk corporate team included partners Alan F. Denenberg and Mischa Travers, associate Jeffrey M. Smith and summer associate Aman Solomon of the Menlo Park office. Partner Michael Farber and associate Raymond J. Holst of the New York office provided tax advice. Partner Linda A. Simpson and associate Yan Zhang of the New York office provided equity derivatives advice. Associate Duane Nash of the Menlo Park office provided intellectual property advice. Cari M. Hebel of the Menlo Park office was the legal assistant for the transaction."

Paul Hastings Advises on US$1 Billion PLN Bond Issue
"Paul, Hastings, Janofsky & Walker LLP (Paul Hastings), a leading international law firm, represented UBS, the sole bookrunner and joint lead manager for the US$1 billion bond issue by PT Perusahaan Listrik Negara (PLN), Indonesia's state-owned electricity power company. The deal was issued through a dual-tranche of US$500 million 10-year and US$500 million 30-year bonds, which priced at a yield of 7.375% and 8% respectively.

This marks the second time PLN has tapped the international capital markets, and matched their US$1 billion bond offering last year as the largest-ever corporate debt sale in Indonesia and one of the largest corporate high yield issuances in the Asia. Paul Hastings advised UBS on both deals.

Commenting on the offering, Joe Sevack, partner at Paul Hastings focusing on debt and equity capital market transactions, said, “This is another landmark transaction for PLN and Indonesia as a whole and represents a further and significant step in Indonesia’s plan to reduce its reliance on fuel oil. We are very pleased to have been involved in the deal, and the market’s positive response to this issue underscores PLN’s attractiveness to international investors.”

In addition to the two PLN US$1 billion high yield bond offerings mentioned, our debt capital markets team has also recently advised:

* Japan’s Softbank Corporation on its successful sale of €500 million (US$630 million) high yield senior notes.
* UBS, again as underwriter in a US$110 million global high yield bond offering by PT Pakuwan Jati, an Indonesian real estate developer.
* Merrill Lynch, Lehman Brothers and two other private funds, as investors in a US$200 million structured convertible bond arranged by Merrill Lynch for a Hong Kong-listed company, the proceeds of which will be used to acquire and develop four major projects in Guangzhou, including the Westin Hotel.
* Dragon Base Power on its issue of US$150 million convertible notes to Citigroup.
* ABN AMRO on its purchase of convertible bonds of China Architectural Engineering Inc and RMB180 million convertible bonds of Lijun International Pharmaceutical (Holding) Co Ltd.
* Bank of China International on its purchase of secured bonds exchangeable into shares of a Hong Kong-listed company, Golden Dragon Group Holdings Ltd.

Former New York Assistant Attorney General Joins Fulbright
"Former New York Special Assistant Attorney General Glenn Jones has joined Fulbright & Jaworski nationally recognized health care practice, following eight years prosecuting white collar crime in the attorney general’s Medicaid fraud control unit.

Jones, now senior counsel in Fulbright’s Washington, D.C. office, previously handled matters including the investigation of a hospital’s fraudulent part-time clinic billings and false cost report entries that led to a civil settlement and recovery of $76.5 million. He also handled the investigation and prosecution of nine people and five companies involved in a $70 million nationwide drug diversion and money laundering ring.

“Glenn is an experienced health care prosecutor whose courtroom knowledge and insight into the industry will enhance our established and respected practice that has represented health care clients in a wide range of matters for more than 50 years,” said Jerry Bell, the head of Fulbright’s national health care practice.

Fulbright attorneys regularly monitor and respond to changes in federal regulatory and reimbursement policies affecting health care providers. The firm assists clients with developing strategies to promote compliance while achieving their business objectives.

“In an aggressive environment where health care providers are finding themselves faced with stiffer regulations and less federal funding to administer Medicaid programs, the combined knowledge and experience Glenn and other Fulbright lawyers bring to our clients is invaluable,” said Joseph Small, head of Fulbright’s Washington, D.C. office.

Prior to joining the Office of the New York State Attorney General, Jones was a trial attorney with the Commodity Futures Trading Commission where he investigated and prosecuted fraud, trade practice and other civil enforcement actions under the Commodity Exchange Act. Additionally, Jones brought administrative and injunctive actions before the commission and federal courts.

Early in his career, Jones worked for the New York County District Attorney’s Office. While there, he worked as an assistant district attorney prosecuting felony narcotics offenses, conducting investigations, negotiating plea agreements, making grand jury presentations and acting as lead counsel through trial. He also prosecuted civil forfeiture actions.

After years as a prosecutor, Jones said he was intrigued by Fulbright’s rich litigation history and the international firm’s robust health care practice.

“There couldn’t be a better fit for me, given my experience in the health care industry than the comprehensive practice Fulbright has steadily built and polished over more than five decades,” Jones said. “I am excited to be working among a team of accomplished lawyers and consummate professionals at an international firm with a global reach and rich history in doing what is right.”

Jones received his law degree from Northwestern University School of Law and is only licensed to practice in New York. While his application for admission to the District of Columbia Bar is pending, Jones’ practice will be supervised directly by principals of the firm licensed to practice in the District of Columbia."
