IP Attorney Joins Barnes & Thornburg LLP’s Indianapolis Office
Ms. Orich’s practice experience includes patent prosecution, licensing, information technology contracts and counseling clients in patent and technology-related issues. She has worked with clients on a range of technologies including computer software and hardware, business methods, medical devices and equipment, process control instrumentation and various other inventions in the mechanical, computer and electrical arts.

Prior to law school Ms. Orich’s business experience included working as a software developer, systems analyst and project leader for a small start-up company and large multinational corporations. She received her Bachelor of Science degree in system science engineering from Washington University in St. Louis and her Juris Doctor cum laude from the Indiana University School of Law – Bloomington.

Ms. Orich is registered to practice before the United States Patent and Trademark Office and is admitted to the bar of the State of Indiana and the United States District Court, Northern and Southern Districts of Indiana. She is a member of the Indianapolis, Indiana State and American Bar Associations, as well as the American Intellectual Property Law Association (AIPLA).

Mike Stevens Discusses Back Dating Stock Options In National Journal
Mike Stevens discussed back dating of stock option in the “Issue of the Week” section of the July 23rd National Journal. According to the article, which was titled “The Demise of Backdating,” most companies are no longer backdating stock options but the legal issues, and costs, are like to linger for years. Mike commented that "Actions against individual executives largely have been limited to people who intentionally backdated options in egregious circumstances." "Intentional backdating involves purposely selecting a date when the stock price was low and maintaining that an option was granted 'as of' that prior date… This is not illegal or inherently wrong provided that the financial statements adequately reflected the resulting compensation charge, the public disclosures accurately reflected the practice, and issuing a below-market priced option was permitted by the terms of the applicable plan. As a practical matter, this confluence of circumstances would have been rare." Mike pointed out that unintentional backdating "could result from lax corporate procedures, such as using unanimous consent actions for granting options but not having all directors sign on the same day, or the compensation committee failing to set all material terms on the intended date of grant." He said that "Many companies have adopted option grant policies which provide for regular grant dates and are intended to avoid the allegation that the company has backdated options to take advantage of non-public information.”

Restructuring of the Louis Dreyfus Group
Davis Polk & Wardwell is advising Mr. William Louis-Dreyfus and his trust on the restructuring of the family shareholding of the Louis Dreyfus Group. Following the restructuring, Mr. Robert Louis-Dreyfus, the current CEO of the Group, will take control of the Group, and the other family shareholders will retain a minority interest. The restructuring also involves the sale of the shipping business of the Group to Mr. Philippe Louis-Dreyfus. The financial terms of the transaction were not disclosed. Completion of the transaction is subject to obtaining certain regulatory approvals.

The Louis Dreyfus Group is the world’s largest processor, trader and merchandiser of various agricultural and energy commodities. It is also significantly involved in the shipping, telecom and real estate businesses. The Group’s 2006 consolidated annual gross sales exceeded $34 billion.

Dice Holdings, Inc. Initial Public Offering
Davis Polk & Wardwell advised Credit Suisse Securities (USA) LLC and Morgan Stanley & Co. Incorporated as the joint book-running managers and J.P. Morgan Securities Inc., Lehman Brothers Inc. and Jefferies & Company, Inc. as co-managers of the $217.1 million initial public offering of 16,700,000 shares of common stock of Dice Holdings, Inc. Of the 16,700,000 shares, Dice sold 6,700,000 shares and selling stockholders sold 10,000,000 shares.

Dice is a leading provider of specialized career websites for select professional communities.

The Davis Polk corporate team included partner Michael Kaplan, associates Tom C.W. Lin, Alan R. Lewis and Tyler W. Thorn and legal assistants Danielle Y. Eswar, Lisa Garmong and Fanny Ok. Former PCAOB Assistant Director Joins McGuireWoods
McGuireWoods LLP is pleased to announce the appointment of Christopher M. Cutler as a partner in its Washington, D.C. office and as a member of the law firm's Government Investigations Department. Cutler leaves his position as the Assistant Director, Division of Enforcement and Investigations, with the Public Company Accounting Oversight Board (PCAOB) in Washington, D.C. to join McGuireWoods.

As the first employee of the newly created PCAOB in 2003, Cutler assisted with the development of the Board's enforcement program. He investigated and settled the first enforcement action involving the failure of an accounting firm to cooperate with the board's inspection program. He was lead counsel for more than 30 registration hearings and investigated and settled enforcement cases involving violations of the laws and rules within the PCAOB's jurisdiction.

Previous to the PCAOB, Cutler was a Senior Counsel at the U.S. Securities & Exchange Commission's Division of Enforcement in Washington, D.C. He opened the Enron investigation and was instrumental in various settled fraud actions that resulted in more than $320 million of disgorged funds and penalties for distribution to injured Enron investors. He also assisted the SEC and the Department of Justice's Enron Task Force in related cases, including those against Enron's former CEO.

Frank Bullock To Speak At Labor And Employment Law Forum
Judge Frank Bullock will moderate a panel on "Summary Judgment in Labor and Employment Cases" at the 23rd annual North Carolina/South Carolina Labor and Employment Law Program and Annual Meeting. The two-day event is scheduled for November 2-3 in Charleston, S.C. Others scheduled to participate in the panel discussion are U.S. District Court Judges C. Weston Houck, Robert Conrad Jr. and Cameron Currie.

Before joining Womble Carlyle in 2006, Judge Bullock spent nearly a quarter-century as a federal judge. He continues to employ his judicial expertise as leader of the firm's Alternate Dispute Resolution Team, which helps parties resolve disputes outside of court in a timely and economic manner using mediation, neutral investigations, arbitration (both binding and non-binding), and conciliation. He is available to consult with Womble Carlyle attorneys and other law firms in litigation matters. In that capacity, he serves as a neutral, private judge.

Judge Bullock also assists businesses nationally in assessing cases and preparing for trial using the firm's state-of-the-art mock trial facilities.
