Kirkland & Ellis LLP Advises in Dade Behring Acquisition Valued at $7 Billion
Kirkland & Ellis LLP acted as legal advisor to clinical logistics company Dade Behring Holdings Inc. in their acquisition by German-owned Siemens. The deal is valued at $77 a share in cash, or $7 billion.

Following the completion of the tender offer, the parties will cause a subsidiary of Siemens to merge with Dade Behring. Completion of the merger is subject to receipt of regulatory approvals and other customary closing conditions.

The deal is expected to close in the second quarter of fiscal year 2008.

The Kirkland deal team was led by New York corporate partners Andrew E. Nagel, Thomas W. Christopher and William B. Sorabella, and associate Christine Alexis Pope.

Kirkland & Ellis International LLP advises Rutland Partners on final closing of Rutland Fund II LP
Kirkland & Ellis International LLP has announced that private equity client Rutland Partners LLP has held its final closing of Rutland Fund II LP with total commitments of £315m. The fund, which held its first closing in December, was oversubscribed. The fund will focus on making investments, predominantly in the UK, into companies which are facing difficult strategic challenges or may be underperforming, in need of restructuring or entering a period of change.

The fund has also just completed its first acquisition from the new fund, buying Attends Healthcare Holdings Limited from 3i for approximately €93m.

The Kirkland & Ellis team was led by partner Mark Mifsud and associate Kate Downey.

King & Spalding Advises Acuity Brands on Spin-off of Specialty Products Businesses
King & Spalding, a leading international law firm, announced today that it is representing Acuity Brands, Inc., in connection with the proposed spin-off of its specialty products businesses known as Acuity Specialty Products Group, Inc., into an independent publicly-traded company. The new independent company will be a leading provider of cleaning and maintenance solutions in the commercial, industrial, institutional and consumer markets and will have annual sales approaching $600 million.

Gary M. Schober elected to Kaleida Health Foundation’s board of directors
Gary M. Schober, president and CEO of Hodgson Russ LLP, has been elected to the Kaleida Health Foundation board of directors.

Mr. Schober oversees Hodgson Russ’s more than 230 attorneys and 330 plus management and support staff, who are located throughout its eight offices. In addition to leading the firm’s strategic vision and initiatives for growth and business development, he takes an active role in guiding the firm’s day-to-day operations.

Prior to being named president and CEO, Mr. Schober was a partner in Hodgson Russ’s Intellectual Property & Technology and Corporate & Securities Practice Groups, concentrating his practice in electronic commerce, computer, and technology law and counseling high-technology and other clients on a broad range of business law matters. He was frequently involved in high-dollar sale and purchase transactions involving complex technology-based businesses and had extensive experience with the sale of patents and other intellectual property. KIM HERNANDEZ VANCE APPOINTED TO TAMPA BAY
Kim Hernandez Vance was appointed by Governor Crist on July 17th to the Board of the Tampa Bay Regional Planning Council. Kim is a second generation Tampa native and great granddaughter of Casimiro Hernandez, the founder of the world famous Columbia Restaurant in Ybor City. Kim, a commercial litigation attorney in the Tampa office of GrayRobinson, represents clients in cases involving creditors' rights, banking regulation and defense, real and personal property rights, foreclosures, replevins, landlord-tenant disputes, uniform commercial code litigation and other matters. She is an "AV" rated lawyer by Martindale-Hubbell, the highest rating given by this service. Since passing the Florida Bar, her experience has encompassed a diverse commercial litigation practice. Most recently, Kim earned her certification as a Circuit Civil Mediator. Her civic activities include the Ybor City Rotary Club, The Spring of Board of Trustees, Boyscouts of America and Gulf Ridge Council Hispanic Outreach Committee.

The Tampa Bay Regional Planning Committee is made up of local government officials and community leaders from each of Tampa Bay's 43 jurisdictions. The committee is charged with investing in future of the region by developing strategic plans for environmental management, water quality, emergency preparedness, planning, protecting, and restoring the Tampa Bay estuary, coastal zone management, hurricane evaluation and recovery planning, local government comprehensive plan review, dispute resolution and review of transportation plans. The Tampa Bay Regional Planning Committee is one of 11 regional planning committees in the state of Florida.

Quinn Appointed to The Orlando Ballet Board of Directors
Orlando attorney Paul Quinn was recently selected to serve on the Board of Directors for The Orlando Ballet. Quinn's practice involves real estate and commercial transactions. David Zarwell Joins Fowler White
David M. Zarwell has joined the law firm of Fowler White Boggs Banker as an associate.

Mr. Zarwell practices in the firm’s General Trial Practice Group where he concentrates his practice in the defense of first and third party tort and contract claims including auto, property, personal injury, PIP, fraud and general liability claims, as well as prosecution of commercial claims.
