Merger Talks Between Law Firms: Texas-Based Hughes & Luce in Discussions with K&L Gates About Combining Firms
Kirkpatrick & Lockhart Preston Gates Ellis LLP (K&L Gates) and Hughes & Luce LLP (H&L) today announced that they are discussing the possible combination of their firms by year-end. If the combination occurs, the resulting firm would comprise over 1,500 lawyers in 24 offices located in the United States, Europe and Asia.

"More than 10 percent of the Fortune 1000 call Texas home," said Peter Kalis, K&L Gates’ Chairman and Global Managing Partner. "These and other Texas-based enterprises – including an enviable number of middle market and emerging growth companies, funds and financial institutions, and individual entrepreneurs – compete in regional, national and global markets, just as enterprises based elsewhere in the world do substantial business in Texas. Hughes & Luce is one of the pre-eminent law firms in the state and thus a very attractive potential partner."

"A true global platform created by the proposed merger would heighten the combined firm’s ability to serve clients in Texas, throughout the United States and around the world," said Edward Coultas, Hughes & Luce’s Managing Partner. "We are eager to explore this strategic opportunity for our clients and our respective firms."

The combined firm would have offices in Anchorage, Austin, Beijing, Berlin, Boston, Coeur d’Alene, Dallas, Fort Worth, Harrisburg, Hong Kong, London, Los Angeles, Miami, Newark, New York, Orange County, Palo Alto, Pittsburgh, Portland, San Francisco, Seattle, Spokane, Taipei and Washington, D.C.

The discussions between the firms commenced in the spring and have progressed continuously since that time. It is anticipated that, if the talks proceed to a successful conclusion, formal proposals will be presented to the respective partnerships in the fall.

FS Attorneys and Summer Associates Volunteer for Habitat for Humanity
Fraser Stryker attorneys Travis Tyler, Mark Brasee, Paul Barta, Lisa Jones, and Luke Klinker and summer associates Brian Bartels, Lynn Fullenkamp, Nicole Hanson, Colin Lebens, and Kelsey McChane participated in the firm's annual Buildable Hours campaign for Habitat for Humanity. The group worked on installation in one of Omaha's Habitat houses.

The Buildable Hours campaign is a nationwide program that encourages attorneys and the firms they work for to donate their time to the Habitat organization in lieu of normal billable work. Fraser Stryker has participated in this program since its inception.

AP Story Covers Alston & Bird’s Work with Coalition Against Domain Name Abuse
AP news story, “New Group Lobbies Against Internet Fraud: Technology, Hotel Companies Team Up to Lobby for Stricter Measures Against Internet Fraud,” discusses purpose of the Coalition Against Domain Name Abuse. The new coalition consists of 10 globally recognized, brand-name companies and was formed to address trademark and consumer protection issues. The article mentions that Paul Martino, Nao Matsukata and Eric Shimp are working with the coalition to “persuade federal lawmakers of the need to crack down against those who claim Web addresses, or domain names, that include -- or even resemble -- a legitimate company's trademark.”

Paul Martino was quoted in the article explaining that such practices, known as cybersquatting, impact the largest corporations the most because "[t]he bigger the brand name, the more lucrative it is to cybersquat the brand."

Davis Polk Advises VF on Its Acquisition of Seven For All Mankind and lucy activewear
Davis Polk & Wardwell is advising VF Corporation on its acquisition of Seven For All Mankind, LLC and lucy activewear, inc. The two companies will form the foundation of a new lifestyle brand-based coalition, VF Contemporary Brands, which VF intends to build with additional contemporary brands over time. Based in North Carolina, VF is a leader in branded lifestyle apparel including jeanswear, outdoor products, image apparel and sportswear. Based in Los Angeles, 7 For All Mankind® is the nation’s leading premium denim-lifestyle brand, sold in luxury retail stores and high end specialty boutiques and online at www.7forallmankind.com. Based in Portland, Oregon, lucy® is a rapidly-growing women's active lifestyle retail brand.

According to the terms of the transactions VF has agreed to pay $775 million for Seven For All Mankind, LLC and $110 million for lucy activewear, inc. The acquisitions will be financed through existing cash, borrowings under its existing credit facility and the placement of long-term debt. Both acquisitions are subject to receipt of customary government approvals and other customary conditions and are expected to be completed by the end of August.

The Davis Polk corporate team includes partners Julia K. Cowles of the Menlo Park office and George R. Bason Jr. of the New York office, associates Beth Hooton Ruiz, Lee B. Shepard and Tobias Bage (not yet admitted), and summer associate Jason Bassetti, all of the Menlo Park office. Partner Paul W. Bartel II and associate Stephen M. Pepper of the New York office are providing antitrust advice. Partner Rachel D. Kleinberg of the Menlo Park office is providing tax advice. Partner Gail A. Flesher of the New York office is providing environmental advice. Counsel Cynthia Akard of the Menlo Park office is providing employment advice. Partner Steven S. Weiner of the Menlo Park office is providing intellectual property advice.

Peter Felcher Named a "Power Lawyer" by The Hollywood Reporter
Corporate/entertainment partner Peter Felcher was listed in the inaugural "Power Lawyers" issue of The Hollywood Reporter and The Hollywood Reporter, Esq. Lawyers were chosen based on their influence within a specific area of the entertainment and media industry according to reader surveys. Peter was recognized for his work on numerous corporate deals for Warner Music Group and EMI Publishing, his representation of National Music Publishers' Association and his serving as the trustee of the Cole Porter Trusts. Warner Music Group's general counsel Paul Robinson was quoted in the article saying, "Felcher's knowledge of the music publishing industry combined with his impressive legal skills truly make him one of the best in the (music) business."

Piper Jaffray Gains Capital Markets Capabilities in Hong Kong
O'Melveny recently represented Piper Jaffray Companies (NYSE: PJC) in its definitive agreement to acquire Goldbond Capital Holdings Limited ("Goldbond"), a Hong Kong-based mid-size investment bank, for approximately $50 million.

Consideration of the transaction will be paid in approximately 90 percent cash and approximately 10 percent stock when the transaction closes. With this acquisition, Piper Jaffray gains capital markets capabilities in Hong Kong that further its mission of building the leading international middle market investment bank and institutional securities firm.

The transaction is subject to customary regulatory approvals and is expected to close in the third quarter of 2007.

The O'Melveny-Hong Kong team consisted of partner Colin Law, counsel Peter Chen, associates Winnie Suen and John Baptist Chan, and staff attorney Tommy Lam. Partner Larry Sussman advised on tax. Counsel Nate Bush provided regulatory advice.
