H3GM represents Juris Inc. in its sale to LexisNexis®
The attorneys at H3GM advised Juris Inc. in the sale of its law firm management software business to LexisNexis, a division of Reed Elsevier (NYSE), in a transaction that provides liquidity to Juris’ stockholders and allows LexisNexis to better serve law firms of all seizes. Juris, Inc. specializes in law office management and business software designed specifically for small and medium sized law firms. H3GM’s history with Juris includes legal representation in the areas of acquisitions, intellectual property and operational matters.

H3GM advise Lifepoint Hospitals Inc. in hospital sale to Tenet
H3GM represented Lifepoint Hospitals Inc. (NASDAQ: LPNT) in the sale of Coastal Carolina Medical Center to Tenet Healthcare Corporation (NYSE: THC). Coastal Carolina Medical Center, an acute care hospital located in Hardeeville, South Carolina, was sold to Tenet for approximately $35 million.

The Daily Transcript names Four in the San Diego office as Top Attorneys
The Daily Transcript, a Southern California business publication, annually conducts a poll among the county’s attorneys to determine the region’s best and brightest. This year, four attorneys in the San Diego office were selected as Top Attorneys. They are Steve Haasis (Insurance), John Haller (IP Litigation), Traci Lagasse (Real Estate Litigation), and Jason Meyer (Real Estate Litigation).

The four were selected after a rigorous peer-selection process that queried more than 6,000 attorneys in the San Diego area, resulting in 700 nominations in 11 categories. Multiple nominations narrowed the list to 25 semi-finalists in each category, who then voted amongst themselves to determine the Top 10.

FI&C obtains another significant victory in the National Advertising Division ("NAD") of the Better Business Bureau.
Established in 1971 by the Council of Better Business Bureaus, NAD is a self-regulatory mechanism that provides an alternative and cost-effective forum for the review of advertising. Attorneys at FI&C have considerable experience bringing challenges and defending advertising claims at NAD, and have developed an excellent record of achieving important victories for FI&C's clients in this forum. In this matter, agreeing with several of the arguments raised by Jeff Ireland, Brian Wright, and Jacqueline Brown, NAD found that a competitor of FI&C's client used advertising that misled consumers and overstated the results of a scientific study. NAD required the competitor to modify several advertising claims and to discontinue others.

Damon & Morey Attorneys Beth Ann Bivona and Mary C. Raymond Named As Western New York's "Up and Coming Attorneys"
Damon & Morey is pleased to announce that Beth Ann Bivona and Mary C. Raymond have been selected by the Daily Record as one of Western New York's Up and Coming Attorneys. This achievement demonstrates a commitment to the legal profession early in their careers, distinguishing themselves from many of their peers.

Beth Ann Bivona is a partner at Damon & Morey LLP who practices in the firms Business Litigation and Insolvency Department. She works primarily with businesses and other professional clients on a variety of commercial disputes and insolvency matters. Her work not only includes the handling of commercial, federal and complex litigation, debtor and creditor counseling, representation in bankruptcy proceedings and financial workouts. The Chair of the firms Equine Practice Group, Ms. Bivona also represents barn owners, horse owners, trainers, and riders on various matters involving contract negotiations, disputes, and litigation.

A frequent lecturer, Ms. Bivona, was appointed as the First Female Chair of the Bar Association of Erie County's Commercial and Bankruptcy and Law Committee. Her professional memberships include the New York State Bar Association, American Bar Association, the Western New York's Women' s Bar Association and Delta Sigma Pi (professional business fraternity). Ms. Bivona also serves on the Legal Committee of the New York State Horse Counsel and is a volunteer for Judge Ninfo's CARE Program, Lawyers for Learning and Volunteer Lawyers Project.

Ms. Bivona received her B.S. degree in Business Administration, cum laude, from State University of New York at Buffalo in 1993. She received her JD degree, cum laude, from Michigan State University, Detroit College of Law in 1997.

Mary C. Raymond is Special Counsel practicing in the firms Business and Corporate Department. A member of the Health Care, FDA and Medical Device and Pharmaceutical Practice Groups, Mrs. Raymond works for for-profit and not-for profit organizations on corporate formation, risk management, contract issues, venture capital, grants, finance and audit issues; administrative/agency proceedings, and compliance issues. Chair of the firms FDA Practice Group, she advises clients on matters involving FDA petitions, HACCP, product recalls, regulatory compliance, retail establishments, clinical drug trials, NDAs, OTC drug issues, drug labeling/marketing, medical device approvals and recalls, biotechnology/safety, import/export issues. Her environmental practice includes matters related to CERCLA and Navigation Law, Agricultural Law, statutory and regulatory compliance and issues related to the transfer of real property.

Mrs. Raymond is the current Chair of the Board of Directors of the Genesee County Chamber of Commerce as well as serving as the Chair of its Public Policy Committee. She is a member and Past President of the Batavia Rotary Club and a member of the United Memorial Medical Center Foundation Board of Directors. Her professional memberships include the American Health Lawyers Association, the Association of Food and Drug Officials, the Genesee County Bar Association and the Health and Environmental Law Sections of the Erie County and the New York State Bar Associations. She lectures frequently on FDA and health care issues.

Mrs. Raymond received her B.S. degree in Education, cum laude, from the State University of New York College at Plattsburgh, her M.A. degree in Education, with honors, from the State University of New York at Buffalo, and her J.D. degree, cum laude, from the State University of New York at Buffalo School of Law.

Schnader Creates Tax and Wealth Management Department
"Schnader Harrison Segal and Lewis LLP is pleased to announce the creation of a new department within the Firm: Tax and Wealth Management. The new department will consolidate the Firm’s trusts and estates and tax practices. The tax practice was previously housed among and across several departments, including the Trusts and Estates department and the Business Services department, and the trusts and estates practice operated as an independent, single department, consulting and collaborating with attorneys from tax as needed. The change will bring together complementary areas of expertise and allow for increased coordination with regard to corporate planning and finance concerns, as well as the development of wealth management strategies that both incorporate and extend beyond traditional trusts and estates law. It will also allow the practice groups to maximize the provision of service to clients in a more efficient and effective manner, integrating planning for closely held businesses and estate planning and allowing for planning across generations.

“This is a logical reorganization that better aligns the practice groups,” said Chairman Ralph Wellington. “This new structure will allow for better oversight and will give our clients the advantage of having all the necessary perspectives and areas of expertise available to them.”

Bruce A. Rosenfield – who previously served as the chair of the Firm’s Trusts and Estates department – will serve as chair of the new department. Mark T. Carlidge will head the Trusts and Estates Practice Group, Carolyn S. Nachmias will head the Tax and Business Planning Practice Group, and Roy S. Ross will serve as the administrative chair.

“I am looking forward to leading this new Department and to working with each of the new Practice Group chairs,” said Bruce Rosenfield. “This initiative will provide the organization needed to take advantage of how our practice has been evolving, as well as related changes in the area of wealth management and our clients needs and desires.”

Schnader’s Tax and Business Planning Practice Group handles a wide variety of matters, including structuring mergers, acquisitions and joint venture transactions; forming partnerships, limited liability companies and S corporations to operate closely held businesses and manage investment assets, such as securities and real estate; as well as providing tax advice with respect to complex, tax-driven transactions, such as tax-credit and other syndications, and tax-exempt financings. The group regularly represents clients with regard to federal, state and local tax controversies. In addition, the Practice Group has substantial experience in international tax planning, for businesses and individuals, and employee benefits, including counseling clients on executive compensation, pension, profit-sharing and retirement plans.

The Trusts and Estates Practice Group provides sophisticated legal services to individuals and families of high net worth, including family business owners and corporate executives. The members of the group work with successive generations of families to develop and implement coordinated gift and estate tax plans that achieve both family and individual goals. The attorneys draft wills and lifetime and testamentary trusts that are tax efficient yet remain sensitive to each client’s personal situation. Attorneys in the group have extensive experience working with family-owned corporations and partnerships and the myriad of tax and succession planning issues that arise in the context of those entities. The attorneys also counsel clients with respect to retirement benefits, charitable giving, saving for education, and planning for disability and health care decision-making. Clients include U.S. citizens and residents, and non-resident aliens with U.S. property interests. Schnader’s Trusts and Estates lawyers also represent individual and corporate fiduciaries and beneficiaries in all phases of estate and trust administration. The group includes a full team of highly experienced accountants and fiduciary administrators who assist with the wide range of issues that arise in the administration process.

Additionally, the Tax and Business Planning and the Trusts and Estates Planning Groups work in tandem to provide a wide variety of legal services to non-profit organizations, including the formation of and application for tax-exempt status for public charities and private foundations, and maintenance of federal and state tax exemptions, preparation and filing of annual federal and state returns and reports, compliance with state law disclosure requirements and counseling on the structuring and maintenance of planned giving programs. The Groups also provide guidance in connection with reorganizations and complex transactions of non-profits, as well as their governance and grant-making."
