Elizabeth Fitzpatrick To Lecture on Insurance Coverage Law
Elizabeth Fitzpatrick will lecture at the upcoming National Business Institute seminar addressing the latest issues in insurance coverage law. The seminar is scheduled for September 28, 2007 in Garden City, New York and will address many issues, including emerging coverage-related legislation, contract analysis, bad faith, and litigating coverage claims. Vocento in €140 Million Spanish Newspaper Acquisition
Cleary Gottlieb acted as U.S. and U.K. counsel to Goldman Sachs International in its role as financial advisor to Vocento, S.A. in connection with Vocento’s €140 million acquisition of the free Spanish newspaper, Que! The deal closed on August 1.

Vocento is Spain’s leading print press group, owning ABC, El Correo, El Diario Vasco, El Norte de Castilla, Las Provincias and seven additional regional newspapers. Its regional dailies reach an audience of over 3.5 million readers with a daily circulation of more than 740,000.

Goldman Sachs in $5.6 Billion Takeover of Dow Jones
Cleary Gottlieb is representing Goldman Sachs as financial advisor to Dow Jones & Company in Dow Jones’ agreement to sell itself to News Corporation for $5.6 billion in cash. Members of the Bancroft family and the trusts held for their benefit, who collectively own approximately 37% of Dow Jones' voting stock, have agreed to vote to approve the sale. In addition, the parties will enter into an editorial agreement providing for the establishment of a five-member, special committee charged with assuring the continued journalistic and editorial integrity and independence of Dow Jones' publications and services. The deal also includes an option for a limited number of Dow Jones shareholders to elect to receive securities of a newly formed News Corporation subsidiary on a tax-free basis. Announced on August 1, the transaction is expected to close at the end of 2007.

Cleary Gottlieb also advised Dow Jones earlier this year, in connection with the adoption of change-in-control employment arrangements in response to News Corporation’s initial takeover proposal.

Dow Jones provides global business news and information services, publishing The Wall Street Journal, Barron's, MarketWatch and the Far Eastern Economic Review.

News Corporation, with assets of $62 billion and annual revenues of $28 billion, is a diversified entertainment company with operations that include filmed entertainment, television, cable network programming, direct broadcast satellite television, magazines and inserts, newspapers, and book publishing.

New Mackenzie Hughes Partner Brings Wealth of Labor and Employment Experience
Joseph C. Dole has always had a fondness for hard work and education.

Since earning his law degree from Yale Law School in 1988, Dole has focused his practice on labor and employment law, representing both private and public employers, and with an additional specialization in higher education law. Now Dole, a newly appointed partner at Mackenzie Hughes LLP, looks to expand the firm’s concentration in these areas.

At Mackenzie Hughes, Dole’s practice focuses on all aspects of labor and employment law, including: employment discrimination, collective bargaining and arbitration, wage and hour issues, employee non-competition, employment at-will and employment contracts. In addition to representing employers in the litigation of employment discrimination cases in state and federal courts and before administrative agencies, he will provide counseling to employers in labor and employment matters to minimize the risk of litigation arising out of employment disputes.

“Joe’s invaluable expertise and experience will play an important role in expanding our labor and employment practice,” said Art Wentlandt, partner and chairman of the Mackenzie Hughes Executive Committee. “He’s one of the region’s premier labor and employment law attorneys and we’re thrilled to have him on our talented team.”

Prior to joining Mackenzie Hughes, Dole served as an associate clinical professor at the Cornell University Law School’s “Lawyering Program.” He also served as a visiting professor at Syracuse University's College of Law, teaching legal writing, employment discrimination and labor law classes.

Dole spent 14 years as a labor and employment law attorney at another local law firm where he provided representation and advice on labor and employment matters to a wide variety of private and public sector employees. In particular, he provided counsel and representation to several New York higher education institutions, including Syracuse University, Elmira College, Clarkson University, Ithaca College, and St. Lawrence University, on both employment and student affairs issues.

“Mackenzie Hughes has always been one of the most respected law firms in the CNY community and I’m very excited to be working with so many gifted attorneys,” Dole said.

Dole received a bachelor’s degree from Cornell University in 1983 and a master’s degree in public administration from Syracuse University’s Maxwell School of Citizenship and Public Affairs in 1985. While earning his law degree from Yale Law School, Dole served as a senior editor of the Yale Law Journal. He is admitted to practice in New York, the United States Court of Appeals for the Second Circuit, and the United States District Courts for Northern, Western, Southern and Eastern Districts of New York, and is a member of the Labor and Employment Law sections of the American Bar and the New York State Bar Associations.

Trudel Hosts Delaware Bankers Association Meeting
Glen P. Trudel, Of Counsel in the firm’s Business Law Group, hosted the Delaware Bankers Association Regulatory Compliance Committee meeting on August 1, 2007. Nessa Feddis, Esq., Senior Federal Counsel to the American Bankers Association's Government Relations Division, served as guest presenter. She gave a presentation on the Federal Reserve Board’s proposed amendments to Regulation Z of the Truth-In-Lending Act. Mr. Trudel then led an engaging group discussion regarding the practical implications of the proposal on banking organizations’ operations and businesses, and regarding which aspects of the proposal presented opportunities for banking community commentary.

Sughrue Makes Trademark News in China
Sughrue Mion was recently named the U.S. representative of a newly formed Alliance between the Chinese Trademark Association and its membership. The Alliance will provide direct access for the CTA's 800 members to Foreign Firm Alliance members to assist CTA members with TM issues in foreign jurisdictions around the world. Sughrue Mion was recently named the first US law firm accepted an official member of the Chinese Trademark Administration. The Chinese Trademark Association (CTA) is a non-profit organization directed by the State Administration of Industry and Commerce with more than 800 members.

The catalyst for the creation of the Alliance and Sughrue being accepted as a member of the CTA was the first International Trademark Forum in Beijing on May 30, 2007. Sponsored by Sughrue (in conjunction with additional Alliance members Middle Eastern law firm Abu-Ghazaleh Intellectual Property and Latin American law firm J. Vega and Asociados,) the event was designed to promote brand development and brand protection for Chinese exporting companies.
