Thelen Reid Represents MDU Resources in $475M Acquisition of Cascade Natural Gas
Thelen Reid & Priest LLP's Energy, Utility, and Infrastructure team is representing longstanding client MDU Resources Group, Inc. in a definitive merger agreement to acquire Seattle-based Cascade Natural Gas Corp. for cash consideration of $26.50 per share. The transaction has a total value of approximately $475 million, which includes the assumption of certain debt.

Cascade will join Montana-Dakota Utilities Co. and Great Plains Natural Gas Co. as MDU Resources utility business units. The merger nearly doubles MDU Resources' customers for natural gas. Montana-Dakota and Great Plains serve approximately 250,000 natural gas customers and 120,000 electric customers in five upper Midwest states. Cascade serves 235,000 customers in 93 communities, 65 of which are in Washington and 28 in Oregon.

New York-based Mergers and Acquisitions partner Richard S. Green led the Thelen Reid legal team for this transaction. He was integrally involved in advising the MDU Resources board and senior management team, and provided leadership in the negotiation of the merger agreement on behalf of MDU Resources. Mr. Green was ably assisted by New York-based Business partner Walter J. Godlewski III, Tax partner Michael C. Weinstein, Energy Trading partner Andy F. MacDonald, and associate Binh-Minh Ha.

The deal is expected to close in 2007, following approval by Cascade shareholders and utility regulators, and Hart-Scott-Rodino antitrust clearance.
