Charles Golden Appointed Trustee of J. Wood Platt Caddie Scholarship Trust
Charles M. Golden , Partner and Chairman of Obermayer Rebmann Maxwell & Hippel LLP’s Creditor’s Rights, Bankruptcy and Financial Reorganization Department, was recently appointed Trustee of the Meadowlands Country Club for the J. Wood Platt Caddie Scholarship Trust. He has been reappointed for a one-year term.

The J. Wood Platt Caddie Scholarship Trust*, established in 1958, provides college tuition grants to deserving caddies associated with the Member Clubs of the Golf Association of Philadelphia. The scholarship program is open to young individuals who have caddied for at least one year at one or more Member Clubs of the Golf Association of Philadelphia and have good academic qualifications and are in need of financial aid. The candidates’ selection is made on a semi-annual basis by the Trustees. In the last 47 years, 3,075 young men and women have received over $10.75 million in aid.

Golden has over 40 years of experience in the field of bankruptcy reorganization. He has an extensive background in financial planning and reorganization of business entities suffering economic reversal.

Golden’s practice focuses on counseling large corporate Chapter 11 debtors throughout their bankruptcy cases and assisting them in successfully reorganizing. He has actively participated in some of the largest bankruptcy cases in the Eastern District of Pennsylvania. Additionally, Golden has represented creditors committees, providing advice on recovery of large percentages of their claims. As counsel to these committees, he has experience investigating possible fraudulent transfers, preferences and potential successor liability claims.

Golden received his Bachelor of Science degree in economics from the University of Pennsylvania’s Wharton School of Business, and his Juris Doctor from Temple University School of Law, Philadelphia. Prior to joining Obermayer in 1988, he was a partner with Weiss Golden & Pierson. During this time, he also owned and operated a for-profit hospital for seven years.

Golden is active in the bankruptcy bar and previously served on the Executive Committee for the Eastern Bankruptcy Conference. He formerly served as vice president of the Bankruptcy Committee for the Philadelphia Bar Association’s Business Law Section, and

has been active in its Judicial Evaluation and Retention Committee. Golden is past president of Temple Law Alumni Association and was previously a member of the Disciplinary Panel of the Supreme Court. Golden is named as one of Pennsylvania’s “Super Lawyers” as listed in both the Philadelphia magazine (June 2006/June 2004 & 2005) and the Law and Politics Magazine, “Pennsylvania Super Lawyers 2006” and 2004-2005 editions. He is a contributing author for the Bankruptcy Update column in The Legal Intelligencer.

Obermayer is a full service regional law firm headquartered in Philadelphia with offices in Harrisburg and Pittsburgh, Pennsylvania, Cherry Hill and Vineland, New Jersey and Wilmington, Delaware.

* J. Wood (Woody) Platt was one of the country’s finest amateur golfers and a member of the team that preceded Walker Cup competition. During his career, he won seven Philadelphia Amateur Championships and was USGA Senior Amateur Champion in 1955. Woody Platt, a former president of the Golf Association of Philadelphia, was one of the prime movers of the Caddie Scholarship Trust program and personally raised the funds for the first caddie/scholar. Platt died in 1959 at the age of 61.

Occupier of The Year Award for Matheson Ormsby Prentice
Matheson Ormsby Prentice was awarded the Occupier of the Year Award for Riverside IV at the Irish Property Awards held in the Burlington Hotel on 30 November. The firm will move to its new offices at Riverside IV, Sir John Rogersons Quay in 2007.

The awards recognise the best performers in the Irish commercial and residential property markets, and are highly valued because nominees are judged by their peers. The Irish Property Academy is made up of around 100 property professionals split into two sections - Ireland and Northern Ireland - who nominate the companies, projects and individuals they believe are most deserving of the awards.

Ten Maslon Attorneys Named "2007 Rising Stars" by Minnesota Law & Politics
Ten of Maslon's newest attorneys have been named "2007 Minnesota Rising Stars" as part of Minnesota Law and Politics December/January 2007 Issue. Dreier LLP Wins $3.25 Million Judgment for Grant Prideco
The New York Supreme Court, Appellate Division, First Department has unanimously affirmed a $3,250,000 judgment entered in favor of Grant Prideco, Inc. (NYSE: GRP) (“Grant”), a leading manufacturer of oilfield drill pipe and tubular products headquartered in Houston, Texas, against plaintiff Active Media Services, Inc. (“Active), an international corporate trading company based in Westchester County. With accrued interest, the judgment is close to $4.5 million.

The claims stemmed from a $100-million insured trade credit program sponsored by Active, that Grant claimed was shut down over a year before its credits expired. The Appellate Division panel agreed noting that in 2000 Active “abandoned altogether its account with defendant by firing the individual who had originated and managed its insured trade credit division, shutting down his department and terminating or reassigning all remaining personnel.”

The Court found that when recovery under the underlying insurance policy was sought, “plaintiff prevented recovery by certifying that defendant was not in compliance with its contractual obligations,” even though the evidence was to the contrary.

Damages were originally awarded by Supreme Court Justice Karla Moskowitz on renewal of a prior motion for summary judgment. Her decision was grounded in an arbitration award obtained against Active in Texas by another Houston oil and gas company, National Oilwell, L.P. The Appellate court agreed that the Texas arbitration was “almost identical” to the New York case, and prevented Active under the doctrine of collateral estoppel from avoiding the claims of wrongdoing made by Grant.

Grant was represented by Dreier LLP partner Jeffrey A. Mitchell and associate E. Timothy McAuliffe, Jr. Active was represented by Paul Hastings Janovsky & Walker LLP partner Gerald J. Fields.

“We are pleased that the appellate court agreed with Justice Moskowitz that Active failed to deliver what it promised,” stated Mr. Mitchell. “Active was paid millions of dollars by
Grant and others to administer an insured program, and instead simply abandoned it midstream leaving its customers with tens of millions of dollars of worthless credits. Rather than cooperate with those customers when they tried to recover under their insurance policies, it blamed them instead. We are gratified that the Court saw through that charade and rejected Active’s claims in their entirety.”

In the underlying case, Active sold Grant 4.65 million trade credits, the value of which was supposedly insured on a one dollar for one trade credit basis. A portion of the purchase price for the credits was originally financed by National Westminster Bank, PLC (“NatWest”), in part in exchange for an assignment of the right to first proceeds of any insurance recovery. If the credits could not be disposed of within their three-year term, unless Grant had defaulted on its minimal contractual obligations, the carrier was required to pay NatWest up to $4.65 million. Active failed to retire even one trade credit for Grant.

Both sides had earlier moved for summary judgment, but the Court was unable on the exchange of papers to determine which party had breached first. Then, on the eve of a March 2006 trial date, it came to light that another similarly-situated Houston based insured trade credit holder in the oil and gas business, National-Oilwell L.P. (“National”), had just prevailed against Active in a Texas arbitration making claims virtually indistinguishable from those of Grant, and the panel in the National arbitration made numerous and significant findings of fact against Active which applied equally to this case. Grant also learned that Active withheld several material documents produced in that arbitration. Grant successfully renewed its summary judgment motion based on material from the Texas arbitration proceeding.
