Michael Red joins Ice Miller
Ice Miller LLP is pleased to announce that Michael Red has joined the Firm as an associate in its tax group.

Red concentrates his practice on issues related to nonprofit and tax-exempt organizations, including issues arising out of the Pension Protection Act of 2006. Prior to joining Ice Miller, he practiced in litigation with the law firm of Baker & Daniels in Indianapolis. Red's professional experience also includes serving as a regional director for the American Heart Association and as director of development for Indiana University's School of Health, Physical Education, and Recreation.

Red is involved in a variety of community service activities and currently serves as a class agent for the Indiana University School of Law – Bloomington's Fund for Excellence and was the Campaign Chair for the Class of 2004. He also served as pro-bono counsel for the Middleway House of Monroe County, representing women and children who were victims of domestic violence and abuse.

Red earned a bachelor of science in kinesiology from Indiana University in 1998. He earned his juris doctorate from Indiana University School of Law – Bloomington in 2004.

Hodgson Russ partner Kenneth P. Friedman elected president of Buffalo and Erie County Historical Society
Kenneth P. Friedman, a partner in Hodgson Russ LLP’s Corporate & Securities Practice Group, has been elected president of the board of the Buffalo and Erie County Historical Society (BECHS).

Mr. Friedman has been a member of the BECHS board of managers since 2000, is currently chair of the Governance Committee, and has served on the Executive and Museum Collections Committees during his six-year tenure. He was also a leader of the Transition Committee, which oversaw recent museum operations.

Mr. Friedman’s community involvement includes his membership on the board of trustees of The Buffalo Seminary, the national board of advisors for the National Conference for Community and Justice (NCCJ), and the board of directors of the First Shiloh Youth Foundation, Inc. In addition, he continues his activities with Leadership Buffalo, where he has served as president. He is also a former president of NCCJ. He formerly served on the boards of the Office of Urban Initiatives, Inc., the Buffalo Alliance for Education, and the Jewish Community Center of Greater Buffalo. Mr. Friedman was among Business First’s "40 Under 40" in 1994.

Mr. Friedman focuses his practice in corporate law, finance law, and mergers and acquisitions law. He has a B.A. from the University of Rochester and a J.D, cum laude, from the University of Pittsburgh Law School, where he was a member of Order of the Coif and executive editor of the University of Pittsburgh Law Review. He is listed in The Best Lawyers in America.

BECHS collects, preserves, and researches the history of Western New York and the Great Lakes in general, and of Buffalo and Erie County in particular, from prehistoric times to the present. BECHS maintains a research library including manuscript, photographic, and rare book collections as well as a permanent collection of Pan-American Exposition artifacts. The society also provides extensive genealogical resources.

Freshfields advises Cinven on sale of shares in Eutelsat Communications
International law firm Freshfields Bruckhaus Deringer is advising Cinven on the disposal of its investment in Eutelsat Communications SA. Cinven, via its investment vehicle CB Luxembourg III Sarl (CB III), has agreed to sell its entire shareholding in the satellite operator, which comprises 25,196.325 shares at a price of €15.50 per share, in two separate transactions.

CB III will dispose of 10.9 per cent of Eutelsat to Abertis Telecom SA, a division of the Spanish Infrastructure group Abertis Infraestructuras SA, and another 0.8 per cent to Lehman Brothers International (Europe).

The sale to Abertis Telecom SA remains subject to the approval of competition authorities.

The Freshfields team was led from Paris by corporate partner Fabrice Cohen and corporate associate Laurent Tari.

The Home Depot in $3 Billion Share Repurchase
Cleary Gottlieb advised The Home Depot in the company’s structured accelerated share repurchase of $3 billion of outstanding shares. The accelerated share repurchase transaction was funded with proceeds from The Home Depot’s recent $5 billion debt offering and is among the largest transactions of this type ever executed. The Home Depot is the world’s largest home improvement specialty retailer, with sales of $81.5 billion and earnings of $5.8 billion in fiscal 2005.

HSBC Holdings plc in $700 Million Debt Offering
Cleary Gottlieb represented longtime client HSBC Holdings plc, one of the largest banking and financial services organizations in the world, in its offering of $700 million of its 6.5% subordinated notes due 2036. In May 2006, Cleary Gottlieb represented HSBC in the $900 million initial offering of these notes and in their August 2006 re-opening in which $400 million principal amount of these notes were issued. The notes are listed on the New York Stock Exchange. The offering closed on December 14.
