Matheson Ormsby Prentice advises Walsh Western International on US$400 million acquisition of US transport company
Matheson Ormsby Prentice has advised on the acquisition of TDS Logistics, the Atlanta-based transportation group, by Walsh Western International Limited, the Dublin-based transport and logistics group for US$400 million (€309.3 million).

TDS Logistics was sold by Yucaipa Companies, the Los Angeles-based fund. Located in Atlanta GA, TDS provides specialist services to clients such as BMW, DaimlerChrysler, Ford, General Motors and Volkswagen.

The Matheson Ormsby Prentice team of lawyers led by Corporate Finance partner Edward Miller and Tax principal John Ryan.

Fifth Circuit Affirms Denial of Class Certification
The United States Court of Appeals for the Fifth Circuit today affirmed the denial of the certification of a class of approximately 18,000 Mississippi residents who had not been paid "inherent diminished value" in first-party auto insurance claims. The Court affirmed the District Court's findings that individual issues predominated over common issues, and that the proposed class suffered from manageability problems. Lightfoot, Franklin & White attorneys Wynn Shuford and Natasha Wilson represented Alfa Insurance Companies in the United States District Court for the Southern District of Mississippi, and Chris King argued the case before the Fifth Circuit.

Deborah A. Aviles Appointed Chair of Judicial Election Qualification Commissions
Chief Judge Judith S. Kaye and Chief Administrative Judge Jonathan Lippman appointed Lewis Johs partner Deborah A. Aviles as Chair of the Tenth Judicial District’s Independent Judicial Election Qualification Commission, a newly established statewide network of screening panels to review the qualifications of judicial election candidates. The commissions will evaluate local candidates for elective judicial office to ensure they possess the qualities necessary for effective judicial performance. Judge Lippman said the commissions represent one of the best methods available for improving the current judicial elective system.

Attorney General Announces Predatory Lending Enforcement Campaign
Attorney General Marc Dann pledged Monday to conduct an "unprecedented multi-jurisdictional" drive to investigate alleged predatory lenders and take criminal or civil action against them. Mr. Dann said the new Ohio Homebuyers Protection Act that took effect Jan. 1, 2007 gives the attorney general enforcement authority over abusive lending practices on the part of loan officers, mortgage brokers or non-bank lenders.

"It is my goal as attorney general to make Ohio the least-friendly state for predatory lenders and unscrupulous, and unconscionable, and fraudulent lenders of all types," Mr. Dann said at a news conference. We're going to put an end to predatory lending which has caused, among other factors, Ohio's home foreclosure rate to be the highest in the country, which caused Ohio's bankruptcy rate to be the second-highest in the country, and in many cases has driven people out of their homes," he recently stated.

"We are going to engage in a campaign, really unprecedented in Ohio history, working on multi-jurisdictional levels with the U.S. Attorney and the FBI, working with local prosecutors and local police departments ... to take on these mortgage lenders," Mr. Dann said.

New Consumer Protection Chief

Attorney General Dann introduced Nadine Ballard as the new director of the consumer protection division in his office, and coordinator of the anti-predatory lending campaign. Ms. Ballard has served since 1992 as a magistrate in Montgomery County common pleas court. From 1980-1985 she was an assistant attorney general in the consumer protection division. Ms. Ballard is co-author of Ohio Consumer Law, a manual for attorneys who practice in that area.
