ATTORNEY NINA GREENE KERSH WILL SERVE AS FACILATOR FOR BUSINESS SOLUTION ROUNDTABLE AT THE IFA FRANCHISE CONVENTION
Nina Greene Kersh, partner at the law firm of Genovese Joblove & Battista, P.A., will serve as one of the Franchise Service Experts at the 47th Annual IFA Franchise Convention at Caesars Palace in Las Vegas, Nevada. The IFA Convention offers a wide-variety of cutting edge topics relevant to how you conduct business on a daily basis through a series of business solution roundtable discussions. Ms. Kersh’s roundtable will involve “Managing System Change and Modernization through the Franchise Agreement,” sponsored by the Supplier Forum.

This discussion will address updating system appearances and applicable legal issues, effective franchisor communication methods to franchisees regarding system change/modernization, ensuring franchisee compliance with system change/modernization and effective franchisor methods for responding to failed franchisee compliance with system change/modernization.

The IFA Convention is the premier educational and networking event in franchising where top business executives, franchise development teams, financial officers and operations specialist can stay current on the latest strategies and best practices.

Ms. Kersh specializes in franchise and general commercial litigation as well as real estate, medical device and trademark litigation. As a member of the Firm's franchise practice, she has represented franchisors in litigation matters involving protection of trademarks and intellectual property rights, franchise terminations, racial discrimination claims and other issues. She has represented franchisors in state and federal trial and appellate courts in Florida and throughout the United States. In addition, Ms. Kersh also provides counsel to franchisors regarding transactional matters.

She earned her LL.M in Taxation from Temple University School of Law in 1997, Juris Doctorate from the University of Miami School of Law in 1991 and her Bachelor of Arts from the University of Pennsylvania in 1988.

Frantz Ward LLP Hires Joseph P. Koncelik, Former Director of Ohio EPA, To Head Up New Environmental Practice Area
Frantz Ward LLP announced today that Joseph P. Koncelik, most recently director of the Ohio Environmental Protection Agency, joined the firm as a partner. Koncelik will head up an environmental law practice, something new for Frantz Ward.

Koncelik has over 12 years of environmental regulatory experience in senior positions at the Ohio EPA, including Director, Assistant Director and Chief Legal Counsel. In his practice at Frantz Ward, Mr. Koncelik will focus on environmental matters and government relations.

Koncelik brings extensive experience in environmental matters to Frantz Ward. During his tenure at the Ohio EPA, Mr. Koncelik developed and implemented major regulatory changes to air pollution, water pollution, solid waste, and industrial waste regulations, serving on joint committees that streamlined the environmental permitting process and aided in the redevelopment of contaminated properties. He also served on the Clean Ohio Counsel, which awards grants to pay for clean up of contamination so brownfields can be returned to productive use.

Koncelik was instrumental in the development of a number of critical pieces of environmental legislation. In 2006, he was the Governor's representative in legislative discussions regarding S.B. 265, constituting the first major overhaul to Ohio's air pollution regulations in more than a decade.

As a senior state official, Koncelik actively collaborated with U.S. EPA and other states in national and regional discussions involving air pollution and the Great Lakes, participating in a multi-state collaboration to help develop strategies to meet the new federal air standards. He also served in a leadership role in the Great Lakes Regional Collaboration and co-chaired a subcommittee created to address contaminated sediment in the Great Lakes.

As part of his duties as Chief Legal Counsel for the EPA, he was responsible for management of their enforcement program, maintaining an active case load of over 500 cases.

"I am excited to join Frantz Ward. I'm looking forward to using my extensive experience to assist businesses in accomplishing their goals while complying with complex environmental law and regulations," said Koncelik.

Since leaving public service, Koncelik has provided consulting assistance to the Greater Cleveland Partnership, helping develop strategies to assist Northeast Ohio in meeting the federal ozone and fine particle standards.

Koncelik received his Bachelor of Arts degree and Juris Doctor from The Ohio State University.

Law firm contributes to Covington Latin School on behalf of founding member
Partners with the law firm of Deters, Benzinger & LaVelle, Patrick Hughes (class of 1986) and Mark Guilfoyle (Class of 1976), recently presented a $25,000 check to Andy Barczak, headmaster of the Covington Latin School. The firm's contribution represents the third installment of a $75,000.00 pledge by Deters, Benzinger & LaVelle, to Covington Latin School, honoring one of the firm's founding members, John C. "Jack" LaVelle who passed away in June, 2003. Mr. LaVelle was a 1962 graduate of Covington Latin School.

Linda LaVelle, Jack's widow, was also on hand for the check presentation. Monies contributed to the Jack LaVelle Memorial Fund will be used for financial need scholarships for worthy students at Covington Latin School.

DBL attorneys move to Cincinnati office
Attorneys Lev K. Martyniuk and John R. Kirk recently moved to the Cincinnati office of Deters, Benzinger, and LaVelle, PSC (DBL) from their northern Kentucky location in Crestview Hills. Both attorneys offer extensive expertise for DBL clientele, concentrating in tax (transactions and controversies), general corporate, and mergers and acquisitions.

Davis Polk Advises Cellcom Israel Ltd. on Its Initial Public Offering and NYSE Listing
Davis Polk & Wardwell advised Cellcom Israel Ltd. in connection with the initial public offering and listing of its ordinary shares on the New York Stock Exchange. Discount Investment Corporation Ltd. of Israel and Goldman Sachs International sold 19,025,000 and 975,000 ordinary shares respectively, or approximately 20% of Cellcom’s outstanding share capital, raising gross proceeds of $400 million. The offering was the largest initial public offering this decade, and the second-largest initial public offering ever, by an Israeli company.

Cellcom is the leading provider of cellular communications services in Israel. The company entered the market in 1994 and today provides services to more than 2.8 million subscribers, representing a market share of approximately 34%.

The underwriters included Goldman, Sachs & Co., Citigroup Global Markets Inc. and Deutsche Bank Securities, Inc. acting as joint book-running managers, Merrill Lynch & Co. acting as joint lead manager and Jefferies & Company and William Blair & Company acting as co-managers for the offering.

The Davis Polk corporate team included partner Michael Kaplan and associate Yair Geva of the New York office and associates John B. Meade and Daniel M. Shapiro of the London office. Partner Avishai Shachar and associate Alon Gurfinkel of the New York office provided tax advice. Alex Pelopidas of the London office and Elizabeth Rollings of the New York office were the legal assistants on the transaction.

Davis Polk Advises FirstGroup on Its Acquisition with Laidlaw
Davis Polk & Wardwell is advising FirstGroup plc on its merger with Laidlaw International, Inc. Based in the United Kingdom, FirstGroup plc is an international passenger transport group providing services in the U.K. and North America. Based in Illinois, Laidlaw is a holding company for North America’s largest providers of school and inter-city bus transport services, including Greyhound Lines, and a leading supplier of public transit services.

According to the terms of the merger agreement, Laidlaw shareholders will receive $35.25 for each outstanding share of Laidlaw common stock, valuing the transaction at approximately $3.6 billion, including the assumption of $800 million of debt. The merger is conditioned upon approval by the stockholders of both Laidlaw and FirstGroup and certain regulatory approvals, as well as other customary closing conditions.

Robert E. Hauberg Jr. Named Among Outstanding Healthcare Antitrust Lawyers by Nightingale's Healthcare News
Robert E. Hauberg Jr., of the law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, PC, has been named an Outstanding Healthcare Antitrust Lawyer by Nightingale's Healthcare News, a newsletter for healthcare executives and professionals serving the healthcare industry. Mr. Hauberg is among 12 attorneys from across the country who were named to the list, which is published annually by Nightingale's.
