Corporate Section Closes $16 Million Asset Sale to NuVasive, Inc.
Radius Medical, LLC, a privately-owned company based in Newport Beach, CA sold their product portfolio including exclusive license and marketing rights to Formagraft(R) Bone Graft Strips, Formagraft Bone Graft Granules, and the underlying collagen technology to NuVasive, Inc. (Nasdaq: NUVA), a medical device company focused on developing products for minimally disruptive surgical treatments for the spine. Pursuant to the acquisition agreements, NuVasive made a closing payment of $16 million. Radius Medical was represented in the transaction by Partner Larry Cerutti and Associate Rushika Kumararatne of Rutan & Tucker's Corporate Section.

Matheson Ormsby Prentice Advises on First Italian CFO transaction
Matheson Ormsby Prentice advised BNP Paribas and Zoo HF 3 plc on the first CFO (collateralised fund obligation) transaction managed by an Italian Manager.

The Zoo 3 transaction, which involved the issuance of notes to the value of up to €150 million, is managed by P&G SGR, the Italian hedge fund and asset manager. Unusually, the transaction involved no warehousing of assets and the manager has flexibility to invest the funds raised for the CFO itself rather than participating in pre-existing funds. The Matheson Ormsby Prentice team was led by Turlough Galvin and Christian Donagh.

Matheson Ormsby Prentice tops the 2006 European CDO Advisers to Issuers Tables
For the second year running, Matheson Ormsby Prentice has been named the top law firm in Europe for advising issuers in debt capital market transactions for 2006. In league tables published for each quarter of 2006 by international financial publisher, Thomson Financial, the firm was recognised as having advised (over the whole of 2006) issuers on more debt issuance transactions than any other law firm in Europe. In fact, Matheson Ormsby Prentice advised nearly twice as many issuers of debt securities in International Collateralised Debt Obligation (CDO) transactions as any other law firm in Europe.

TWO VETERAN ATTORNEYS JOIN LOCKE LIDDELL & SAPP: J. DEAN HINDERLITER IN DALLAS; ROBERT J. SUSSMAN IN HOUSTON
– Two well-known and long-time attorneys in Dallas and Houston have joined Locke Liddell & Sapp as partners. Dean Hinderliter, an experienced and well-respected tax attorney, joins the Dallas office after heading up the tax practice at Munsch Hardt Kopf & Harr. Prominent criminal defense attorney Robert (Bob) Sussman, previously a name partner in his own defense firm, has joined the Houston office to head up the Firm’s white-collar practice. Both have been named Texas Super Lawyers.

Hinderliter focuses his practice on tax law relating to mergers and acquisitions, restructurings, partnerships, real estate investments, executive compensation and financial products. His clients have ranged from wholly owned businesses and local entrepreneurs to Fortune 100 companies. The acquisitions he has worked on have been as small as a few hundred thousand dollars and as large as over $1 billion. He joined Munsch Hardt in 1996 where he was a partner, and prior to that was a member of the tax section of Skadden, Arps, Slate, Meagher & Flom in Washington, D.C. Hinderliter graduated magna cum laude from Drury College, graduated with highest honors from the University of Oklahoma School of Law, and received the Memorial Award for Distinction while getting his LL.M in taxation from New York University School of Law.

Bob Sussman has prosecuted and defended white-collar crime throughout his career, and will work closely with the Firm’s growing corporate governance practice. He was a name partner in Hinton, Sussman Bailey & Davidson since its founding in 1978, prior to which he was an Assistant District Attorney who headed the Harris County District Attorney’s Consumer Fraud and Pollution Divisions, and was Director of the National Economic Crime Project in Washington, D.C. He has defended criminal cases involving securities, public corruption, international trade violations, domestic and international bribery, environmental crimes, antitrust, health care, bank fraud and various other economic crimes. He also has been hired by companies to conduct internal investigations and compliance efforts. He is a graduate of Tulane University and University of Houston Law School.

HILL WALLACK ADDS NEW ASSOCIATES
The law firm of Hill Wallack LLP has added two new associates to its Princeton, NJ office, one new associate to its Doylestown, PA office and one new associate to its Langhorne, PA office.

Ryan P. Kennedy has joined the firm in its Commercial Real Estate Practice Group in the Princeton Office. He concentrates his practice in all aspects of commercial real estate acquisition and development, with particular emphasis on complex negotiations, urban development and transit oriented development. Mr. Kennedy earned his law degree from Seton Hall Law School. He previously served as Judicial Law Clerk to the Honorable Joseph L. Yannotti, New Jersey Superior Court, Appellate Division. A resident of Lawrenceville, he is admitted to practice in New Jersey.

Irene N. Komandis has joined Hill Wallack LLP’s Princeton office as an associate in the firm's General Litigation Division. Ms. Komandis concentrates her practice in the areas of trial & insurance defense and general litigation. She earned her law degree from Seton Hall University School of Law and is admitted to practice in New Jersey and New York. She served as Judicial Law Clerk to the Honorable Joseph P. Quinn, J.S.C., Civil Division. Ms. Komandis is a resident of Kendall Park, NJ.

Tiffanie C. Benfer has joined the firm in the Doylestown, PA office in the Employment & Labor Law Practice Group concentrating her practice in employment discrimination and civil rights & constitutional litigation. Ms. Benfer is a graduate of the University of Baltimore School of Law and is admitted to practice in Pennsylvania and Maryland. She previously served as a Judicial Law Clerk to the Honorable Timothy E. Meredith, Maryland Court of Special Appeals and is a resident of Newtown Square, PA.

Denise M. Bowman has joined the firm in its Business & Commercial Law Practice Group in Hill Wallack LLP’s Langhorne Office. She concentrates her practice in the representation of corporate entities and partnerships, buying and selling businesses and real estate, tax and regulatory issues, commercial litigation and the representation of clients in general business matters. Ms. Bowman earned her law degree from Temple University, James E. Beasley School of Law. A resident of Langhorne, PA, she is admitted to practice in Pennsylvania and New Jersey.

ML Strategies Expands D.C Practice with Veteran House Staffer Jeremy Rabinovitz
ML Strategies, LLC, the consulting affiliate of law firm Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, PC, announced that Jeremy Rabinovitz, a veteran staffer of the House of Representatives, will join its Washington, D.C. office as Vice President of Government Relations. Rabinovitz starts at ML Strategies on March 5.

A 20-year veteran of the House, Mr. Rabinovitz has served as Chief of Staff for Rep. Lois Capps (D-CA) since her special election in 1998. He held the same position for her late husband, first-term Representative Walter Capps (D-CA). Congresswoman Capps serves on the Committee on Energy and Commerce. Under his guidance, Representative Capps developed a substantial legislative profile on a range of issues, including health care, the environment, energy, telecommunications, and international relations.

Prior to serving for Representative Walter Capps, Mr. Rabinovitz served as Chief of Staff for Rep. Carolyn Maloney (D-NY) where he oversaw many of her successful efforts on the Banking and Government Reform Committees and for Rep. Stephen Solarz (D-NY), a widely respected senior Member of the Committee on Foreign Affairs.

Mr. Rabinovitz joins former Capitol Hill veterans David Leiter, the former Principal Deputy Assistant Secretary for Energy Efficiency and Renewable Energy at the Department of Energy during the Clinton/Gore administration and Chief of Staff to U.S. Senator John Kerry (D-MA); Mark Buse who worked 18 years for United States Senator John McCain (R-AZ), both in the Senate and the U.S. House of Representatives and was Staff Director and Majority Policy Director of the Senate Commerce Committee and; Steve Irizarry, formerly Senior Health Counsel to the Senate Health, Education, Labor and Pensions, the Senate Aging, and the House Energy and Commerce Committees; and Ken Connolly, formerly Staff Director of the Senate Environment and Public Works Committee and Legislative Director to Senator James Jefford (I-VT).

"Jeremy's 20-plus years on the Hill provide him with the kind of experience and understanding of the vast array of issues that are most important to our clients," said Stephen P. Tocco, President of ML Strategies.

A Boston native, Mr. Rabinovitz attended Harvard College, graduating with a degree in psychology and social relations.
