White & Case Adds Leading High Yield Team
White & Case LLP today announced the expansion of its high yield practice, with the addition of a leading high yield team of five lateral partners. Ronald S. Brody and his partners Jin Kim, Kenneth Suh, Jeffrey Whyte and Nazim Zilkha will augment the Firm's top-tier bank finance practice led by Eric L. Berg, giving White & Case exceptional global capabilities to advise on bank-bond transactions. Berg and Brody will co-head the Firm's US leveraged finance practice.

"Having this extremely strong capability across the entire range of bank and bond deal structures will benefit our clients," said Berg, adding that the new high yield team, with its strong investment banking relationships and market presence, enhances the Firm's growing high yield practice in New York. The arriving team of lateral partners previously practiced at a major law firm in New York, where Brody had been head of that firm's high yield group. Thelen Reid Brown Raysman & Steiner LLP Increases Associate Salaries
Thelen Reid Brown Raysman & Steiner LLP announced today that the firm has increased starting salaries for first-year associates in New York to $160,000. Salaries for first-year associates in the firm’s California, Washington, DC, and New Jersey offices have also been raised to $145,000 annually.

“Attracting and rewarding outstanding attorneys is a top priority for our firm as we continue to grow and expand our client base,” said Co-Chair Stephen V. O’Neal. “We are committed to providing our associates with competitive compensation and benefits, as well as a work environment that fosters career development opportunities and professional growth.”

Increases have also been awarded to more senior-level associates. In addition, all firm associates are eligible for annual bonuses. All salary increases are effective immediately, retroactive to January 1, 2007.

Noted Pillsbury Environmental Lawyer William A. Wilcox, Jr. Publishes Book That Examines Military Responsibility and the Environment
Pillsbury Winthrop Shaw Pittman lawyer William A. Wilcox, Jr. has published a new book, The Modern Military and the Environment: The Laws of Peace and War (ISBN: 0-86587-174-4), a practical analysis of the conflict between national security requirements and environmental responsibility, which will be issued by Government Institutes in April.

The Modern Military and the Environment examines the most common environmental issues that the military faces during wartime and peacetime and provides an introduction to the legal authorities—including statutes, regulations and executive orders—governing the application of environmental law to military activities. It illuminates the tension between environmentalists and regulators concerned with the damages that military development, testing and training operations inflict on the environment and military leaders dedicated to using actual field conditions to prepare soldiers for war. This book also addresses environmentalists’ desire for greater accountability from the military, which has a history of dumping, spilling, stockpiling and launching harmful chemicals.

Although some exemptions from environmental compliance have been granted to the military, federal agencies are sometimes held to higher standards than private sector companies. Wilcox, an experienced environmental attorney in Pillsbury’s DC office and a lieutenant colonel in the U.S. Army Reserve, focuses on the legal framework in which environmental issues are addressed and examines how policy translates into legal application. He also examines the changing relationship between the military and the environment by exploring environmental law as it applies to the military domestically and the impact of international environmental law on combat operations.

In addition to addressing such environmental laws as the National Environmental Policy Act and the Resource Conservation and Recovery Act, Wilcox provides an overview of the laws governing access to information concerning the military’s impact on the environment, a key component in holding military services accountable for compliance with environmental requirements.

Other topics covered include civil penalties and sovereign immunity, water rights, air conformity, military munitions, environmental protection and planning overseas, military land withdrawals, base realignments and closures, international environmental law, and the future of warfare.

Milbank Represents Citigroup in Grupo Simec’s $217 Million SEC Registered Stock Offering
Grupo Simec, S.A.B. de C.V., one of the largest producers of Special Bar Quality (“SBQ”) steel in North America, has completed a $217 million SEC registered secondary stock offering. The offering was the first SEC registered offering of equity securities by a Mexican issuer in 2007. The international law firm Milbank, Tweed, Hadley & McCloy LLP, led by partners Michael Fitzgerald and Taisa Markus, represented Citigroup Global Markets in the transaction.

Milbank’s Fitzgerald noted, “The success of this offering reflects the continued strength of the Mexican equity market and the premium placed on Mexican manufacturing companies that service the NAFTA region. Grupo Simec derives most of its revenues from the U.S. operations of the prior Republic Steel Company that it acquired last year. Milbank’s participation in the transaction builds on its involvement in the 2004 Mexican initial public offering and 144A offering of Industrias CH, the majority shareholder of Grupo Simec and one of the largest steel companies in Mexico.”

About the Offering:
The $217 million offering consisted of an SEC registered offering of ADSs and a Mexican public offering of the underlying Series B Shares. The offering was underwritten by Citigroup Global Markets Inc. and co-managed by Morgan Stanley. Acciones y Valores Banamex, S.A. de C.V., Casa de Bolsa Integrante del Grupo Financiero Banamex and Ixe Casa de Bolsa, S.A. de C.V., Ixe Grupo Financiero, acted as joint bookrunners in the Mexican tranche. The proceeds of the offering will be used for general corporate purposes.

Grupo Simec, S.A.B. de C.V. [Amex: SIM] is a diversified manufacturer, processor and distributor of special bar quality (“SPQ”) steel and structural products with production and commercial operations in the United States, Mexico and Canada. In 2005 Grupo Simec acquired a controlling interest in Republic, a leading U.S. producer of SBQ steel. Grupo Simec is a subsidiary of Industrias CH, S.A. de C.V.

The Milbank team representing the underwriters was led by partners Michael Fitzgerald and Taisa Markus with associates Armando Valdes and Melinda Creasman and international attorney Jorge Oria. Tax advice was provided by partner Bruce Kayle.

* $1 billion Vitro High Yield Offering: Milbank represented Mexican glass manufacturer Vitro, S.A.B. de C.V. in a $1 billion high-yield offering, the largest Latin American high yield offering to date. The proceeds of the offering were used to complete the company’s restructuring.
* $650 million Satmex Restructuring: Milbank represented the creditors’ committee in the complex cross-border restructuring by Satélites Mexicanos, S.A. de C.V. (“Satmex”), one of Mexico’s leading satellite service providers. The innovative, comprehensive restructuring process took several years to complete due to its cross-border nature (Mexican company with U.S. debt and equity holders), equity structure (23% owned by the Mexican Government) and a reliance on concessions from the Mexican Government and Mexican regulators for the continued operation of its business.
* $200 Million IUSA Offering: Milbank represented Industrias Unidas, S.A. de C.V. (“IUSA”), one of the largest conglomerates in Mexico, in its inaugural U.S. securities offering.
* $600 Million Banorte Offering: Milbank represented Banco Mercantile del Norte S.A. (“Banorte”), the largest non-foreign owned bank in Mexico, in its issuance of $600 million of “Tier I” and “Tier II” capital securities in the international capital markets. The offering marks the largest capital securities offering ever by a Mexican bank.

Wells Nominated for President-elect of the American Bar Association; 2007 --The Year of Maynard Cooper Presidents
Maynard, Cooper & Gale, P.C., a full service law firm with over 150 lawyers, is setting a new standard for professional leadership. Earlier this week, H. Thomas Wells Jr. was nominated to be the next President-elect of the American Bar Association, a 413,000-member professional organization for the legal profession. The nomination, which must be approved by the association’s House of Delegates in August, puts Wells in line to begin a one-year term as ABA president in August 2008. Wells would be only the ABA’s third president from the state of Alabama. One of the other past ABA presidents from Alabama is N. Lee Cooper, a founding member of Maynard Cooper, who was president from 1996-97.

However, this is just the tip of the iceberg as far as presidential leadership goes at the firm. In March, The American College of Trust and Estate Counsel (ACTEC) will hold its annual meeting at which firm shareholder Daniel H. Markstein, III will become President. ACTEC is a prestigious professional association consisting of approximately 2,700 trust and estate lawyers from throughout the United States. Fellows of the College are nominated by other Fellows in their geographic area and are elected by the membership at large. Fellows are selected on the basis of professional reputation and ability in the fields of trusts and estates and on the basis of having made substantial contributions to these fields through lecturing, writing, teaching and bar activities.

In addition, Maynard Cooper lawyers Fournier J. “Boots” Gale and Anthony A. “AJ” Joseph already hold current presidential positions in other professional organizations. Gale is the current President of the Alabama State Bar and Joseph is the current President of the Birmingham Bar Association.
