Michael E. Baughman, Commercial Litigator and Media Lawyer, Joins Pepper Hamilton
Pepper Hamilton LLP announced that Michael E. Baughman, a commercial litigator and media lawyer, has joined the firm as a partner in the Philadelphia office.

“Mike is a great addition to our litigation practice,” said Robert E. Heideck, Pepper’s executive partner. “He adds to the depth of our First Amendment and media practice, as we establish this new facet of our litigation practice, and his securities litigation experience is an excellent match with our already strong group at the firm. We’re delighted that he has joined Pepper.”

“Mike is a terrific lawyer,” added Amy B. Ginensky, who recently joined Pepper and leads the firm’s media and communications practice. Ms. Ginensky previously worked with Mr. Baughman at Dechert LLP, where they were both partners. “He is highly experienced in the First Amendment field, having argued and tried very significant matters, and he is a skilled commercial litigator, as well. Pepper could not ask for a better new partner.”

Mr. Baughman joins Pepper from Dechert LLP, where he was a member of the financial services and securities litigation group, and the media law practice group. He has extensive litigation experience in both federal and Pennsylvania courts, at the trial and appellate levels.

Mr. Baughman’s experience in financial services and securities litigation includes litigating complex commercial cases involving allegations of securities fraud, matters relating to corporate governance and other business disputes. In media law, Mr. Baughman represents newspapers and television stations in defending lawsuits alleging libel and invasion of privacy. He also provides advice to reporters and editors on a variety of issues affecting the newsroom.

“I couldn’t be more excited to join Pepper,” said Mr. Baughman. “I look forward to expanding and growing my commercial litigation practice with my new Pepper colleagues, and reuniting with Amy Ginensky to grow our First Amendment practice at Pepper.”

Mr. Baughman is a graduate of Cornell University (B.A. 1993) and the University of Pennsylvania Law School (J.D. 1996), where he served as comment editor of the University of Pennsylvania Law Review. After law school, he clerked for one year for the Honorable William H. Yohn, Jr. of the U.S. District Court for the Eastern District of Pennsylvania.

Beth Mitchell speaks to BU School of Management Real Estate Club
Beth Mitchell, co-chair of the firm's Commercial Finance practice, was invited to be a panelist for the Boston University School of Management's Real Estate Club. Beth presented to the Club in her capacity as president of the Real Estate Finance Association (REFA) during the February 27 panel.

The Real Estate Club seeks to give students an understanding of the real estate industry by inviting guest speakers to disucss topics such as land development, construction, architecture, financing, property management, and the relationships that can turn an empty site into a new building.

Michael K. Ligorano Included in Who's Who in America
The Somerville law firm Norris McLaughlin & Marcus, P.A. is pleased to announce that Michael K. Ligorano, a member of the firm, has been selected for inclusion in the 62nd Edition of Marquis’ Who’s Who in America. Ligorano is also included in the current editions of Who’s Who in American Law, Who’s Who in the World and Who’s Who in Banking & Finance.

For more than 100 years, Who’s Who in America has provided accurate, concise biographies of notable Americans, as was the mission of founder, Albert Nelson Marquis, who selected 8,602 distinguished people for the first edition in 1899. Today, the Marquis Who’s Who family of directories has grown to include the biographies of millions of leaders and achievers from around the world and from every significant field of endeavor. Corporate executives, journalists, personnel recruiters, librarians, researchers, students, and many others consult these information databases for in-depth information they can use with confidence.

Ligorano focuses his practice on immigration law and land use.

Ligorano heads the Norris McLaughlin & Marcus Immigration Law Group. He has extensive experience processing all types of business and family immigration matters before the U.S. Immigration and Naturalization Service, the U.S. Department of State and other federal agencies and courts, both domestically and abroad. Ligorano has been designated as the spokesman for immigration law for the New Jersey State Bar Association Foundation.

In the area of real estate and land use, Ligorano assists land developers, construction companies, major corporations and small businesses in the evaluation of undeveloped land and all phases of the application process. He also handles zoning-related disputes, denial of land use permits, exclusionary zoning disputes, and other litigation which arises from planning and zoning processes. He has been actively involved in the local business community, most notably in Hunterdon County.

Ligorano is a member of the New Jersey, New York and Florida State Bar Associations, the American Immigration Lawyers Association and the Canon Law Society of America. He is also a Past President of the Hunterdon County Bar Association.

Ligorano regularly speaks to local business organizations on a variety of land use and immigration topics. He has authored a number of articles on these topics as well. He is very active in business and charitable organizations in Hunterdon County and was honored with the Volunteer of the Year Award by the Arc of New Jersey in 2004 for his contributions to the Arc of Hunterdon County.

Ligorano earned his J.D. from Western New England Law School in 1978 and his B.A., cum laude, from Rutgers University in 1975.

Venezuela's State Owned Oil Company PDVSA Signs $3.5 Billion Financing Agreement and Long-Term Oil Supply Contract With Marubeni and Mitsui of Japan
To help ease Japan’s reliance on Middle Eastern oil imports by diversifying supply sources, Japanese trading companies Marubeni Corporation and Mitsui & Co., Ltd. have closed a $3.5 billion financing and related long-term oil off-taking agreement with Petróleos de Venezuela, S.A. (“PDVSA”), Venezuela’s state-owned petroleum company. The $3.5 billion financing was co-financed by Marubeni and Mitsui along with a syndicate of international banks and support from the JBIC (Japan Bank for International Cooperation). The international law firm Milbank, Tweed, Hadley & McCloy LLP, led by partner Daniel Bartfeld, represented Marubeni in negotiating and structuring the transaction.

Commenting on the transaction, Milbank’s Bartfeld stated, “This transaction is the most significant long-term agreement yet between Japan and Venezuela, and is particularly noteworthy given its size and the long term international energy market implications. Venezuela will be a significant source of oil and petroleum for Japan, whose strategy is to diversify its worldwide supply. Milbank has extensive experience working on highly structured, complex deals in challenging environments. In this case we were able to draw on our background working with Japanese sponsors and lenders on other global project financings, including past deals in other Latin American countries.”

In addition to Mr. Bartfeld, the Milbank team representing Marubeni included associates Zoe Markwick, Roland Estevez, Ricardo Exantus, Alfred Wang and Nicholas Bigney.

About the Financing:
Marubeni and Mitsui, two of Japan’s largest trading companies, have signed a $3.5 billion loan agreement with PDVSA, with financial support from JBIC. The term of the loan is 15 years. Under the terms of the contract, Marubeni and Mitsui will make an advance payment of $3.5 billion to fund PDVSA’s development of crude oil reserves and petroleum products. At the same time, Marubeni and Mitusi closed supply contracts with PDVSA giving them priority in negotiating volumes of crude oil and petroleum products that they receive each year during the 15-year term. Shipments may begin as early as this summer.

The $3.5 billion financing is comprised of two separate credit facilities worth $1.8 billion and $1.7 billion. The co-financing syndicate of commercial banks was organized by the Bank of Tokyo-Mitsubishi UFJ, Ltd. and Mizuho Corporate Bank, Ltd. as lead arrangers. The banking syndicate also includes Sumitomo Mitsui Banking Corporation, the Tokyo branch of ABN AMRO Bank, N.V., ING Bank N.V., Citibank, N.A., Deutsche Bank AG, Société Générale, BNP Paribas and Calyon. The $1.61 billion co-financing is supported by a guarantee from JBIC.

Mclane Attorney Parent Named To 40 Under Forty
The law firm of McLane, Graf, Raulerson & Middleton, P.A., with offices in Manchester, Portsmouth, and Concord, is pleased to announce that another of its attorneys, Jennifer L. Parent has been named to the Manchester Union Leader's annual 40 Under Forty list.

Every year New Hampshire's largest statewide newspaper identifies a list of forty individuals in the state, under forty years of age, whose actions are making a positive difference. Jennifer Parent is one of a growing list of McLane attorneys on whom the honor has been bestowed since the program's inception in 2001.

Jennifer is one of the youngest attorneys at McLane to become a Director. A member of the Business Litigation, Employment, Education and Independent School Law, and Land Use Practice Groups, her practice involves representation of large and small companies in litigation, business and employment disputes.

Jennifer is the 2003 recipient of the coveted Robert E. Kirby Award. Presented to attorneys aged 35 or younger who exhibit the traits of civility, courtesy, perspective, and exceptional advocacy in law, the recipient is selected by a committee of judges from the U.S. District Court, NH Supreme Court, Probate Court, and district court.

Jennifer serves on the Board of Opera New Hampshire, a non-profit performing arts organization that also introduces opera to school children through free Palace Theatre performances and statewide school programs. She is also deeply involved with her alma mater. As president of the New Hampshire Alumni of Suffolk University Law School, Jennifer help found the organization's first loan assistance Program for Suffolk law graduates who practice in NH's public sector helping the disadvantaged. She also serves on Suffolk's Dean's Advisory Committee.

Jennifer serves as the representative for Hillsborough County - North on the New Hampshire Bar Association Board. She is a past president and founding member of the New Hampshire Women's Bar Association, the first statewide women's bar. She serves as a liaison to the American Bar Association's Commission on Women in the Profession for the Bar's Young Lawyers Division. Jennifer serves on the New Hampshire Supreme Court Rules Advisory Committee and the New Hampshire Bar's New Lawyers Committee. She is an active member of the American Bar, New Hampshire Bar, New Hampshire Women's Bar, Manchester Bar, Nashua Bar and New Hampshire Trial Lawyers Associations.

Jennifer joins several other distinguished McLane attorneys who have made the 40 Under Forty list in prior years, including Mark A. Wright, Chair of McLane's Intellectual Property Group, Daniel J. Norris, a Director of the firm and member of the Corporate Department, John E. Hughes, also a Director and a member of the Trust and Estates Department, and Ronald L. Abramson, member of McLane's Immigration Law Practice Group.

James C. Schwartzman Re-Elected as Vice Chairman of SEPTA Board of Directors
James C. Schwartzman has been unanimously re-elected as Vice Chairman of the Board of Directors of the Southeastern Pennsylvania Transportation Authority (SEPTA). A member of the SEPTA board since 1991, he has served as Vice Chairman since 1998.

Mr. Schwartzman, a Shareholder of Stevens & Lee, represents and counsels lawyers and judges on ethics-related issues. He has an active federal white collar criminal defense practice and frequently argues cases before the Pennsylvania Supreme Court. He also has extensive trial experience in civil matters.

Mr. Schwartzman also is a member of the Board of Directors of Independence Blue Cross and a member of The Committee of Seventy. He is a former Chairman of the Supreme Court of Pennsylvania’s Disciplinary Board and Continuing Legal Education Board.

He received a J.D., cum laude, from Villanova University School of Law (1972) and an A.B. from Washington University (1967). He is a resident of Radnor, Delaware County.

Top Bankruptcy Attorney Joins Quinn Emanuel
The firm is pleased to announce that Susheel Kirpalani has joined the firm to serve as Chair of its national Bankruptcy Litigation Practice. Susheel will concentrate on the representation of creditor committees, bondholder committees and other clients in litigation arising out of bankruptcy cases. He will be based in the firm’s New York office.

Prior to joining Quinn Emanuel, Susheel was the youngest lawyer ever elected partner in the New York law firm, Milbank, Tweed, Hadley & McCloy, LLP, where he represented the Official Committee of Unsecured Creditors in such notable restructurings such as Refco Inc. and Enron Corp., among many others. In connection with such matters, he was in charge of litigating billions of dollars’ worth of fraudulent conveyance, preference and similar insolvency-based claims. Further, in both the Enron and Refco bankruptcy cases, he was one of the principal drafters of the complex Chapter 11 plans and handled all confirmation litigation on behalf of the respective Creditors’ Committees.

Turnarounds & Workouts recently named Susheel among the outstanding young restructuring lawyers (nationally, from all bankruptcy practitioners under 40) for the second year in a row. He also was recognized in Chamber’s USA Guide among the leading lawyers for business, and he is listed in the K&A Register as one of the leading bankruptcy and financial restructuring lawyers and financial advisors in the United States.
