Scott Berdan to Head Securities & Corporate Finance Practice at Kamlet Shepherd & Reichert, LLP
Kamlet Shepherd & Reichert, LLP announced today that Scott Berdan has joined the firm as a partner to head its securities and corporate finance practice and to expand the firm’s mergers and acquisitions (M&A) and private equity capabilities.

Berdan’s practice involves a full range of corporate finance and acquisition transactions, with a concentration on public and private equity and debt securities offerings, M&A, and private equity and management sponsored leveraged buyouts.

He works with issuers, investors, underwriters, and placement agents, and he counsels public and private companies in all aspects of their businesses, including SEC reporting and stock exchange listing requirements, federal securities laws and corporate governance matters. Advising Fortune 500 companies and startups, he has experience in a wide range of industries, including manufacturing, entertainment, telecommunications, consumer products, oil and gas, construction, electronic commerce and the Internet, and computer hardware and software.

“We are extremely pleased to have Scott joining our firm,” said Willie Shepherd, chairman of Kamlet Shepherd. “The depth and breadth of his sophisticated, global law firm experience will complement and expand our ability to serve our clients and to attract new clients. Our firm’s strengths and core practice areas will enable Scott to transition his practice seamlessly.”

Kamlet Shepherd’s Corporate and Securities practice group focuses on Securities & Corporate Finance; M&A; Private Equity & Venture Capital; Tax; and Strategic Alliances & Joint Ventures.

“This is an extraordinary opportunity for me to partner not only with some of the best legal minds and most entrepreneurial lawyers in the region, but with a group of individuals who have created an unparalleled excitement about their firm and the practice of law. I cannot think of a better or more exciting place to practice,” said Berdan.

According to Lee Reichert, partner and head of Kamlet Shepherd’s Corporate and Securities practice group, Berdan’s practice will enhance the firm’s sophisticated corporate and securities law practice offering, enabling the firm to serve all of its clients’ business needs in this continuously expanding market.

“Last year through the end of October we saw deal volume in the U.S. up 24 percent compared to the same period in 2005. Colorado’s numbers are up as well. We are looking for this trend to continue and expect a strong amount of transactional activity for 2007,” said Reichert. “In addition to an increased level of transactions, compliance and reporting obligations for companies are becoming an increasingly complex area in which businesses need to rely on specialists such as Scott.”

According to Reichert, Berdan will add to Kamlet Shepherd’s extensive experience in complex equity and debt financings, mergers and acquisitions, leveraged buyouts, private equity transactions and joint ventures.

Berdan earned a bachelor’s degree from Duke University and his law degree from the University of Denver College of Law. Prior to joining the firm, Berdan was partner in the Denver offices of Hogan & Hartson LLP.

Kamlet Shepherd, one of the fastest growing law firms in the Rocky Mountain region, focuses on Corporate and Securities; Real Estate and Project Finance; Environmental, Natural Resources and Energy; Communications, Internet and Intellectual Property; and Commercial Litigation and White Collar Criminal Defense.
