Bracewell Attorney Authors Corporate Crisis Management Handbook

DALLAS (Jan. 4, 2006) – Mike Tankersley, a corporate governance expert and partner in the Dallas office of Bracewell & Giuliani LLP, has co-authored the handbook Board Leadership for the Company in Crisis, published by the National Association of Corporate Directors.

Turnaround management professional Suzanne Hopgood of The Hopgood Group LLC co-authored the 120-page handbook with Tankersley.

Board Leadership for the Company in Crisis guides corporate directors through the business, financial, legal and communications issues they must consider when their companies prepare for or respond to crisis situations like natural disasters, investigations by government agencies such as the Securities and Exchange Commission or Department of Justice, financial collapse and bankruptcy, or the loss of significant assets or key executives.

"It was surprising to us that there was not much guidance available to corporate directors on how to go about assuring that their companies are reasonably prepared to face crises, or the key issues the board should be considering when a crisis strikes," said Tankersley, an attorney with 25 years experience advising boards and management teams in responding to crisis situations and governance issues. "Recent events have shown that some companies were very well prepared, while others have floundered, poorly managing, at great cost to the company, both the crisis and their communications with key stakeholder groups."

The handbook reflects a broad range of "best practice" ideas for crisis preparation and response that the authors have collected from their practices over the years and from recent events such as the Gulf Coast hurricanes.

Will Wi-Fi and Other Fixed Wireless Services Take a Serious Hit as a Result of an Ongoing FCC Proceeding
SUMMARY
The availability of Wi-Fi and other fixed wireless services will take a significant hit if some parties are successful in their efforts at the Federal Communications Commission (FCC). Several entities have asked the FCC to, in effect, reverse a ruling it made years ago, which reversal would greatly diminish the availability of Wi-Fi and other fixed wireless services in numerous locations.

The availability of Wi-Fi and other fixed wireless services will be greatly diminished if some parties are successful in their efforts at the FCC. In a proceeding that could have tremendous ramifications for many entities, the Massachusetts Port Authority ("Massport") and its supporters are asking the FCC to, in effect, reverse a decision it reached more than five years ago.
At that time, the FCC held that, with limited exceptions, owners of office buildings, airports, shopping centers, apartment complexes, condominiums and various other types of buildings could not prevent occupants of those buildings from placing antennas for use of fixed wireless services (such as Wi-Fi) in areas within the exclusive use or control of the occupants. Partly as a result of this ruling, fixed wireless services such as Wi-Fi have had room to grow virtually unimpeded.
Massport, however, is now requesting that the FCC hold that the FCC did not have the authority to prevent owners of buildings from placing such restrictions on their occupants, and that the FCC should therefore, in effect, reverse its prior ruling.
While the proceeding giving rise to this request involves Massport seeking to prevent Continental Airlines from providing its passengers with Wi-Fi capability using Continental’s provider's system in Continental’s frequent flyer lounge (the "Presidents Club") at the airport, one of the primary arguments Massport is raising is in no way limited to airport usage, and, if successful, would greatly impact Wi-Fi usage in all types of buildings.

C. EVAN STEWART JOINS ZUCKERMAN SPAEDER LLP
Top-Rated Litigation Firm Bolsters New York Office With High-Profile Hire
WASHINGTON (Jan. 3, 2006) - Leading securities defense attorney C. Evan Stewart has joined the New York office of Zuckerman Spaeder LLP. With the addition of Mr. Stewart, Zuckerman Spaeder -- which was ranked as one of the nation's top litigation boutiques in 2005 -- has established a formidable presence in the areas of securities and white collar litigation in New York.

At his prior firm Brown Raysman Millstein Felder & Steiner, Stewart was lead trial counsel for Theodore C. Siphol, the first person in U.S. history to be arrested and indicted for 'late trading' of mutual funds. After Stewart argued at trial that Siphol's activities did not constitute illegal conduct, the jury found his client not guilty of 29 criminal counts of securities fraud in June 2005.

"Evan is one of the brightest stars of the financial and securities litigation bar," said Zuckerman Spaeder's Chairman Graeme Bush. "His extensive and diverse trial experience will be a proven asset to our firm's litigation practice and to our New York office."

Mr. Stewart has nonpareil experience in securities, antitrust (criminal and civil) and complex litigation issues. His experience embraces state and federal courts as well as arbitration before the National Association of Securities Dealers, New York Stock Exchange, and American Arbitration Association.

Before returning to private practice, Stewart was executive vice president, general counsel and secretary for Nikko Securities. He also served as first vice president and associate general counsel of E.F. Hutton in charge of the company's litigation department.

Stewart earned his Juris Doctorate degree from Cornell Law School and his Bachelor of Arts degree from Cornell University. He is an adjunct professor at Fordham University School of Law and Brooklyn Law School. Stewart has published more than 100 articles on diverse legal issues (including writing a column for the New York Law Journal since 1990), and is a frequent speaker across the country on securities, professional responsibility and complex litigation issues.

SEC Senior Associate Director in Division of Market Regulations Joins Willkie

Bergmann, Senior Associate Director in the Securities and Exchange Commission’s Division of Market Regulation, will be joining the firm, effective February 6.
