WilmerHale Community Service Volunteers Recognized
WilmerHale was very pleased to honor four employees with our annual Boston Volunteer Appreciation Awards, which recognize attorneys and staff who, in the past year, have displayed exemplary commitment to and involvement with the firm’s Youth and Education Initiative.

Recipients this year included Loraine Dunn, Dave Giordano, Alicia Kappers and Pratik Shah, all of whom have consistently participated in firm-sponsored volunteer programs such as the Legal Apprenticeship Program, Summer Leadership Institute, College Application Workshops and Academic Enrichment Program. The firm commends Loraine, Dave, Alicia and Pratik for their hard work on behalf of Boston’s at-risk youth.

Todd B. Reinstein Appointed to Editorial Board of The Tax Adviser
Pepper partner Todd B. Reinstein has been appointed to The Tax Adviser’s Editorial Board for a term beginning in June 2007. The Tax Adviser is a monthly publication of the American Institute of Certified Public Accountants featuring articles on all areas of tax law. The Tax Advisor is distributed to the American Institute of Certified Public Accounts’ (AICPA) tax section members and others.

Mr. Reinstein focuses his practice in the overall corporate structuring (domestic and international) of taxable and tax-free transactions, shareholder redemptions, entity selection, like-kind exchanges, basis and E&P calculations, eligibility for U.S. manufacturing deduction (IRC Section 199), deemed asset purchases, tax due diligence, corporate loss limitation studies (IRC Section 382), tax shelter compliance, credit for electricity produced from certain renewable resources (IRC Section 45), and the overall tax aspects of bankruptcy and workouts.

Mr. Reinstein is a regular contributor to national and regional tax and accounting journals, and frequently speaks on tax-related issues. Currently, Mr. Reinstein serves as Treasurer of the Tax Section of the Federal Bar Association. He is also a member of the AICPA Tax Division’s Corporations and Shareholders Technical Resource Panel

Freshfields advises AstraZeneca on acquisition of Medimmune
International law firm Freshfields Bruckhaus Deringer has advised AstraZeneca on the financing and UK aspects of its acquisition of Medimmune, the NASDAQ listed biotechnology company for a total consideration of approximately $15.6bn. Davis Polk and Wardwell are lead counsel on the transaction which is structured as a US tender offer. AstraZeneca will draw from a committed banking facility in the amount of $15bn to provide the initial financing for the acquisition.

AstraZeneca is one of the world's leading pharmaceutical companies and the combination of Medimmune with AstraZeneca's wholly-owned subsidiary Cambridge Antibody Technology will create a fully integrated biologics and vaccines business within the AstraZeneca Group.

Medimmune is a world-leading biotechnology company with revenue of $1.3bn in 2006.

The Freshfields team was led by corporate partner Julian Long and finance partner David Winfield, assisted by Jennifer Bethlehem (corporate associate) and Viva Jung-Heiliger (finance associate). The Davis Polk and Wardwell team was led by Paul Kingsley and Tom Reid.

Curtis partner Turner P. Smith and counsel Remy A. Rodas represent World Courier.
In the case of World Courier, Inc. v. Doneen Barone, et al., 06-CV-03072 (N.D. Cal.), Curtis represented World Courier in a pair of orders issued by the United States District Court for the Northern District of California. The Firm's client was awarded a preliminary injunction and sanctions against four defendants in a theft of trade secrets case. World Courier is a specialty courier service which, among other things, provides time and temperature sensitive delivery services for clinical trials in the bio-pharmaceutical industry. In April of 2006, three key employees of World Courier's San Francisco office quit the company to join a competitor, Marken International. Through forensic analysis of computers they left behind, World Courier quickly determined that the departing employees had down-loaded to external hard-drives all of their company working files, including the contents of the central server for the San Francisco office. A lawsuit followed and within weeks the defendants had agreed to an injunction that required them to return all of the stolen data. Discovery ensued. In the course of discovery, by additional forensic investigation and the cross-tracking of cellular phone records, it emerged that the defendants had secretly made one or more copies of the stolen data, before "complying" with the existing injunction by turning over the hard drives onto which they had made their unlawful copies. World Courier then moved to expand the terms of the injunction and for sanctions based on the evidence of contempt, perjury and spoliation.

Partner in 'Business Journal' for Integral Downtown Involvement
Few people can claim to have a true impact on their communities. But from his Kansas City Bryan Cave office, Partner Herb Kohn can see the new Sprint Center, the Power & Light Entertainment District and H&R Block’s new headquarters building taking shape – all major development efforts he has worked on in recent years.

Kohn was profiled April 6 in the Kansas City Business Journal for the professional and civic “legacy” he has given his city.

“I’ve been coming downtown for 40 years, and the opportunity to see downtown finally begin to blossom has been very rewarding,” he told the publication. “I can’t think of anything more rewarding than that.”

Kohn practices corporate, business and banking law, concentrating in the areas of acquisitions, financial transactions, banking and public finance. Among his numerous civic involvements, he was chairman of Kansas City Mayor Kay Barnes’ transition team in 1999 and chairman of the mayor’s Charter Review Commission in 2000. In addition, Kohn is chairman of the Kansas City Art Institute Board of Trustees, is a trustee of the Richard and Annette Bloch Cancer Foundation, is a former director of Missouri Boys State and former Chairman of the Kansas City United Way Professional Group.

Who's Who Legal Awards Names Baker Botts Global Oil & Gas Law Firm for Third Year in a Row
Who's Who Legal Awards has named Baker Botts L.L.P. Global Oil & Gas Law Firm of the Year 2007. This is the third consecutive time the firm has been recognized in this category, having won the award every year since its inception in 2005.

Who’s Who Legal used thousands of nominations it received from clients and private practice professionals to pick out the pre-eminent lawyer and firm in 27 practice areas. The winners were announced in The International Who’s Who of Business Lawyers 2007, which was released this month.

NBC – Partner Reed Kathrein Appears on CNBC Regarding Online Gambling Case
Hagens Berman Sobol Shapiro LLP is tackling the problem of online organizations who are unlawfully advertising Internet casinos, directly harming California citizens. HBSS is representing the general public and a class of California residents who have brought the case to the state court.

Online gambling has become a growing problem throughout the U.S. and has recently become a hot issue within the State of California. The issue of this case revolves largely around off-shore gambling sites that have paid U.S.-based search engine companies, such as Google and Yahoo, hundreds of millions of dollars to advertise, an activity we believe is illegal in California.

In a recent complaint upheld by Judge Kramer of the San Francisco complex litigation department, plaintiffs have alleged that the numerous online search engines have violated California law by taking payment in exchange for advertising illegal gambling Web sites. The plaintiffs seek to enjoin any further advertising and to have the defendants disgorge their profits from such advertising to charities to be used to remedy the harm created by such gambling, the resulting addictions, and the costs to society.
