Damon Hart to Serve as President-Elect of the Massachusetts Black Lawyers Association
Damon Hart, a litigation partner in Holland & Knight's Boston office, has been named president-elect of the Massachusetts Black Lawyers Association (MBLA) for the 2007-2008 term. He will assume the role of president of the association in April 2008. Hart has served as treasurer for the past year and has been a member since he began practicing in 1999.

"The MBLA is an organization with a rich history and I am honored to serve it," Hart said. "In so doing, I am enjoying the unique opportunity to walk in the footsteps of my mentors and heroes in the law while continuing to increase opportunities, training and access for attorneys of color."

Hart practices in the area of commercial litigation, with particular focus in technology, intellectual property, and labor and employment matters. In addition to his litigation work, he also provides clients with business advice with regard to employment, contract, real estate and development matters. He advises a number of churches and other religious organizations in their unique business and organizational challenges, and has gained significant experience in constitutional "separation of church and state" issues and inter-denominational disputes.

Hart has been named by his colleagues as a "Massachusetts Rising Star" in the field of Business Litigation in 2006 and 2007, and listed among Boston's Ten Outstanding Leaders by the Boston Jaycees for outstanding professional and community leadership. He received his bachelor’s degree in political science in 1996 from The College of Holy Cross and earned his law degree in 1999 from Boston College Law School.

About the MBLA: With approximately 200 active members, the Massachusetts Black Lawyers Association has served the African-American legal community since its inception in 1973. Through trainings, continuing legal education and mentorship programs, the MBLA reaches out to 500 legal professionals and provides opportunity for career development and advancement.

Hogan & Hartson Advises Norilsk Nickel Group on US$4.8 Billion Bid for LionOre Mining International Ltd.
Hogan & Hartson announced that it is advising Norilsk Nickel Group in connection with its unsolicited all-cash offer of C$5.3 billion (approximately US$4.8 billion) to acquire LionOre Mining International Ltd. The offer was announced on Thursday, May 3, 2007. Under the terms of the offer, Norilsk Nickel is offering to purchase all of the issued and outstanding common shares of LionOre at a price of C$21.50 in cash for each LionOre common share. The Norilsk offer represents a premium of approximately 16.2% over the existing C$18.50 all-cash offer of Swiss-based Xstrata plc to acquire LionOre.

Norilsk Nickel is the largest mining and metals company in the Russian Federation and is the world’s largest producer of palladium and nickel and one of the world’s largest producers of platinum and copper. Norilsk Nickel’s shares are listed in Russia on both the Russian Trading System Stock Exchange and the Moscow Interbank Currency Exchange. Norilsk’s ADRs are traded over the counter in the United States, on the International Order Book section on the London Stock Exchange; and on Freiverkehr, Berlin-Bremen Stock Exchange.

Hogan & Hartson has advised Norilsk Nickel for the past eight years on a broad range of transactional, regulatory, and litigation matters including, most recently, the approximately US$500 million purchase of the nickel business of OM Group, Inc., which was completed on March 1, 2007. LionOre is an international nickel and gold producer with mining operations in Australia, Botswana, and South Africa with its shares listed on the Toronto, London, Australian, and Botswana stock exchanges.

The Hogan & Hartson team is being led by partner Todd D. Schafer and involves multidisciplinary lawyers from across the firm.

Karl Fryzel to serve on Study Commission of Corporate Taxation
Karl Fryzel (Boston) has been appointed by Governor Deval Patrick of the Commonwealth of Massachusetts to the 15 member Study Commission on Corporate Taxation. The mandate of the Commission is to study the modernization and simplification of the current business tax laws of the Commonwealth, to promote tax fairness and equity, encourage business growth and innovation, and strengthen the Commonwealth’s global competitiveness. An interim report on legislative recommendations providing revenue for Fiscal Year 2008 will be due by June 15, 2007. A final report on long- term changes to corporate tax laws will be completed by January 1, 2008. Congratulations Karl!

Arent Fox Deemed TCM’s 2007 Service Provider of the Year
Last night, the Tech Council of Maryland/MdBio (TCM) recognized Arent Fox LLP as Service Provider of the Year during its Annual Tech Awards Celebration.

The Service Provider of the Year award honors the business, agency, firm or organization that has given outstanding customer and service support to the technology community. The two other finalists were Mantaro Networks, Inc., and Zentech Manufacturing, Inc.

Arent Fox was recognized for the efforts of John Dwyer, a counsel at the firm, and others to facilitate passage of a stem cell research bill by the Maryland legislature. The bill, which will result in at least $25 million being provided by the state to encourage basic stem cell research, is critical to the biotech community.

Congressman Chris Van Hollen (D-MD) presented the award to Dwyer, who accepted on behalf of the firm, at TCM’s annual dinner. TCM also presented awards to the Executive of the Year, High Technology Firm of the Year, Biotechnology Firm of the Year and Government Contracting Firm of the Year.

Davis Polk Advises IPSCO on Its Acquisition by SSAB
Davis Polk & Wardwell is advising IPSCO Inc. in connection with its proposed acquisition by SSAB Svenskt Stal AB. Based in Canada, IPSCO is a leading producer of energy tubulars and steel plate in North America with an annual steel-making capacity of 4.3 million tons. SSAB is a Swedish publicly traded corporation with a leading European position in Quenched & Tempered heavy plate and EHS/UHS steel sheet.

According to the terms of the transaction, IPSCO will be acquired by SSAB for U.S. $160 per share in cash for a total equity value of $7.7 billion. The transaction has been approved by the boards of directors of both companies and is subject to certain customary closing conditions.

Paul, Weiss' Representation of The Weinstein Company in Halston Transaction Noted in Media
The firm's representation of The Weinstein Company in its bid with Hilco Consumer Capital to buy a controlling interest in the Halston brand was featured in the May issue of IP Law & Business. The day-to-day operations of the company will be run by Hilco, which plans to resurrect the label by hiring a design team for a line of women's ready-to-wear clothing. Bob and Harvey Weinstein who also produce Project Runway, a television competition between aspiring fashion designers, may feature the brand on the show's upcoming season. Corporate partner James Schwab noted in the article that "This is a smart business model if you've got the right kind of intellectual property. There's not a lot of overhead, and if the buyers stick to their vision and get the right creative people involved, it could be a very high-margin business." Murphy to be Honored as a "Legend of D.C. Bar"
Washington, D.C., partner Betty Southard Murphy will be honored by the Washington, D.C. Bar on June 13 at its 4th Annual "Legends of the D.C. Bar" event.

Mrs. Murphy is being honored as a legal pioneer and will share her insight and wisdom on law practice management and business development in an informal question and answer format. The program will provide "a rare opportunity to learn about lives well spent in the law from highly respected private practitioners and racauntours at the top of their game."

Mrs. Murphy has served as "Madame Chairman" of the National Labor Relations Board, Administrator of the Wage/Hour Division of the U.S. Department of Labor, and has held five other presidential appointments. A partner at Baker Hostetler since 1980 and the first woman to head its Labor and Employment Practice and serve on its Management Committee, Mrs. Murphy has represented companies, unions and individuals in the U.S. and abroad.

She has tried cases in 29 states, and appeared in nine U.S. Courts of Appeals, and the Supreme Court. She has been a mentor and trailblazer for women in the law and just received the 2006 American Inns of Court Professionalism Award for the D.C. Circuit. She is an Adjunct Professor at the Washington College of Law, American University.
