Brown Rudnick Continues Washington DC Expansion with Addition of Two Corporate Partners
Brown Rudnick, a premier internationallaw firm, today announced that Fred L. Levy and Catherine (Katy) Gardner have joined the firm’s Washington DC office as partners in the Corporate & Securities Department. Formerly partners at Sonnenschein Nath & Rosenthal LLP, Mr. Levy and Ms. Gardner bring a combined 35 years of experience in corporate and finance law, with a special focus on mergers & acquisitions, fund formation and related matters.

Mr. Levy has over 30 years of experience practicing in all aspects of corporate law. He has vast experience in the M&A market and has represented companies in over 300 merger internationally. Mr. Levy represents middle market and emerging growth companies, across a wide range of industries including television, cold storage, manufacturing & distribution, and networking & IT infrastructure. He guides clients in establishing strategic alliances and in negotiating and drafting a wide array of commercial contracts, complex shareholder agreements and lending arrangements. Currently, Mr. Levy serves as outside general counsel to many of his clients.

In addition, Mr. Levy has structured various domestic and offshore private equity and hedge funds. These funds invest primarily in CDO's, synthetic CDO's and credit default swaps. As counsel to these funds, Mr. Levy represents them in the purchase and sale of numerous instruments and contracts relating to the securities held by the funds. He has also represented many domestic and offshore lenders and borrowers in various funding activities, including senior and mezzanine financings.

Ms. Gardner represents domestic and foreign corporations, partnerships and limited liability companies in their formation, day-to-day operations and business and financial transactions. She has broad-based experience in structuring transactions, drafting and negotiating various transactional documents in connection with asset sales and acquisitions, stock acquisitions, mergers, private placements, venture capital transactions, hedge funds and lending transactions. She represents entities in diverse industries, including hedge funds, television broadcasters, technology companies, manufacturing companies and trade associations.

In addition, Ms. Gardner represents lenders and borrowers in their funding activities, including senior secured and mezzanine financings. She has structured various domestic and offshore hedge funds and private equity funds, including funds which invest primarily in CDOs and credit default swaps. As counsel to the funds, she continues to represent them in the purchase and sale of securities held by the funds and in other day-to-day fund activities

Since January 2007, Brown Rudnick has added several senior professionals to its rapidly growing Washington DC office. The regulatory and economic litigation team of Joy M. Leong and James I. Campbell Jr. joined the firm’s Washington D.C. office from Sidley Austin LLP. Ms. Leong and Mr. Campbell share a robust postal service and policy reform practice, and also have significant experience in global logistics & supply chain management, international transportation, telecommunications, and insurance. Duane Morris' San Diego Office Welcomes Corporate Partner Michael Umansky
Duane Morris LLP is pleased to announce the arrival of Michael S. Umansky as a partner in the firm's San Diego office. Prior to joining the firm, Michael served as vice president and general counsel for Linspire, Inc., a Linux-based operating system company, and SIPphone, Inc., an Internet telephony company. A member of the firm's Corporate Practice Group, he focuses his practice on serving the technology and life sciences industries.

Michael has more than a decade of experience in corporate law, as both in-house and outside counsel. He concentrates on emerging growth and established technology and life sciences companies and the venture funds that fund them. He has extensive experience in venture capital financings, corporate partnering transactions, commercial contracts and technology licensing, mergers and acquisitions, public securities offerings, and public company reporting and counseling. As general counsel and a member of senior management for Linspire, Inc. and SIPphone, Inc., Michael oversaw the companies' legal strategies with regard to litigation, venture financing, corporate contracts and technology licensing, and intellectual property, among other matters. In addition, Michael provided guidance to other members of senior management and the companies' respective boards on business strategies, operational matters and company objectives. Duane Morris Launches Trust Company
Duane Morris is pleased to announce that it has received final approval from the Pennsylvania state banking authority to open DM Trust Company. Among the clients of DM Trust Company will be high net worth individuals who have immigrated to the U.S. from all over the world.

DM Trust Company, the latest addition to Duane Morris' existing ancillary businesses, was formed on the recommendation of Stanley Joffe, a partner in the firm's Estates and Asset Planning Practice. Stan is President and CEO of DM Trust Company; he will also maintain his role in advising high net worth individuals on international estate planning matters.

The newly formed trust company will help clients navigate through the increasingly difficult process of transferring their trust assets into domestic accounts. With the addition of DM Trust Company to its portfolio of ancillary businesses, Duane Morris can provide high net worth individuals with one-stop financial shopping, as the firm will be able to provide financing planning services, accounting advice and investment advice, and help in dealing with the myriad of trusts that make up many sophisticated estate plans.

"The time was right to create a trust company," Stan said, "in view of the fact that international estate planning through the use of foreign trusts is becoming more and more difficult, and straightforward transactions may be made more complex by the proposed federal Stop Tax Haven Abuse Act."

DM Trust Company will also offer its services to a wide array of clients who are interested in personalized institutional trust services.

Duane Morris Chairman Sheldon Bonovitz is Chairman of the Board of DM Trust. The other directors are Frank Cooper, Chair of the Estates and Asset Planning Practice Group; Fred Dreher, Of Counsel in the Corporate Practice Group; and partners Stan Barg, Nora Pomerantz and Peter Rosenberg in the Estates and Asset Planning Group. All are based in Philadelphia.

A native of South Africa, Stan focuses his practice on international tax and estate planning, as well as domestic estate planning. He has served high net worth individuals in an array of estate and tax matters, including the formation and funding of international trusts, the creation of foreign entities such as hybrid corporations and limited liability companies in foreign jurisdictions, foreign insurance trusts, and relocation to the United States in a tax-efficient manner. Peter Rosenberg practices in the areas of international tax and estate planning and U.S. estate planning and administration. Atlanta Office of Greenberg Traurig LLP Welcomes Three New Shareholders and Two Of Counsel
Greenberg Traurig LLP today announced that three new shareholders and two of counsel have joined its Atlanta office. Jennifer B. Moore, previously a partner with Alston & Bird has joined as a shareholder in the Litigation Practice. Todd D. Wozniak, formerly a partner at King & Spalding, has joined the firm as shareholder in the Labor and Employment Practice. Robert A. West, a former partner with Womble Carlyle Sandridge & Rice, PLLC, has joined as shareholder in the Global Practice. Michael H. Ward, a former principal of The Ward Law Group, LLC, and former general counsel of H.J. Russell & Company, joins as Of Counsel in the Real Estate Practice. Stephen G. Weizenecker, formerly managing partner of Weizenecker, Mottern & Fisher P.C., joins the firm as Of Counsel in the Atlanta Entertainment Practice.

Jennifer Moore has significant experience in intellectual property litigation focusing on the resolution of intellectual property disputes, including trademark, trade secret, copyright and false advertising claims. Moore also has extensive franchise/distribution experience and has worked on numerous litigation matters throughout the country representing franchisors and manufacturers in complex disputes with franchisees and distributors. At Greenberg Traurig, Moore will continue her work in these areas and will also be working closely with the national products liability team on several complex litigation matters.

Moore is a member of the State Bar of Georgia and its Intellectual Property Section, the Atlanta Bar Association and the American Bar Association and its Forum on Franchising. She is admitted to practice in Georgia. Moore serves on the editorial board of The Franchise Lawyer and is a member of the Programming Committee for the ABA Forum on Franchising. Moore has been published in several publications and has given lectures at conventions and workshops around the country. She earned a bachelor’s degree at the University of North Carolina at Chapel Hill and her law degree from the University of Georgia School of Law.

Todd Wozniak is a litigator with extensive experience defending complex business and employment matters involving ERISA, Sarbanes-Oxley, state and federal whistle-blower statutes and federal and state anti-discrimination laws. He has acted as lead defense counsel in several class and collective actions and avoided class certification in all of them.

Wozniak is a member of the State Bar of Georgia, the American Bar Association, the Atlanta Bar Association and is admitted to practice in Georgia. He is a volunteer with the Atlanta Volunteers Lawyer Foundation and the Georgia Special Olympics. Wozniak has also been published a number of times in publications such as National Business Institute and Bender’s Labor & Employment Bulletin. He earned a bachelor’s degree from Duke University in 1990 and his law degree from the University of Michigan in 1994.

Robert West has international practice leadership experience in international law, including transactions, intellectual property matters, technology transfers, corporate matters, real estate and construction and litigation. West is a member of the Advisory Council of the Georgia Tech Center for International Business Education and Research; a member of the Advisory Council of Hemisphere, Inc., the organizing committee for Georgia’s efforts to attract the Free Trade Area of the Americas (FTAA) secretariat; a member of the Inter American Bar Association; and a member of the Board of Directors of the Brazilian-American Chamber of Commerce of Georgia. He was admitted to practice by the State Bar of California in 1985, the State Bar of North Carolina in 1999, and the State Bar of Georgia in 2003.

West earned his bachelor’s and master’s degrees from the University of California at Los Angeles, where he was the recipient of a Chancellor’s Fellowship for Graduate Study; and his law degree from the University of Southern California Law Center. He is fluent in four languages, English, Portuguese, Spanish, and French.

A Certified Public Accountant, Michael Ward has more than 20 years of combined legal, tax, accounting and audit experience. He concentrates his practice in real estate and development and has experience in general corporate law, commercial and public finance, construction law, contracts and corporate and partnership taxation.

Ward formed The Ward Law Group in January 2004, where he practiced until joining Greenberg Traurig. Prior to forming The Ward Law Group, Ward served as Corporate Secretary and General Counsel of H.J. Russell & Company. He was responsible for all corporate legal matters for the company, including the negotiation and contracting for a wide range of construction and real estate development projects spanning the country. Ward is a member of the State Bar of Georgia, the Alabama State Bar, the American Bar Association, and is admitted to practice in Georgia and Alabama. He has held leadership positions with these organizations, serving as both Chairman, Corporate Counsel Section and Board Member of the Construction Law Section. Ward is a published author; he has been featured in GC South Magazine three times. Zisko earned his J.D. from the University of California, Berkeley, Boalt Hall School of Law (1978), where he received the Order of the Coif, and his B.S. from San Diego State University (1975).
