Clean Technology Survey Reveals Most Profitable Sectors, Likely Exits for Cleantech Companies
According to a recent survey of clean technology thought leaders conducted by law firm Cooley Godward Kronish LLP, emerging solar power and energy intelligence companies demonstrate the most long-term profit potential for investors. The survey, which gauged the factors that influence the advancements in cleantech, where the industry is headed, and which sectors will lead the cleantech advance, also revealed that the most likely exit strategy for a cleantech company is an acquisition by a larger energy or utility company.

Of the 75 cleantech entrepreneurs, investors and other sector-focused professionals surveyed, the majority are optimistic about the outlook for cleantech exit strategies: only 22 percent do not expect any cleantech IPO’s in the remainder of 2007, while 69 percent predict that between one and eight emerging cleantech companies will go public between now and the end of the year. However, overall, 28 percent of the respondents believe acquisition by an energy company is a more viable exit strategy for cleantech companies, versus the 10 percent who believe an IPO is more likely.

The respondents also note that they view the most promise for profits in solar (39 percent), energy intelligence or “smart grid” technology, (24 percent), biofuel (20 percent) and wind energy (15 percent).

“These are optimistic times for the entrepreneurs and investors who are at the forefront of the surge in the clean technology sector,” summarized Jim Fulton, head of Cooley’s emerging companies practice. “We are seeing confidence and excitement as a direct result of the healthy business environment and, more importantly, the demand for new clean and sustainable technologies.”

Innovation Leading the Charge
Respondents also weighed in on the key factors that are driving growth in the sector. Consumer demand, with 15 percent, was outweighed by nearly all other factors, including technology and innovation (23 percent) and oil and natural gas prices (20 percent) as the estimated top growth driver for the cleantech sector. Government mandates and incentives and federal and state policy each received 17 percent of the responses.

Future Starts Here
Nearly 65 percent of those surveyed believe the United States will continue to be the leading developer of clean technologies through 2012. Only nine percent named China and eight percent named India, as the future leader in innovation.

Investors Buy-In to Green Lifestyle
Those investing in and creating new technologies are also reducing their own carbon footprints. More than half of the respondents reported they are utilizing energy-efficient light bulbs and recycling more, and approximately 20 percent drive a hybrid vehicle. Only 4 percent have purchased carbon credits to offset their consumption.

Stephane Dupont, executive vice president of the National Venture Capital Association, said, “the agreement on behalf of those surveyed with respect to the future potential of the cleantech sectors is a welcome sign of the times and a validation that the United States will continue to lead in the development of renewables and clean technologies.”

The survey was conducted recently at a cleantech event sponsored by The Silicon Valley Association of Start Up Entrepreneurs (SVASE) at Cooley’s Palo Alto, California offices.

Steven D. Usdin Joins Cohen Seglias Pallas Greenhall & Furman PC
Steven D. Usdin has joined Cohen, Seglias, Pallas, Greenhall & Furman as Co-Chairman of the Business Practice Group in the Philadelphia office. Prior to joining Cohen Seglias, Mr. Usdin was a Shareholder in the firm of Adelman, Lavine, Gold, Schildhorn and Kleban.

Steve concentrates his practice in the areas of commercial and personal bankruptcy, general corporate and transactional matters and commercial litigation. He has appeared on behalf of Debtors, Creditors and Equity Security Holders' Committees, and Secured Creditors in a variety of proceedings at the Trial and Appellate levels in State and Federal Courts.

Steve is a graduate of the Brooklyn Law School, and he received his undergraduate degree from the University of Rochester. Prior to joining the firm, Steve worked for over twenty years in the Philadelphia region for a mid sized bankruptcy boutique firm. Prior to that he served as an Assistant District Attorney in New York City and as a Special Assistant Attorney General for New York State. Steve also served as a Law Clerk to the Chief Judge of the United States Bankruptcy Court for the Eastern District of Pennsylvania.

Former McKnight Foundation Interim President Joins Briggs
Peggy J. Birk joins Briggs and Morgan, Professional Association, as an Of Counsel attorney after her most recent high-level position as interim president for Minnesota’s largest private foundation, the McKnight Foundation.

“Peg has been a friend of the firm for many years, starting with her role as St. Paul city attorney in the late ‘90s,” says Briggs and Morgan President Alan Maclin. “We are honored to have a business woman of such accomplishment and proven leadership join Briggs as a role model and coach for other attorneys. In addition, we anticipate that Peg’s many talents, extensive general counsel experience and business network will be a significant asset for furthering our business development goals.”

Peg Birk has served in many high-level positions at the helm of complex corporate, nonprofit and government organizations, including Fortune 25, 500 and 1000 insurance companies; Minnesota’s largest private foundation; the City of St. Paul; and the Minnesota attorney general’s office. She most recently served as interim president for the McKnight Foundation, where over the course of 13 months, Birk managed an impressive reorganization, and also spearheaded the restatement of the foundation’s mission and values. Under Birk’s leadership, the McKnight Foundation approved approximately $90 million in grants in 2006.

Birk’s professional resume also includes: senior vice president and general counsel, Federated Insurance Companies; general counsel, Domestic Brokerage Group of American International Group (AIG); city attorney, City of St. Paul; and senior government affairs counsel, The St. Paul Companies. She is active on several local nonprofit boards, including the board of directors for the McKnight Foundation, Minnesota Women’s Economic Round Table and the Minnesota Early Learning Foundation. She is also on the Hamline University board of trustees, the Hubert H. Humphrey Institute of Public Affairs’ dean’s advisory council and serves as co-chair of the Center for Religious Inquiry at St. Mark’s Cathedral.

Birk graduated from the University of Houston with a B.A. in philosophy. She received her law degree from William Mitchell College of Law and served as law clerk to the Honorable Edward J. Parker of the Minnesota Court of Appeals.

Demetra Liggins Elected to Leadership Positions In Houston Bar Association, Texas Young Lawyers Association
The Texas law firm Winstead PC is pleased to announce that Demetra L. Liggins has been elected to serve as chair-elect of the Houston Bar Association’s Bankruptcy Section. She also has been elected to serve on the Texas Young Lawyers Association Board of Directors.

An attorney in Winstead's Business Restructuring/Bankruptcy practice group, Liggins counsels clients on issues involving bankruptcy, creditor’s rights, insolvency and reorganization.

“Demetra has hit a grand slam both for herself and for Winstead,” says Ross D. Margraves Jr., managing shareholder of the firm’s Houston office. “She will be a great asset to both organizations, and we are extremely proud of her accomplishments.”

WCM Wins Summary Judgment in Middlesex County, NJ Coverage Case
Counsel Denise Ricci was awarded summary judgment in a Middlesex County, NJ coverage case. In the case of Magielnicki v. Kendall Park Centers, et. al., a would be additional insured sued our client, an insurance company, seeking additional insured insurance coverage. The would be additional insured argued that by virtue of the existence of an Acord certificate that listed the would be additional insured as an additional insured under our client’s policy, our client was obligated to provide coverage.

At the close of discovery, we moved for summary judgment. We argued that the retail broker that issued the Acord certificate was not an agent of our client. As such, it lacked the authority to bind our client by the mere issuance of an Acord certificate. Consequently, since the Policy did not otherwise provide additional insured coverage, no coverage was owed to the would be additional insured.

The trial court agreed with our analysis and dismissed the lawsuit.

WCM Wins Summary Judgment in New York County Construction Accident Case
Associate Cheryl Fuchs was awarded summary judgment in a New York County, NY construction accident case. In the case of Leon v. NYCTA, et. al., the plaintiff, a construction worker, tripped over a piece of plywood that was not properly secured while descending a flight of stairs in co-defendant’s building. He suffered various injuries as a result. Our client was a temperature control subcontractor that did not perform any work involving the use of plywood.

At the close of discovery, we moved for summary judgment. We argued that, since our client did not perform work involving plywood, the plaintiff could not make out a prima facie case of negligence against it.

The trial court agreed with our analysis and dismissed the plaintiff’s lawsuit.
