Simpson Thacher Represents Underwriters in $1.3 Billion Convertible Senior Note Offering by Micron Technology, Inc. and Counterparties to Capped Call Transactions
Simpson Thacher recently represented Morgan Stanley & Co. Incorporated, Credit Suisse Securities (USA) LLC and Lehman Brothers Inc. as underwriters in a $1.3 billion public offering by Micron Technology, Inc. of 1.875% Convertible Senior Notes due 2014. The firm also represented option counterparties in related capped call transactions under which Micron purchased call options covering approximately 91 million shares of its common stock. The capped calls are exercisable at the conversion price for the Notes, however, the shares to be delivered on exercise will decrease to the extent the share price then exceeds a specified cap. The capped call options mitigate dilution to Micron shareholders upon conversion of the Notes.

Micron Technology, Inc. is one of the world's leading providers of advanced semiconductor products such as DRAM, NAND Flash memory and CMOS image sensors. The Simpson Thacher team for this transaction included Bill Hinman, Louis Lehot, Colin Hsu and Ben Backberg (Corporate), Joyce Xu (Equity Derivatives), Ivan Rothman and Marcela Robledo (IP), Katharine Moir and Diane Gipstein (tax), Richard Grimm and Bill Herochik (Executive Compensation and Employee Benefits) and David Needham (paralegal).

Sidley Austin Advises JP Morgan and ING on Indo Integrated Energy’s US$250 Million High-Yield Offering
International law firm Sidley Austin advised J.P. Morgan Securities Limited and ING Bank, London Branch, as initial purchasers in connection with the issuance by Indo Integrated Energy B.V. of its US$250 million 8.50% Senior Notes due 2012. The Notes are guaranteed by the issuer’s parent, PT Indika Inti Energi, a leading Indonesian energy conglomerate with a 46.0% equity interest in the third-largest coal mine in Indonesia. Sidley created a unique structure using customary high-yield covenants to capture the dividend stream from the minority-owned coal asset, which comprised an integral part of the credit.

The Sidley team was led by Jason T. Elder and Matthew Sheridan, partners in the corporate practice of Sidley’s Hong Kong office. The team also included Carrie Li, Constance Chou, Stanley T. Ko, Xuemei Lu, Wendy Shen and Clara Wong in Hong Kong; Irving Rotter and Guilherme Ferraira (accounts structure) and Alex Gelinas and Brandon Holder (tax) in New York; and Manoj Purush in Singapore.

DLA Piper named number one in Europe for Government Relations
Global Government Relations (GGR), the strategic communications, media and government relations arm of the international law firm DLA Piper, has been named as number one in government affairs in the Chambers Europe guide to legal services.

Chambers - seen as the "Bible" of the legal profession - describes Global Government Relations, formerly known as Upstream, and DLA Piper as pioneers in marrying regulatory and legislative law with public affairs in Europe and beyond.

One in-house counsel told the widely-circulated directory that DLA Piper was highly valued for knowledge of the legislative process on both sides of the Atlantic as well as for excellent communication skills.

Chambers adds that DLA Piper "bears the distinction of being one of the few international law firms with a significant team of dedicated public affairs professionals working alongside lawyers in London, Brussels and Washington, DC".

It adds that GGR co-chairman Lord Tim Clement-Jones in London, made a life peer in 1998, is highly acclaimed by market sources for his "legal acumen and networking know-how".

GGR managing director Suzy Awford said: "We are delighted to have been recognized as the number one in our field by such a prestigious organization as Chambers.

DLA Piper advises Bank of Scotland on its funding of the Cains Brewery reverse takeover of Honeycombe Leisure Plc
DLA Piper has advised the Bank of Scotland on its £40 million funding of a deal that will see Cains Brewery join the Alternative Investment Market ("AIM") through the completion of a reverse takeover of Honeycombe Leisure Plc ("Honeycombe").

Robert Cain & Co will be subsumed by Honeycombe in a deal that values the enlarged company at about £37 million, including debt and loan stock.

The deal is believed to be the first stock market listing by a regional brewer since Scotland's Belhaven in 1996. It is expected to that the group will now change its name to the Cains Beer Company.

Andrew Noon, a banking partner at DLA Piper's Liverpool office commented: "AIM has matured into one of the world's preferred markets to tap investors for money, but very few Liverpool companies have got in on the act. Perhaps Cains will encourage others to follow suit."

About £2.5 million will be injected into the business in the form of loan stock, while Honeycombe will raise a similar sum through a share placing, giving the company about £5 million of new funds for investment. The market capitalisation of the enlarged group will be about £7.5 million.

Halliwells advised Cains Brewery and its shareholders, the brothers Ajmail and Sudargahara Dusanj. Pinsent Mason advised Honeycombe Leisure plc.

DLA Piper advises Bank of Scotland and Royal Bank of Scotland on funding all 3 Media's acquisition of MME Moviement
DLA Piper have advised Bank of Scotland and Royal Bank of Scotland as joint lead arrangers of the €90,000,000 debt funding of All3Media's acquisition of MME Moviement.

ALL3Media and MME Moviement are global producers and distributors of traditional and new media content.

This cross-boarder transaction required close co-operation between the London and Cologne offices as MME Moviement is listed in Frankfurt. This acquisition is the follow on from Bank of Scotland and Royal Bank of Scotland's funding of the secondary buyout of All3Media Limited in September 2006. The offer was launched in March 2007 and completed in May 2007.

Adrian Low, DLA Piper's lead banking partner on the deal commented: "This was a particularly interesting transaction as it involved funding a take private transaction in Germany out of London. We are delighted to have been involved with Bank of Scotland and The Royal Bank of Scotland with whom we have acted for a number of years."

The DLA Piper team was led by banking partner, Adrian Low, and assisted by Ewen Scott in London and Mario Lindner in Germany.

Miller Canfield Attorney Stanley Stek Honored with City of Walker's "Person of the Year" Award
Stanley J. Stek, a principal in the Grand Rapids office of the law firm of Miller Canfield, was presented by Mayor Rob VerHeulen with the City of Walker’s 2007 “Person of the Year” award.

A resident of Walker, Stek was recognized for his commitment and service to the City of Walker including his work with the Citizens Advisory Committee, the Walker Police and Fire Memorial Committee, the Edison House Historical Committee, establishing a Walker Neighborhood Association, helping to establish Home Repair Services of Kent County and Jubilee Jobs, and his work with Wedgwood Christian Services.

At Miller Canfield, he practices general commercial and municipal litigation including condemnation and zoning, ERISA litigation, insurance law, personal injury and tort litigation, product liability, and family law disputes. He is a member of the American Bar Association, State Bar of Michigan, Grand Rapids Bar Association, Federal Bar Association-Western District of Michigan, International Right-of-Way Association and the Defense Research Institute. He is listed in The Best Lawyers in America, Commercial Litigation Section of the 2007 edition, as well as Michigan Super Lawyers in the General Litigation Section of the 2006 edition.

He received his law degree from Valparaiso University School of Law, and his B.A. in history and political science from Calvin College.
