Robert Axel Kasuba - Ensure Low-Cost Housing, Meadowlands Panel Is Told
Robert Axel Kasuba was interviewed for an article, appearing in the May 22, 2007 issue of The Star-Ledger, on yesterday’s New Jersey appeals court ruling dealing with the New Jersey Meadowlands Commission and low- and moderate-income housing. According to the article, “The decision could be applied beyond the Meadowlands, said Rob Kasuba, a Princeton-based attorney who has argued affordable housing issues in the Meadowlands and Pinelands. He said the ruling could affect the fledgling state Highlands Water Protection and Planning Council as it oversees development in northwestern New Jersey, and the Pinelands Commission as it manages the state's sprawling southern forest lands.” “The real statewide impact of this decision, while it only directly addressed the Meadowlands Commission, is in the Highlands and Pinelands, where there is a huge amount of acreage and a lot of pressure for development,” Kasuba said.

Robert Axel Kasuba - Sportsplex doesn't have to ensure housing
The May 22, 2007 issue of The Bergen Record contains a story about a May 21, 2007 New Jersey appellate court ruling involving affordable housing construction at the Meadowlands Xanadu project. Robert Kasuba was interviewed for this article which is titled “Sportsplex doesn't have to ensure housing.” According to the article, “The ruling also means that the Meadowlands Commission can no longer take a passive role in fair-housing issues, land-use attorney Robert Kasuba said after reading the ruling.” The article continues, “‘The court tosses that approach out the window,’ said Kasuba, who represents developer Tomu in its litigation against Carlstadt, East Rutherford and the commission. ‘It says that the commission has an 'affirmative' obligation to do something about affordable housing, and it's the first case to do it so clearly.’”

Premier Davis Honoured at Greenbelt Ceremony as an Environmental Visionary
Former Ontario Premier William Davis received the 2007 Friend of Greenbelt Award for his outstanding work as an environmental visionary determined to protect and enhance the natural heritage and rural land in the Golden Horseshoe.

In 1973, Premier Davis and the Government of Ontario adopted the Niagara Escarpment Plan, which protects the unique 725-kilometre landform stretching from Niagara Falls to the tip of the Bruce Peninsula. The Niagara Escarpment's hills, valleys, waterfalls and woodlands host a myriad of species, some of which are endangered or rare, including 1,000-year-old cedars. The escarpment, designated a World Biosphere Reserve in 1990, became a permanent part of Ontario's Greenbelt in 2005.

Pillsbury Advises Crescent Real Estate Equities Company in $6.5 Billion Sale to Morgan Stanley Real Estate`
National law firm Pillsbury Winthrop Shaw Pittman acted as counsel to Crescent Real Estate Equities Company in the negotiation of an agreement to sell Crescent to Morgan Stanley Real Estate for $6.5 billion. The transaction was announced on May 22, 2007.

Crescent (NYSE: CEI) is a real estate investment trust headquartered in Fort Worth, Texas. Through its subsidiaries and joint ventures, Crescent owns and manages a portfolio of 70 premier office buildings totaling 27 million square feet located in select markets across the United States as well as investments in resort residential developments; in destination resorts such as Fairmont Sonoma Mission Inn® in Sonoma, CA; and in Canyon Ranch®. Pillsbury acted as counsel to Crescent in its initial public offering in 1993 and has served as its corporate and securities counsel since that time.

“We have greatly valued our long association with Crescent, one of the country’s premier real estate investment trusts,” said partner Bob Robbins, head of Pillsbury’s Corporate and Securities practice, who led the Crescent team together with corporate and securities partner Bill Horton. “We are proud to have assisted Crescent in this transaction, which was unanimously supported by Crescent’s Board of Trust Managers.”

The other lawyers on Pillsbury’s Crescent team for this transaction include tax partners Bill Burke, Brian Blum, Eileen Brownell and Jim Chudy, executive compensation and benefits partners Kurt Lawson and Howard Clemons, corporate and securities partners and counsel Kimberly Mann, John McDonald and Robin Jones, litigation and securities regulatory partners Rich Rosenfeld, Alvin Dunn and David Cynamon, and associates Bob Logan, Kimberly Drake, Kimberly Miller, Jason Balitzer, and Michael Purdy, all based in Pillsbury’s Washington, DC and New York offices.

The transaction is expected to close at the end of the third quarter of 2007, subject to shareholder approval and the satisfaction of customary closing conditions for transactions of this type.

Pillsbury’s Corporate and Securities practice, which includes approximately 225 lawyers, represents clients in domestic and international securities transactions, public and private investment funds, mergers and acquisitions, business and asset dispositions, recapitalizations and other corporate and commercial transactions.

Orrick Expands Intellectual Property Practice
Orrick, Herrington & Sutcliffe LLP announced today that Steven Baik will join Orrick as a partner, resident in the firm's Silicon Valley office. Baik, formerly an intellectual property partner at Wilson Sonsini, brings a strong patent litigation practice that will complement Orrick's expanding global IP and emerging companies practices.

"The number and scope of patent litigation matters we are handling is increasing significantly, both in the U.S. and throughout the world. In order to meet our IP clients' growing needs, it is important to add talented patent litigators to our already strong patent bench," said Gary Weiss, Chair of the Intellectual Property Group and Managing Partner of the Silicon Valley office. "Steven's extensive experience in patent litigation combined with his electrical engineering background complements our existing strengths in the U.S. and Asia."

Baik's practice focuses on intellectual property litigation and counseling, and he has litigated and tried patent cases in the Northern District of California, the International Trade Commission, the Eastern District of Texas and others. His practice is both domestic and international, having litigated intellectual property disputes, and negotiated patent and intellectual property licenses, for major international corporations in Japan, Korea, Taiwan and Europe.

In addition to patent litigation and licensing, he has several years' experience in prosecuting patents and managing large patent portfolios. As in-house counsel for a major semiconductor company, he oversaw the doubling of its patent portfolio in a two-year time span.

"It is exciting to be a part of Orrick's rapidly expanding global IP practice," said Baik. "I look forward to contributing to Orrick's high quality IP litigation practice and being a part of a team-oriented entrepreneurial culture."

Baik received a J.D. from the University of California, Hastings College of the Law in 1996, an M.S. in Electrical Engineering from Stanford University in 1991, and a B.S. in Electrical Engineering from Cal Poly Pomona in 1990.

Appellate Court of Munich Rules in Favor of Prosiebensat.1 Media AG
ProSiebenSat.1 Media AG has prevailed the judicial appraisal proceedings regarding the merger of ProSieben Media AG and SAT.1 Holding GmbH to current ProSiebenSat.1 Media AG in 2000. ProSiebenSat.1 Media AG had been represented by the international law firm Milbank, Tweed, Hadley & McCloy LLP in the long-lasting appraisal proceedings. After consummation of the merger, various former preference shareholders of ProSieben Media AG applied for a review of the exchange ratio of the merger and the determination of a cash compensation by court.

By decision which was served yesterday the Appellate Court of Munich has now confirmed a previous decision in favor of ProSiebenSat.1 Media AG of the Higher Court of Munich I dated 8 September 2006. Following such decision of the Higher Court of Munich I, several of the rejected applicants had filed an appeal against it.

A further appeal against the decision of the Appellate Court of Munich dated 14 May 2007 is not permissible. Thus, the appraisal proceedings are now final.

The Milbank team representing ProSiebenSat.1 Media AG included partners Ulrike Friese-Dormann (Munich) and Norbert Rieger (Munich/Frankfurt) and associate Christoph Rothenfusser (Munich) – all Corporate Advisory/Public M&A.

Milbank recently represented ProSiebenSat.1 Media AG during its acquisition by private equity houses Kohlberg Kravis Roberts ("KKR") and Permira in late 2006 as well as in relation with its intended merger with Axel Springer AG, Germany´s largest newspaper publishing house, in 2005.
