Poyner & Spruill Attorneys Pass South Carolina Bar Exam
Poyner & Spruill LLP is pleased to announce that Arathi P. Nobles and Elizabeth W. Riley recently became licensed to practice law in South Carolina.

Arathi Nobles is an associate in the Charlotte office of Poyner & Spruill. She represents privately owned companies, newly formed businesses, partnerships, and joint ventures. MILES & STOCKBRIDGE HIRES NEW PRINCIPAL FELICIA M. HULIT
Miles & Stockbridge P.C. is pleased to announce the addition of Felicia M. Hulit to the Banking & Finance and Real Estate Transactions, Land Use & Development practice groups.

Hulit represents both lenders and borrowers in the acquisition, construction, and refinancing of multi-family housing and healthcare facilities. Ms. Hulit has represented national commercial lenders in FHA financing utilizing low income tax credits and tax-exempt bond financing. Her experience also includes closing FHA insured urban renewal projects involving mixed use financing and Hope VI funds. She has also represented a national commercial lender in one of the first FHA insured financings utilizing both historic and new market tax credits. She joins the lawyers in the Affordable Housing practice group in their work with financial institutions, government entities, nonprofit organizations and private developers to secure financing and development assistance for single and multi-family housing projects that benefit elderly and low-income individuals.

Before joining Miles & Stockbridge, P.C., Ms. Hulit was a partner in the Real Estate Department of Ballard Spahr Andrews & Ingersoll LLP and was a member of the Housing and Transactional Finance Practice Groups.

Ms. Hulit is a member of the Mortgage Bankers Association and was a team coordinator for the National Juvenile Diabetes Foundation. Ms. Hulit is a graduate of the University of Michigan (B.A., 1988) and the George Washington University School of Law (J.D., 1991). King & Spalding Advises Atlantic Capital Bank on $125 Million Capitalization
King & Spalding, a leading international law firm, announced today that it represented Atlantic Capital Bank in its $125 million formation and offering, believed to be the largest independent de novo bank formation in United States history.

Atlantic Capital Bank serves middle market companies with sales between $25 million and $250 million, emerging growth companies with sales between $5 million and $25 million, midsize real estate developers and investors, and affluent individuals and families.

King & Spalding Advises FleetCor on New $350M Credit Facility
King & Spalding, a leading international law firm, announced today that it advised FleetCor in the refinancing of its existing credit facility with a new $350 million credit facility arranged by JP Morgan Chase Bank.

The new credit facility comprises a $300 million term loan B facility and a $50 million revolving credit facility. In conjunction with the new credit facility, the company also re-priced the facilities to reflect improved ratings from both Moody's and Standard & Poor’s.

Proceeds from the refinancing will be used to replace FleetCor’s existing indebtedness, complete two acquisitions and finance a partial redemption of shares from existing shareholders, according to the company. The new expanded credit facility also provides for undrawn funds that the company can use for future acquisitions.

FleetCor, The Global Fleet Card Company, is the worldwide leader in fuel card processing. The company is privately owned by a group of institutional private equity investors, including Bain Capital, Summit Partners and Advent International.

Katten Serves as Counsel to R.J. O'Brien in Investment from Spectrum Equity Investors and Technology Crossover Ventures
Katten Muchin Rosenman LLP is pleased to have served as legal counsel to R.J. O'Brien & Associates, Inc. (RJO) in its agreeement with Spectrum Equity Investors and Technology Crossover Ventures (TCV) under which Spectrum and TCV, two leading private equity firms, will make a majority investment in R.J. O'Brien. The O'Brien family will retain a substantial minority ownership in the company. Terms of the transaction were not disclosed.

The transaction will enable R.J. O'Brien to further invest in its growth strategy and enhance its leadership position in the futures industry. R.J. O'Brien management will retain full operating authority of the company, and there will be no changes to the firm's strategy, operations, personnel or commitment to customer service.

"Our client is extremely pleased to be able to partner with these two firms," said Howard S. Lanznar, counsel to R.J. O'Brien & Associates and a partner at Katten. "This investment allows them to continue their strategic growth and invest in innovative technologies."

Upon completion of the transaction, which is expected to close before the end of the second quarter, R.J. O'Brien's Board of Directors will consist of John O'Brien, Gerry Corcoran, Colleen Mitchell and representatives from Spectrum Equity Investors and TCV.

Timothy Stratton Joins Ice Miller
Ice Miller LLP is pleased to announce that Timothy Stratton has joined the Firm as senior counsel in its municipal finance group. His practice will focus on public finance and municipal law.
