Rule 15c2-12 Doesn't Allow Electronic Links, Lawyers Say
rew Kintzinger, a partner at Hunton & Williams here, pointed out that the SEC, in its 1994 adopting release to the amendments to Rule 15c2-12 on secondary market disclosure, included a section called "Technological Considerations," that said the commission was unwilling to specify whether issuers should provide information to the NRMSIRs as "images of the original source documents" or as "coded text."

"Rather than dictate standards, the commission encourages municipal securities market participants to coordinate their requirements and preferences on an industry-wide basis," the SEC stated in that section.

"I think that indicates that this is an area for continued dialogue between industry participants and the commission about what they believe satisfies the goal of 15c2-12," Kintzinger said.

It has been almost eight years since the SEC issued its last guidance on the Internet and electronic disclosures, a time when technology has rapidly advanced, Kintzinger said, "There may very well be the need for an Internet release specifically for the municipal market," he said. "This would be good grounds for a request for an interpretative release from the commission."

Attorney Todd Leeson Elected to Two Boards
Todd Leeson, a partner with the Roanoke law firm of Gentry Locke Rakes & Moore concentrating on employment law and litigation, has recently been selected to serve on the Board of Directors of two prestigious community organizations: the Art Museum of Western Virginia and the Roanoke Valley Society for Human Resource Management.

Mr. Leeson has practiced employment law in the Roanoke Valley since 1991 and has also served in leadership positions for several regional or state-wide non-profit organizations.

Three Winstead Attorneys Named 'Houston's Top Lawyers'
H Texas Magazine recognized three attorneys from Texas law firm Winstead PC as 'Houston's Top Lawyers' in its June 2007 issue. The annual listing recognizes attorneys in the Houston area for their outstanding performance and professional reputation in the legal industry. The attorneys named were Denis Clive Braham, Greg Erwin and Frederick J. Tuthill.

An attorney with Winstead since 1989, Braham was named Winstead's new chairman and CEO at the beginning of the year. Braham's Houston clients include the Houston Texans and Rice University. He led the legal team to help Bob McNair bring the NFL back to Houston and served on Houston's Super Bowl Host Committee to win the bid to host Super Bowl XXXVIII in 2004. He also assisted Pastor Joel Osteen to acquire the Compaq Center as the new home for Lakewood Church.

Erwin has over 30 years of experience as a real estate practitioner, and has consistently been proven to be the "go to" lawyer for sophisticated real estate deals. Clients Greg has assisted include New York Stock Exchange REITs and privately held development firms as well as wealthy individuals. He is known for his ability to get deals done, while always watching out for his clients' best interests. Erwin also serves as Winstead's lateral recruiting chair.

Tuthill is a shareholder in Winstead's Corporate & Securities and Taxation, Employee Benefits & Private Business Practice Groups. With 30 years of experience, he assists private and public businesses with federal and state tax planning issues and tax controversies. In particular, Winstead clients rely on Tuthill's considerable knowledge in planning and implementing tax sensitive business structures and transactions.

To select the honorees, the publishers of H Texas Magazine asked Houston area attorneys to nominate area attorneys based on whom they would seek counsel from in a variety of legal specialty areas.

Winstead is currently located at 919 Milam Street but according to Braham, the Winstead Houston Office will relocate to the JPMorgan Chase Tower located at 600 Travis Street this fall. "We're excited about moving into this landmark building and establishing a dominant business hub for our clients," he said.

Significant ICC Arbitration Award Secured in London
Frilot Partridge lawyers Andrew S. de Klerk and T. Patrick O’Leary recently won a plaintiff’s verdict in an ICC arbitration held in London. In Indagro S.A. v. Viva Chemical Corp., Inc., the plaintiff sought an award for breach of contract, breach of fiduciary duty and conversion against the defendant for the latter’s sale of sulfur cargo in derogation of a joint venture agreement. The defendant asserted various defenses and argued that no recovery was due.

The arbitrator disagreed, finding in favor of Indagro and rendering a $678,900.91 verdict in its favor, plus costs and attorney’s fees. This verdict is further notable, given that the defendant retained London counsel, whose hourly rates were almost double that of the Frilot Partridge attorneys.

Freshfields advises on the listing debut of China's largest ladies' shoe retailer
International law firm Freshfields Bruckhaus Deringer has advised on the initial public offering (IPO) and Hong Kong Stock Exchange listing by Belle International Holdings (Belle) which listed on 23 May 2007. The retail portion of the global offering was more than 500 times over-subscribed, making Belle more popular among local Hong Kong investors than Industrial and Commercial Bank's listing last year which raised US$21.9bn. The institutional portion was also significantly over-subscribed. Total proceeds from the IPO were US$1.27 bn which included the over-allotment option being exercised in full.

Freshfields Bruckhaus Deringer acted as Hong Kong and US counsel to the underwriters, who were led by Credit Suisse Group and Morgan Stanley as joint global coordinators and joint bookrunners.

Belle has more than 3,828 outlets on the mainland along with 35 outlets in Hong Kong, Macau and the United States. It also sells sportswear from brands like Nike and has six self-owned brands. Belle will use some of the proceeds from its IPO to open more outlets throughout China in the coming year.

The Freshfields Bruckhaus Deringer team was led by Hong Kong-based partner Teresa Ko. US securities partner Tim Steinert, who worked alongside Teresa on this deal, commented " We are honoured to have been a part of this important IPO of this leading PRC retail products company."

Partners Teresa Ko and Tim Steinert were assisted by a team of associates based in Hong Kong which included corporate associates Macy Tay, Ling Tao Tao, Michelle Yip, Natalya Dingley and US securities associate Damon Yip. Partner Claude Stansbury and associate Reagen Davis provided US tax support from the firm's Washington office.

Steve Helland Named to ‘40 Under Forty’ by The Business Journal
The Minneapolis/St. Paul Business Journal selected Fredrikson & Byron shareholder, Steven Helland, as a ‘40 Under Forty’ honoree. Forty accomplished professionals in the fields of business, government and non-profits under age 40 were selected from a field of nearly 280 nominees. Steve was recognized for his achievement at an awards ceremony held May 17th at the Minneapolis Club.

Steve works with clients in the Internet, information technology, software, new media and entertainment industries. Steve is Chair of Fredrikson’s Technology group, and Co-Chair of its Entertainment and Media group. He regularly lectures on these legal topics and has been quoted or published in a variety of publications, including Wired Online, the Minneapolis Star Tribune, and Upsize magazine. Steve has been named a ‘Rising Star’ by Minnesota Law & Politics magazine.

Fredrikson & Byron is a pioneer among law firms giving associate attorneys paid credit for volunteering on governing boards and committees of non-profit community organizations. Steve helped develop and implement this program and is the founding Chair of the committee that plays matchmaker between non-profits in need of help and young attorneys looking for ways to make a difference. Flake, into a feature film. The film’s producers include Robin Hickman, niece of the great photographer and director Gordon Parks.
