Firm Represents Petro Stopping Centers in Sale to TravelCenters of America and Hospitality Properties Trust
On May 30, Willkie client Petro Stopping Centers announced that it has been acquired by TravelCenters of America LLC (TA) and Hospitality Properties Trust (HPT). Pursuant to the agreements, TA has acquired all Petro operations, including Petro’s franchise operations. HPT has acquired substantially all of the real estate assets of Petro and has leased them to TA. The combined businesses of TravelCenters of America and Petro Stopping Centers will include more than 230 locations in 41 U.S. states. Based in El Paso, TX, Petro Stopping Centers is a national travel plaza chain with 69 locations in 33 states, providing a range of amenities, such as truck fueling and maintenance, travel stores, quick-service, and casual restaurants and entertainment. The transaction was handled by partners Thomas Cerabino and Richard Reinhold, corporate associates Robert Langdon and Brett Waxman, and real estate associates Gary Litke and Matthew Kaplan.

Thompson Hine Atlanta Grows Bankruptcy Practice
Sean Gordon has joined the Atlanta office of the law firm of Thompson Hine LLP as an associate in the Bankruptcy practice group. Mr. Gordon has relocated to Atlanta from Thompson Hine's Cleveland office.

Mr. Gordon focuses his practice on commercial and creditors' rights, bankruptcy (primarily Chapter 11 reorganizations), workouts, commercial litigation, Uniform Commercial Code controversies and other commercial law cases including secured transactions. He has extensive experience in the bankruptcy arena, assisting clients in several significant matters, including representation of GEO Specialty Chemicals, Inc. in its Chapter 11 reorganization proceeding in the District of New Jersey, and representation of the Official Committee of Unsecured Creditors in the Pak-Mor Manufacturing Company bankruptcy in the Western District of Texas. An active member of the American Bankruptcy Institute, in 2003 Mr. Gordon co-authored the lead article in the ABI's Winter law review edition.

Mr. Gordon received his J.D. degree from Case Western Reserve University School of Law and his bachelor of science and bachelor of arts degrees from the University of Florida. He also received a Certificate of Japanese Studies from Kansai Gaidai University in Osaka, Japan. While completing his law degree, Mr. Gordon served as a Judicial Extern for Judge Karen Nelson Moore, U.S. Court of Appeals, Sixth Circuit; clerked for the Appellate Division of the Cuyahoga County Prosecutor’s Office; and was a legal intern at the Milton A. Kramer Law Clinic.

Peter G. Verniero - Workers' suit vs. Wal-Mart gets new life
Peter G. Verniero, a Member of the Firm, was interviewed for a June 1, 2007 article which appeared in The Star-Ledger about a lawsuit by New Jersey Wal-Mart employees against the retailer. According to the article, “The state Supreme Court yesterday certified a class-action lawsuit against Wal-Mart Stores by New Jersey employees who claim the nation’s largest retailer denied them meal and rest breaks, and forced them to work off the clock.” The article continues, “Peter Verniero, a former Supreme Court justice now in private practice, said the court’s decision could impact other potential class-action cases.” Verniero said, “This was solely a procedural decision, but a significant one. Class certification is often the issue on which a case will live or die. The court appears to have opened the door widely to class action litigation in New Jersey.”

Missouri Court of Appeals Judge Joins Shughart Thomson & Kilroy, P.C.
Judge Edwin H. Smith of the Missouri Court of Appeals, Western District, joins the law firm of Shughart Thomson & Kilroy, P.C. after more than 29 years as a judge in various jurisdictions in Missouri. When he retires from the bench on July 6, Judge Smith will join the firm as a partner and practice corporate law at the firm’s St. Joseph office.

“My entire adult life has been spent serving the people of the state as a judge,” said Judge Smith. “It has been an honor, a privilege and a joy. I want to thank the people of this state for allowing me to serve them. Throughout my nearly three decades of service, I have been blessed to serve with some of the finest judges and court personnel in the country. I want to thank them for allowing me to serve with them and to be their friend. I look forward to my new career with the very fine law firm of Shughart Thomson & Kilroy, and being an advocate for the people I have served for so long.”

Judge Smith is highly regarded in the legal community. During his 12 years on the Court of Appeals, Judge Smith, who served as the Court’s Chief Judge from July 1, 2004, to June 30, 2006, authored nearly 800 opinions. Fellow judges commend him on his exemplary career on the bench, which began at age 26, one of the youngest judges ever elected in Missouri. Judge Victor C. Howard, Chief Judge of the Court, says Judge Smith will be missed.

“He is unique among Missouri judges having served not only as a long-time appellate judge, but as a long-time circuit and associate circuit judge. He is experienced and is knowledgeable in almost every aspect of the law, making him invaluable to our court,” said Judge Howard.

Shughart Thomson & Kilroy President and CEO Jack Kilroy, Jr. says Judge Edwin Smith brings a unique perspective to the law firm and will be a great addition.


“Judge Smith will be an outstanding addition to the St. Joseph office and will bring many talents to the benefit of the clients of Shughart Thomson & Kilroy firm-wide. Still, it is unfortunate that financial considerations make it so difficult for our outstanding judges to remain on the bench. The citizens of Missouri benefit by retaining our judges, and that benefit exceeds the cost of more reasonable judicial salaries,” said Kilroy.

Managing Partner Dan Bouleware of the St. Joseph office is looking forward to bringing Judge Smith on as part of his team.

“I have known Judge Smith for years. We feel fortunate to be able to make his experience and expertise available for our clients. Everyone who knows him recognizes the energy and commitment he brings to our profession,” stated Bouleware.

Voters elected Judge Edwin Smith in 1978 as an associate circuit judge of Andrew County. Ten years later he was elected circuit judge, Division 2, 5th Judicial Circuit, and served as the Presiding Circuit Judge until his appointment by Governor Mel Carnahan to the Missouri Court of Appeals in 1995.

Judge Smith earned his A.B. in Sociology and his Juris Doctor from the University of Missouri-Columbia School of Law. He is a member of the Missouri Bar, the Kansas City Metro Bar Association, past president of the Missouri Association of Probate and Associate Circuit Judges, the American Judicature Society and past Chairman of the Board of Certified Court Reporter Examiners.

Judge Smith belongs to various civic and charitable organizations. One of his passions is coaching AAU girls’ basketball for the Herzog Starzz, an elite travel team for aspiring college players. He resides in St. Joseph with his wife, Deborah, of 29 years and his two daughters, Maddison and Jensen. He also enjoys raising Boxer show dogs, baking, landscaping, and sports

Staton to Receive AWLA Award
Georgia Staton, a partner with Jones, Skelton & Hochuli, P.L.C., has been awarded the 2007 Sarah Herring Sorin Award from the Arizona Women Lawyers Association (AWLA). Staton will be presented the award at the AWLA's Mary Anne Richey Scholarship Breakfast on June 29, 2007 at the Westin Kierland Resort in Scottsdale.

Staton has practiced law for over thirty-three years, chiefly as a trial attorney defending governmental entities in catastrophic personal injury claims; civil rights and employment matters. She is licensed to practice before the U.S. Supreme Court and all Arizona, Kansas and Illinois courts. Staton is certified before the Arizona State Bar Association as a Specialist in Personal Injury and Wrongful Death.

Dr. Martin Kock Joins Jones Day's Munich Office as Partner in M&A Practice
The international law firm Jones Day is pleased to announce that Dr. Martin Kock has joined its Munich Office as partner. Admitted to the California and German bars, Martin Kock will join the Munich transactional practice which is presently composed of 3 Partners and 10 associates.

Martin Kock has acted for one of the largest German private equity investors, Allianz Capital Partners GmbH. He also advised the corporate venture capital vehicles of Deutsche Telekom AG in connection with numerous participation agreements. Martin Kock furthermore acted for the publicly listed discount broker DAB bank AG and the publicly listed MWG Biotech AG in various M&A and corporate matters. He recently helped set up a German-Finnish biotech fund and advised other national and international companies in connection with cross-border, venture capital and private equity transactions, including in particular Matlin Patterson and Inveni Capital. Martin Kock has also regularly advised German subsidiaries of US private and publicly listed companies, including Electronic Theater Controls, Inc. and Clopay Corporation.

Martin Kock received his degree from Philipps-University Marburg (1986), and studied for one year at Boalt Hall School of Law at the University at California. He is a member of German-American Lawyers' Association and was recently recommended by Chambers and Partners as one of the 5 top German Venture Capital lawyers. (A "tough negotiator as well as a good co-operator," venture capital expert Martin Kock wins praise from both domestic and international clients. One interviewee says: "He is efficient, thorough and has a great deal of experience.")

Prior to joining Jones Day, Martin Kock worked for several years with the Munich-based law firm Beiten Burkhardt and he was one of the founding partners of McDermott Will & Emery's first German office in Munich in 2002.
