Carlton Fields Attorney, Amanda Arnold Sansone, Elected President-Elect of the YLD of the HCBA
Carlton Fields attorney Amanda Arnold Sansone was recently elected President-Elect of the Young Lawyers Division of the Hillsborough County Bar Association.

Sansone is a member of the Firm’s Business Litigation & Trade Regulation Practice Group and Health Care Practice Group. She is also a member of the Firm’s Class Action Task Force. Her practice is focused on complex commercial litigation with an emphasis on class action defense. Sansone has experience in securities litigation, hospital medical staff counseling and litigation, contractual disputes, misappropriation of trade secrets, non-competition agreements and business torts. She also has experience in giving regulatory advice to health care organizations.

Baker & McKenzie LLP Advises on Non-Profit Merger in San Francisco
Baker & McKenzie LLP is pleased to announce that it provided pro bono representation to the International Institute of the East Bay (IIEB) in connection with its merger with the International Institute of San Francisco (IISF). The transaction was completed on May 14, 2007, and the combined entity will be known as the International Institute of the Bay Area (IIBA).

IIEB and IISF have been providing non-profit services for immigrants and refugees in the Bay Area since 1919 and 1918 respectively. IIBA will combine the success of IIEB and IISF in providing specialized services to underprivileged clients, including immigration law advice, violence against women programs, aid with citizenship, youth groups and health programs.

The Baker & McKenzie pro bono team included corporate and securities associates Jon Gingrich and Steve Osborn from the San Francisco office and employment associate Jenni Field from the Palo Alto office.

"IIEB and IISF have been wonderful community organizations providing services since the early 1900s. We look forward to following the success of the International Institute of the Bay Area for many years to come," said Steve Osborn, Baker & McKenzie associate. “While non-profit organizations don’t often consider mergers, we find that services integration is a great way for non-profit organizations to best serve their clients, attract funding and meet community needs. T&K Attorney Elected Chair of Goodwill Industries of Central Texas Board of Directors
Thompson & Knight is pleased to congratulate Partner Jeffrey S. Boyd on his election as Chair of the Board of Directors of Goodwill Industries of Central Texas (GICT). Boyd has served on the GICT Board of Directors since 2001.

Boyd is a Partner in the Trial Practice Group and Co-Leader of the Government Litigation Practice Group in Thompson & Knight's Austin office. Having served as Deputy Attorney General in charge of Civil Litigation for the State of Texas from 2000-2003, he now advises and represents clients in responding to government investigations, defending against government enforcement actions, and advocating their interests in a variety of administrative and quasi-administrative proceedings. In addition to his government litigation and government affairs practices, Boyd handles a wide variety of civil commercial disputes and advises clients on litigation and pre-litigation matters.

Thacher Proffitt is #5 for Fastest Growth
In the June 2007 issue of The American Lawyer Thacher Proffitt was ranked #125 for 2006 Gross Revenue ($191,500,000), an increase of 22% from its 2005 ranking of #133.

Other Thacher Proffitt rankings, which include all firms ranked 1-200 on The American Lawyer's list of the highest-grossing firms in the U.S. are as follows:

* Profits Per Partner: #41 in 2006 Profits Per Partner (PPP) with $1,310,000, an increase of 0.4% from the 2005 ranking. This amount is higher than the average PPP of the firms on the AmLaw 100 counterparts ($1,065,000).
* Revenue Per Lawyer: #85 in 2006 Revenue Per Lawyer (RPL) of $705,000, an increase of 0.7% from the 2005 ranking.
* Value Per Lawyer: #90 in 2006 Value Per Lawyer with $300,000.

In "The Investor's Guide to the Am Law 200", an evaluation of Am Law 200 firms from 2002-2006, Thacher Proffitt ranked as follows:

* One of six firms that increased in all of the following categories: gross revenue, head count, and revenue per lawyers;
* #5 for "Fastest Growth" (adds together the percent increases of RPL, PPP, and Compensation - All Partners (CAP));
* #54 using the Blue Chip Index (adds together the ranking of each firm for RPL, PPP, and CAP, and converts scores to a 100-point index).

Simpson Thacher Represents Perry Capital in $400,000,000 Loan to Cheniere Energy, Inc.
Simpson Thacher represented an affiliate of Perry Capital L.L.C. in extending a $400 million credit facility to Cheniere Energy, Inc., which is developing a network of three liquefied natural gas receiving terminals and related natural gas pipelines along the Gulf Coast of the United States. Cheniere is pursuing related business opportunities both upstream and downstream of the terminals. Cheniere is also the founder and holds a 30% limited partner interest in a fourth LNG receiving terminal.

Proceeds of the loan will be used, among other things, to purchase outstanding shares of Cheniere common stock. The loan is secured by the equity in certain of Cheniere's subsidiaries. Another affiliate of Perry Capital is a significant beneficial owner of Cheniere's shares.

The Simpson Thacher team for this transaction included George Miller, Mark Thompson, Kristin Johnson, Bryan Tollin and Terry Sanders.

Firm Represents Belle International in its Hong Kong IPO
The Hong Kong office of the Firm represented Belle International Holdings Limited ("Belle"), the largest retailer of ladies' footwear in China, in connection with its initial public offering in Hong Kong and Rule 144A/Reg. S offering of 1,605,659,000 ordinary shares, raising approximately HK$9.96 billion (approximately US$1.30 billion). Belle's ordinary shares are listed on the Hong Kong Stock Exchange. In total, the offering attracted US$127 billion of demand, with US$57 billion from retail investors, representing an oversubscription of 516 times for the Hong Kong retail tranche, a record level of demand for any Hong Kong IPO to date. The joint bookrunners for the offering were Morgan Stanley and Credit Suisse.

The Simpson Thacher team for the transaction included Leiming Chen, Shuang Zhao and David Lee (Corporate - Hong Kong) and Rob Holo, Benjamin Applestein and Seojung Park (Tax).

Simpson Thacher Achieves Full Recovery for Canadian Fund in Chapter 11
The Firm has represented Countryside Power Income Fund, a Canadian income fund, and its subsidiaries and managers in the chapter 11 reorganization of U.S. Energy Biogas Corp. ("USEB") and its subsidiaries, which operate 23 co-generation plants in the United States. USEB, which owed Countryside approximately $90,000,000, filed for bankruptcy November 29, 2006 in the United States Bankruptcy Court for the Southern District of New York and asserted a host of "lender liability" theories against Countryside and its managers in an effort to reduce or defeat Countryside's claims. The assertions drove the price of Countryside's equity securities, which trade on the Toronto Stock Exchange, down 35%. After the initial hearing in the case, Countryside replaced its counsel with Simpson Thacher, because of the firm's significant experience in defending "lender liability" claims. When the Firm defended Countryside's position vigorously, the parties reached a settlement awarding Countryside a claim for $99,000,000, plus additional interest, accompanied by full releases of all the Firm's clients. After the settlement was announced, Countryside's securities quickly returned to the value at which they had traded prior to USEB's bankruptcy. USEB paid the final installment of Countryside's claim in full on May 31, 2007.
