Zurich to divest part of its UK annuity business to Swiss Re
Zurich Financial Services Group (Zurich) has today announced that its UK subsidiary, Zurich Assurance Limited, has signed an agreement to transfer part of its UK annuity business to Swiss Re. In future, that business will be managed by Swiss Re subsidiary Windsor Life Assurance Company Limited.

Zurich and Swiss Re have signed a reinsurance agreement which transfers the benefits and risks of the portfolio of annuities 'in payment' as of January 1, 2007 from Zurich to Swiss Re comprising approximately 220,000 policies. Zurich will transfer approximately £3.7bn in assets and approximately £3.9bn in liabilities. The parties will now work to follow up with a formal transfer.

International law firm Freshfields Bruckhaus Deringer advised Zurich on this transaction. The Freshfields team was led by corporate partner Matthew Cosans and associate Lauren Honeyben supported by finance partner Jonathan Shann.

Matthew Cosans said, 'We are pleased to support Zurich in its strategy to release capital and cash to focus on enhancing its core business of pensions, investments and protection.'

Andrew V. Petersen, Partner, K&L Gates elected onto CMSA-Europe's Board of Governors
Kirkpatrick & Lockhart Preston Gates Ellis LLP ("K&L Gates") is pleased to announce that Andrew V. Petersen, finance partner, has been elected onto the CMSA-Europe's Board of Governors with immediate effect. CMSA is an international trade association dedicated to promote the ongoing strength, liquidity and viability of commercial real estate capital market finance worldwide. Andrew, who continues to build the structured finance capabilities at K&L Gates, aims to play an active role in CMSA.

With Andrew's recent arrival to K&L Gates from Dechert LLP, we have strengthened both our London and our firmwide finance groups and our position in property-based financings in London. It is further strengthened by the recruitment, last month, of banking and securitisation associate Duncan Batty, and this week, of banking and securitisation associate James Spencer, both originally from the Dechert team. Duncan specialises in banking and structured finance matters, with particular emphasis on loan origination, including acquisition finance and synthetic CMBS transactions, and James predominantly advises on both cash flow and synthetic CDO transactions, and also acts for both lenders and borrowers on a range of banking matters.

Robinson & Cole Landlaw Lawyer Richard M. Fil was recently elected to the Executive Committee of the American Nuclear Society's Environmental Sciences Division. Richard's term will run through 2010.

The American Nuclear Society is a not-for-profit, international, scientific and educational organization. It was established by a group of individuals who recognized the need to unify the professional activities within the diverse fields of nuclear science and technology. ANS has a membership composed of approximately 10,500 engineers, scientists, administrators, and educators representing 1,600 plus corporations, educational institutions, and government agencies. Information on the relationship of nuclear power to the environment, the ecological influence of nuclear processes, and the trade-offs of nuclear technology in relation to other sciences are studied and disseminated by Environmental Sciences Division members. Through education programs, scientific meetings, and publication of findings, this division encourages awareness and stimulates interest in public, government agencies, and international organizations.

Cadwalader Recognized in MPF Global 500
The Managing Partners’ Forum has named Cadwalader, Wickersham & Taft LLP to its inaugural Global 500 list, a ranking of the world’s largest professional firms. Cadwalader placed in the 205th overall slot, ranking 54th among all law firms and 42nd for U.S. law firms.

The rankings were based on total earnings and included firms in the fields of law, accounting, management consultants, technology services, marketing services, design, and investment banking. TUCSON - Better Business Bureau recognizes Snell & Wilmer with Business Ethics Award Only law firm to receive “excellence in ethical business practices” award
he Tucson office of Snell & Wilmer was one of five southern Arizona businesses recognized for excellence in ethical business practices at the fifth annual Business Ethics Awards ceremony hosted by the Better Business Bureau of Southern Arizona on May 2. Winners were selected by a panel of judges representing a cross-section of the community and the media.

Each of this year’s nominees submitted a detailed entry addressing seven specific criteria:

• High ethical standards of behavior toward customers, suppliers, users, shareholders, employees, and communities in which they do business
• Demonstrated ethical practices surrounding their buyer/seller relationships.
• A long-standing history/reputation of ethical practices in the marketplace.
• Marketing, advertising, communications and sales practices that reflect a true representation of what is being offered in the marketplace.
• Acknowledgement of ethical marketplace practices by industry peers and in communities where they do business.
• Ethics policies that are designed to give long-term value to shareholders, customers, and others.
• Training programs that assist employees in carrying out established ethics policies

In presenting the award, which incorporates a traditional basket woven by a member of the Tohono O’odham nation, to Tucson Administrative Partner, Curt Reimann, the firm was cited as one of the first in the country to create an independent standing Ethics Committee to resolve ethical issues that arise during the course of the firm’s law practice.

“Winners and nominees don’t just submit a nomination and hope for an award,” says Tom Collier, CEO of the Better Business Bureau. “Each of them must demonstrate, through a detailed submission, how they live and breathe ethics every day – not because they have to, but because they want to.”

Fifteen Rawle & Henderson Attorneys Designated as Super Lawyers
Rawle & Henderson is pleased to announce that 15 attorneys with the Firm have been named Super Lawyers in Pennsylvania for 2007 and that Carl D. Buchholz, III was featured in the 2007 Super Lawyers magazine article The Supreme Thrill which featured lawyers who have argued cases before the United States Supreme Court.

The Super Lawyer designation is determined through surveys sent to all practicing attorneys, licensed for five years or more, asking them to nominate the best lawyers they have personally observed in action. Those peer nominations then go to a blue ribbon panel review for the final selections.

The Super Lawyers program was started 14 years ago when Law & Politics magazine published the first list of Minnesota Super Lawyers. It was intended to serve as a consumer's guide to the best attorneys in the state. As the program grew with the creation of a Washington list, the publishers decided to introduce Super Lawyers in cities around the country. Super Lawyers are selected annually in 47 states by Key Professional Media
