Foley to Offer Pro Bono Legal Representation to Disabled War Veterans
Foley & Lardner LLP is partnering with the Disabled American Veterans (DAV) to provide pro bono legal representation for injured war veterans at Walter Reed Army Medical Center, according to Steve Lambert, chair of the office's Pro Bono Committee.

The project, which includes two other law firms as well, will assist those who need help in navigating the complicated military disability evaluation and rating system. According to the DAV, investigative reports have revealed a significant number of cases where the U.S. military appears to have assigned low disability ratings to service members with serious injuries and thus avoided paying them full military disabled retirement benefits.

“I applaud the efforts of our D.C. Pro Bono Committee. We look forward to this partnership with DAV and in exploring ways to broaden it to include all of our offices nationwide,” said Ed Baxa, chair of the firm's National Pro Bono Legal Services Committee. “Clearly, no representation can be more unifying than representation of our returning wounded soldiers, who have given so much for our Nation and its values.”

This partnership was announced at a DAV – sponsored news conference on June 6 at the National Press Club in D.C.

In Steve's remarks at the press conference, he stated: “The professionals at Foley take our responsibility for pro bono and community service very seriously. We are excited to be part of this very worthwhile endeavor and will strive to provide representation of the highest quality to folks who have, by their dedication and service to our nation, sacrificed so much.”

The organizational aspects of this project will be headed by George Quillin, a partner in the Intellectual Property Department in the D.C. Office. He will be ably assisted in this work by Courtenay Brinckerhoff, Mary Calkins and Jeremy Edwards, also of the D.C. office. In addition, Dick Stoll will lead a group analyzing certain APA-related issues pertaining to the disability criteria used by the military in these situations.

Ray Carey Named President of the Detroit Metropolitan Bar Association
Detroit partner Ray Carey became president of the Detroit Metropolitan Bar Association. During his one-year term, Carey is responsible for the bar association's charitable foundation and for member services including continuing education, networking, pro bono efforts and opportunities for the association to become involved in the Detroit community.

Ray has served twice on the Detroit Bar's board, having been elected to the board five years ago and re-elected two years ago. Last year, Ray became president-elect.

Consumer Health Care Partner Joins Dorsey & Whitney Minneapolis
Global law firm Dorsey & Whitney LLP announced today that Mark Kinney has joined the firm's Minneapolis office as a partner in the Benefits and Compensation group. Kinney's practice will focus primarily on health and welfare benefit issues, with particular focus on consumer-driven health care.

Kinney, previously a partner with Lindquist & Vennum P.L.L.P., assisted Minneapolis-based Definity Health in advancing a tax argument before the United States Treasury to create health reimbursement arrangements (HRAs). Their efforts resulted in the issuance of IRS Notice 2002-45, the official IRS guidance on these arrangements. HRAs have been adopted throughout the country and have changed the delivery of health care in the United States.

Kinney has also been extensively involved with health savings accounts (HSAs) since their enactment as part of the Medicare Modernization Act of 2003. He has represented one of the country’s largest banks in the development, design and implementation of HSA products and services. In the public sector, Kinney helped to pioneer the use of funded HRAs by school districts, cities and counties. More than 30% of Minnesota public employers now make consumer-driven health care plans available to employees. The Minnesota adoption rate is the highest among these programs in any state.

More recently, Kinney has been engaged in developing health care plan designs that fuse consumer-driven health care products and services with disease management and wellness programs. He continues to represent leading innovators on the cutting edge of product development.

Kinney has been practicing employee benefits law for 14 years. He received his J.D. (cum laude) from William Mitchell College of Law. He received an M.B.A. from Claremont Graduate School, and his B.A. from St. John’s University.

Cozen O’Connor Attorney Donald N. David Serves on Entertainment M&A Panel for AMEC
Cozen O’Connor member Donald N. David recently served as a panelist for the Association of Media and Entertainment Counsel (AMEC). David participated in a panel entitled “The Merger and Acquisition Shake-Up in the Media and Entertainment Industry and Bi-Coastal Deal-Making,” which took place in New York City. Panelists discussed media industry topics, including consolidation and its impact on shareholder value, the ways vertical integration has altered the way attorneys approach negotiation and deal-making, the impact of corporate activity on traditional roles of content-creators and content-distributors, and the best deal structure to utilize when a company controls all ancillary uses of content.

Resident in the New York Midtown office, David is a member of the general litigation department with particular expertise in representing entrepreneurial clients and in meeting their particular needs. In addition, he handles foreclosures and commercial landlord-tenant matters, securities litigation, litigation over employment contracts, sexual harassment cases, age discrimination cases, and legal malpractice defense, as well as other complex commercial matters. He also has expertise in the areas of telecommunications law, both administrative and litigation, real estate law and various kinds of valuation proceedings.

David has successfully handled a wide variety of trusts and estates litigation including, within the past year, two estates in California, one valued at $800 million, and the other $60 million. He represents a large number of artists in litigation against major music companies, as well as those who have infringed upon their works. He has represented a number of those with interests in real property on issues, inter alia, involving the value of real property. These matters include matrimonial actions, right to purchase, rent re-set hearings, dissolution of closed corporations, executor surcharge proceedings, etc. He has also defended a number of racial discrimination cases.

David is a graduate of Rutgers University (B.A., cum laude, 1969) and New York University School of Law (J.D., 1972), where he was a member of the Order of the Coif. He is admitted to practice in the state of New York and before the U.S. District Courts for the Southern and Eastern Districts of New York, and the U.S. Court of Appeals for the Second and Third Circuits.

Corporate Shareholder Elliot Dater Joins Buchanan in Pittsburgh
Buchanan Ingersoll & Rooney PC announced today the addition of shareholder Elliot Dater to the firm's Corporate Finance & Technology Section in its Pittsburgh office. Dater joins the firm after spending the past five years at Morgan Lewis & Bockius LP, where he created an Israeli-related practice, handling cross-border transactions with an aggregate value of approximately $1.5 billion. Prior to that, Dater was a partner with the Israeli law firm of Fischer, Behar, Chen & Co. for nearly four years. He is also former counsel to the Government of Israel, Ministry of Defense, Mission to the United States in New York.

Tom Buchanan, co-chair of Buchanan's Corporate Finance & Technology Section, said, "Elliot's background in representing U.S. and Israeli clients in the technology, life science, defense, food and insurance industries is absolutely in line with the focus of our practice. Our clients will benefit from his experience with cross-border transactions, particularly within these industries."

Interestingly, Dater began his legal career with the firm 20 years ago as an associate in the corporate department of Klett Rooney, which merged with Buchanan last summer. He left to serve as counsel to the Government of Israel, and later moved to Tel-Aviv, where he served as general counsel to two publicly traded technology companies prior to joining Fischer, Behar, Chen & Co.

Baker & McKenzie LLP Acts for EQT on the Financing of the £390M Leveraged Buyout of the Dako Group
Baker & McKenzie LLP has acted for EQT V Limited (EQT) on the financing of its acquisition of Dako Group (Dako), a leading Denmark-based cancer diagnostics company. The acquisition financing facilities totalled DKK 4.3 billion (or approximately £390 million).

Dako is headquartered in Denmark with manufacturing and research sites in Denmark and the United States and until now was majority-owned by the family of the company founder, Niels Harboe. Its main business is the development, production and marketing of instruments and integrated system solutions for cell-based cancer diagnostics. Dako is well-known in the UK as the manufacturer of the ground-breaking cancer drug, Herceptin.

EQT, a leading private equity group with operations in Northern Europe and China, successfully manages about £10.5 billion in capital and has approximately 50 investments.

The Baker & McKenzie team that advised EQT was led by London Banking & Finance Partner, Bernard Sharp assisted by London associate, Conrad Bona.

Commenting on the transaction, Bernard Sharp said: "This is the second deal we've closed for EQT in short succession, following on from the recent Scandic Hotels transaction. This is an exciting time to be involved in the European leveraged finance market, and EQT is a leading player in that market, and a core client for our private equity practice."

Jannik Kruse Petersen, the EQT Partners director who led the financing negotiations, commented: "We have worked with the team at Baker & McKenzie for a number of years now. We were delighted with the outcome of this transaction and with the advice that Bernard and his team provided throughout, as well as the remarkably cooperative working relationship between the law firms working on the deal. Former Federal Prosecutor and Prominent White Collar Crime Defense Lawyer Joins Baker & McKenzie LLP
Baker & McKenzie LLP announced today that Robert W. Tarun joined the Investigations and Business Crimes practice of the Firm’s North American Litigation Practice Group as Partner in its San Francisco and Chicago offices. Tarun was a partner at Latham & Watkins in Chicago, and was co-head of their global white collar practice.

Tarun is an accomplished trial lawyer with more than 50 federal jury trials and 30 years experience in business litigation, corporate internal investigations and white collar criminal cases. In business litigation, Tarun has represented corporations, directors and officers in contract, fiduciary duty, negligence, common law fraud, RICO and civil antitrust claims. He has defended corporations, officers, attorneys and accountants in SEC enforcement actions alleging financial irregularities, insider trading and Foreign Corrupt Practice Act (FCPA) violations.

“We are delighted to have Bob join our Investigations and Business Crimes practice,” said Tom Doyle, chair of Baker & McKenzie LLP’s North American Litigation Practice. “Bob is a well-known and highly respected litigator, who will help our clients as they face increased criminalization of corporate conduct and a more acute emphasis on substituting compliance expense for litigation expense. His global experience, particularly with the FCPA, will be especially important as we continue to rapidly grow this practice for companies competing in a global marketplace.”

From 1976 to 1985, Tarun was a federal prosecutor in Chicago, concluding his decade of service as Executive Assistant U.S. Attorney. Since then, he has defended domestic, foreign and multinational corporations, as well as individuals facing conspiracy, mail and wire fraud, antitrust, export, health care fraud, false claims, tax evasion, FCPA and campaign finance charges across the nation. He has conducted internal corporate investigations in the U.S. and in more than 35 countries. Tarun is the co-editor of “Corporate Internal Investigations,” the leading treatise on internal investigations, published by Law Journal Press.

Tarun received his MBA from the University of Chicago in 1982, his JD from DePaul University in 1974, and his BA from Stanford University in 1971. He has been a Fellow of the American College of Trial Lawyers since 1992, is the former chair of its Federal Criminal Procedure Committee and is a member of its Board of Regents responsible for Illinois, Indiana and Wisconsin. He is a lecturer in law at the University of Chicago Law School, where he has taught business litigation and white collar criminal practice.
