Partner Russell G. Tisman is featured in the Long Island Business News’ listing of "Who's Who in Intellectual Property and Labor Law." In the article, Mr. Tisman discusses the impact of recent amendments to the Federal Rules of Civil Procedure concerning electronic discovery.

“Because so much business is being conducted by email, clients now have to preserve information that resides on servers and stand alone computers so that those materials can be produced in discovery.” Mr. Tisman noted. “The cost of preserving and producing electronic materials can be substantial for businesses that do not have sophisticated information technology. Failure to preserve and produce such materials can result in a company being foreclosed from putting on a defense to a lawsuit. “

Russell G. Tisman specializes in complex employment, labor, corporate, commercial, defense and Surrogate's Court litigation. He counsels business clients in connection with employment actions, including terminations, demotions, reassignments, reductions in force and business restructuring. He also represents business clients in administrative and court litigation involving employment discrimination, wrongful discharge, and unfair competition/restrictive covenant claims. In addition, Mr. Tisman handles traditional labor matters, including the defense of unfair labor practice claims before the National Labor Relations Board.

Cadwalader Tapped as Law Firm of the Year at the 2nd Annual EPIC Awards
Cadwalader, Wickersham & Taft LLP was named Law Firm of the Year last night at the 2nd Annual Real Estate Finance & Investment EPIC (Excellence in Property, Investment and CMBS) Awards at the New York Hotel in Times Square. The award recognizes the firm that has stood out in the real estate market Westin in e previous year. Nominees are chosen based on interviews conducted with buy- and sell-side institutions, industry submissions, and the input of the publication’s editors

Cadwalader was honored for its work in some of the most important commercial real estate deals of 2006, including advising financial institutions such as Morgan Stanley in its restructuring of Trizec, Lehman Brothers in the $950 million financing for Beacon Capital's purchase of 1211 Avenue of the Americas, JPMorgan Chase for a $1.5 billion bridge financing to Colony Realty Partners, and Wachovia and Merrill Lynch on the $4.4 billion loan to Tishman Speyer and Blackrock for Stuyvesant Town/Peter Cooper Village, as well as work on a recapitalization of the Chrysler Building in New York, a group of luxury hotels in Hawaii, and an $800 million timberland securitization.

Charles Schalliol to Focus on Private Equity, Venture Capital
Charles E. Schalliol will join Baker & Daniels LLP on June 11 after leaving his post as director of the Indiana Office of Management and Budget. Schalliol recently announced his intention to leave state government after 2½ years and return to the private sector.

Schalliol was Indiana Governor Mitch Daniels’ first appointment following the November 2004 election. During his tenure as state budget director in the Daniels administration, Schalliol led the public financing package to construct Lucas Oil Stadium and expand the Indiana Convention Center, as well as plan and implement the leasing of the Indiana Toll Road.

Prior to working in state government, Schalliol was the first president and CEO of BioCrossroads, the Indiana-based life sciences initiative, and worked at several executive-level positions at Eli Lilly and Company, principally in strategic planning, investment banking and business development.

“Baker & Daniels is well known for its leadership in the areas of life sciences, venture capital and corporate finance matters,” said Schalliol. “I look forward to working in those focus areas with the firm’s attorneys and their clients to advance the state’s economic and life sciences base.”

Schalliol will join the firm as Of Counsel. He’ll work in Baker & Daniels’ 96th Street office, where he will focus on life sciences, private equity and venture capital matters.

Schalliol holds a business degree with high distinction from Indiana University and a law degree from Yale University. He is active on several boards of directors of both for-profit and not-for-profit corporations.

Lewis and Roca Names Michael McCue Intellectual Property Practice Group Co-Chair
Lewis and Roca LLP is proud to announce that Michael J. McCue has been named co-chair for their Intellectual Property Practice Group.

R&C LandLaw Partner speaks on Zoning Reform Legislation in Massachusetts
Brian W. Blaesser, a partner in Robinson & Cole's Land Use Group, recently spoke at a Massachusetts conference of the American Council of Engineering Companies (ACEC) regarding proposed zoning enabling act reform legislation (HB 175 and SB 151). The proposed legislation - entitled the "Livable Communities and Zoning Reform Act" - would substantially change the Commonwealth's existing zoning, planning and subdivision control statutes. Mr. Blaesser presented a critique of the proposed changes from the perspective of the real estate development industry. Mr. Blaesser is the author of the book, Discretionary Land Use Controls: Avoiding Invitations to Abuse of Discretion (Thomson-West:2006).

Cozen O’Connor to Present Inaugural Trial Academy
Cozen O’Connor will present its inaugural Cozen O’Connor Trial Academy (COTA) at the University of Pennsylvania Law School June 11-15, 2007. The intensive, five-day program will bring together associates and members from the firm’s general litigation, insurance and subrogation and recovery departments, as well as nationally respected judges, law professors and legal experts. The 24 COTA participants, all associates and members of the firm, will hone their trial advocacy skills while learning from nationally respected Cozen O’Connor members such as Stephen A. Cozen, Patrick J. O’Connor, Vincent R. McGuinness and Lawrence T. Bowman; trial experts and legal professionals including Temple University Law Professor Edward Ohlbaum and Richard Glazer, member of the board of ethics for the city of Philadelphia; and current and former judges, including the Hon. Mitchell S. Goldberg, the Hon. James Gardner Colins, the Hon. Calvin S. Drayer, Jr., the Hon. Susan Peikes Gantman, Mr. Justice James J. Fitzgerald III, and Madame Justice Sandra Schultz Newman.

“Our litigation practice has been nationally recognized, and we have a duty to pass on quality trial advocacy skills to the next generation of Cozen O’Connor litigators,” said Patrick J. O’Connor, President and CEO of Cozen O’Connor. “We are proud of our distinguished courtroom reputation and look to build on it with this trial academy.”

COTA will offer intensive skills training for Cozen O’Connor trial attorneys, with 13 substantive workshops and a mock trial at the end of the program. Topics will include simulation studies and focus groups; developing a theme for the case; opening statements; direct examination; effective techniques for cross examination, impeachment and rehabilitation; the use and preparation of experts; demonstrative evidence and the use of technology in presenting the case; how Hollywood has influenced the expectations of jurors; closing arguments; strategies and the theory of the trial; and pre-trial conferences. The academy was conceived and developed by its program directors Hayes Hunt and Benjamin E. Zuckerman, both members of the firm.

Baker & McKenzie Advises PepsiAmericas and PepsiCo on Acquisition of Sandora
Baker & McKenzie announced today that it acted as legal counsel to PepsiAmericas, Inc. and PepsiCo, Inc. with respect to their joint USD542 million acquisition (plus assumed debt) of 80% of the shares of the Sandora LLC (Sandora), the leading manufacturer of branded packaged juices and juice nectars in Ukraine. This is the largest acquisition in the Ukrainian beverage market based on the value of the transaction.

Baker & McKenzie conducted due diligence of Sandora, drafting and negotiating share sale and purchase agreement and providing competition law advice. The Firm’s M&A team was supervised by James Hitch (Managing Partner) and led by Olyana Gordiyenko (associate). Antonina Yaholnyk (senior associate) and Olena Tymenko (associate) advised on competition law matters.

PepsiAmericas is the world's second-largest manufacturer, seller and distributor of PepsiCo beverages. PepsiCo is one of the world's largest food and beverage companies operating in nearly 200 countries. The global PepsiCo portfolio includes 17 brands that generate $1 billion or more each in annual retail sales. Currently, in Ukraine the company is represented by certain brands of Frito-Lay snacks and Pepsi-Cola beverages.

Commenting on this transaction, James T.
