Tober Interviewed about Doing Business in China
Gary Tober, Chair of Lane Powell’s Tax Practice Group, was recently interviewed on tax aspects of doing business in China by 9Spaces, a Web site devoted to doing business in China. 9Spaces is a business portal that aggregates strategic information on China and provides online articles, links, RSS Feeds, podcasts and insights from practicing China experts, which now include Tober.

Dave Parker, CEO and founder of 9Spaces, interviewed Tober about tax issues relevant to cross-border business with China. Tober discusses domestic and Chinese tax issues for U.S. businesses doing business in China.

Tober discusses tax compliance, liability exposure, dealing with IRS issues, income-tax treaties and corporate structure, and he speaks about the March 16 Draft Chinese Corporate Income Tax Law that will likely go into effect Jan. 1, 2008.

The interview closes with the steps companies should take once in the Chinese market, including issues such as the Value Added Tax, U.S. and Chinese tax issues around technology transfers, U.S. and Chinese transfer pricing rules and other high-compliance issues in the Chinese market.

Tober is an attorney and shareholder with Lane Powell, where he focuses on tax and business planning for U.S. and foreign corporations, partnerships and individuals.

King & Spalding Teams with DAV to Help Soldiers
King & Spalding, a leading international law firm, has partnered with the Disabled American Veterans (DAV) to provide free legal representation for combat-injured service members at Walter Reed Army Medical Center in Washington and National Naval Medical Center in Bethesda, Md., as they try to navigate the complicated military disability rating process.

King & Spalding has done substantial pro bono work on other issues, but joined DAV after complaints about problems with the military’s disability system, which determines such things as whether a service member receiving a one-time separation benefit or monthly payments for life if they must leave the military because of disabilities.

Depending on response, the effort may be expanded to military hospitals elsewhere, with lawsuits filed to force compliance with federal law, which requires that the "benefit of the doubt" be given to veterans in disability claims.

Freshfields Bruckhaus Deringer's China group appoints new managing partners
Freshfields Bruckhaus Deringer is pleased to announce that Teresa Ko has assumed the role of China Managing Partner and Chris Wong has assumed the role of Beijing Office Managing Partner. Robert Ashworth will continue in his role as head of the Asia corporate practice, and Clive Rough and Melissa Thomas will remain as managing partners of the Hong Kong and Shanghai offices respectively. Teresa and Chris' appointments are effective immediately.

Teresa Ko is a corporate partner based in our Hong Kong office. She joined the firm in 1988 and was made a partner in 1993. Teresa is also a member of the Partnership Council of the firm. She specialises in corporate finance, securities and public and private M&A work and private equity transactions. Teresa is particularly well known for advising on complex global offerings including in particular listing of Chinese enterprises.

Teresa has a first class masters degree in law from Jesus College, Cambridge, England. She is fluent in Mandarin, English and Cantonese.

Chris Wong is a partner based in our Beijing office. He joined Freshfields Bruckhaus Deringer in London in 1994 and later relocated to our Hong Kong office in January 1998 and then to Beijing in 2003. He was made partner in 2005. He specialises in domestic and cross-border public and private mergers and acquisitions, including private equity, as well as securities offerings, privatisations and securities regulatory matters. Chris works with a broad range of clients including Chinese enterprises and investment banks.

Chris graduated from King's College, University of London. He is fluent in Mandarin, English and Cantonese.

Freshfields advises HSBC on loan facilities for Red Funnel acquisition
International law firm Freshfields Bruckhaus Deringer has advised HSBC Bank plc as mandated lead arranger of the loan facilities for the acquisition of the Red Funnel ferry business by Infracapital Partners LP, an infrastructure fund of The Prudential Group. The Red Funnel ferry business operates routes between Southampton and the Isle of Wight.

The Freshfields team was led by London energy and infrastructure group partner Mark Coker, assisted by senior associate Martin Goodwin and associate Jayne Adams.

Freshfields advises 3Com on China's largest-ever leveraged financing
International law firm Freshfields Bruckhaus Deringer advised 3Com Corporation on the US$430m leveraged financing of the acquisition from an affiliate of Huawei Technologies Co., Ltd. of the remaining 49 per cent ownership in H3C Technologies Co., Limited (formerly known as Huawei-3Com Co., Limited), its PRC joint venture with Huawei Technologies Co., Ltd.

Partner Clive Rough led the Freshfields Bruckhaus Deringer team on the leveraged financing side supported by associates Eric Tan, Sarah Harris, Thomas Davies and Virginia Lam. Clive commented: 'This was a substantial and complicated transaction and is the largest leveraged financing transaction in China to date. We enjoyed working with the 3Com team and with the other transaction parties and their advisors.'
