State of Berlin sells its majority shareholding in Landesbank Berlin Holding AG
Freshfields Bruckhaus Deringer is advising the State of Berlin on the sale, announced today, of its majority shareholding in Landesbank Berlin Holding AG (the former Bankgesellschaft Berlin AG) to an acquisition vehicle of the Deutsche Sparkassen- und Giroverband öK, the German savings bank association. The purchase price is €4.622 bn. In addition, the purchaser will acquire the State's silent partnership interest at a price of €723m.

The sale is the result of an open, transparent and non-discriminatory auction process required by the EU Commission in the context of its approval of Berlin's state aid in the years 2001/2002 which rescued the then nearly insolvent bank.

Parallel to the M&A auction process, the State of Berlin had prepared a secondary public offering of its shares.
