Baker & McKenzie Act in US$1.67 Billion Ukraine IPO on London Stock Exchange
Baker & McKenzie has acted for Ferrexpo plc in its initial public offering (IPO) of shares on the London Stock Exchange (LSE). The float is the first full UK listing for a company from Ukraine and only the second issue from the CIS to achieve a main market listing on the LSE.

Ferrexpo is an iron ore giant involved in the mining, processing and sale of iron ore in the form of pellets for use in the production of steel.

Commenting on the float, Baker & McKenzie Corporate Partner Peter Magyar, said: "We are delighted to have acted on what is only the second main market listing on the LSE from the CIS. This was a classic CIS IPO in which investors seem to have tuned out political and other "noise", and focussed on the fundamental attraction of the business.''

Serhiy Chorny, Baker & McKenzie Partner in Kyiv, added: “This landmark listing on the LSE gives equity investors the opportunity to invest in one of the largest Ukrainian businesses. This transaction again proves our leadership among the law firms in Ukraine, having advised on almost half of all IPOs done from Ukraine.”

Corporate Partners Peter Magyar and Tim Sheddick led the Baker & McKenzie team that included capital market lawyers Roy Pearce, Susannah Davies and Sophie Chandauka. Advice in Kyiv was provided by Serhiy Chorny, Oksana Shovkoplyas, Svitlana Romanova and Antonina Yaholnyk. In London, Private Banking advice was provided by Ashley Crossley, tax advice by Geoffrey Kay and Alastair Slater, employment advice by Andrew Sutton and employee benefits advice by Jeremy Edwards and Alasdair Friend. Banking advice was provided by Gabrielle White. Richard Gassmann, Frano Koslar and Christine Horn provided advice in Zurich.

Linklaters acted for JP Morgan Cazenove and Deutsche Bank as joint bookrunners.

Baker & McKenzie LLP Makes Up Five New Partners
Baker & McKenzie has announced the election of five new partners in the London office. The new partners are Edward Bibko (Corporate), Rebecca Ford (Finance), Karen Guch (Corporate), Steve Holmes (IT and Communications) and Anthony Poulton (Dispute Resolution). The appointments are effective from 1 July, when the total number of London partners will rise to 84.

Gary Senior, Managing Partner of the London office, said: "We are pleased to announce the appointment of our five new London partners. All five individuals have demonstrated exceptional commitment to our clients and to our Firm."

Edward Bibko will be a partner in the Capital Markets Group within the Corporate Department. He advises issuers and underwriters on international equity and debt securities offerings, including Rule 144A/Regulation S offerings, SEC-registered offerings and high yield debt offerings. Edward's practice primarily involves issuers in Central and Eastern Europe, Central Asia and the Middle East.

Rebecca Ford will be a partner in the Structured Capital Markets Group within the Banking & Finance Department. She has experience in a wide range of international debt securities transactions, particularly securitisation and structured finance. Rebecca has acted for arranging banks and originators in both commercial paper conduit and term issue securities, for a major rating agency in their review of European CMBS transactions for rating purposes, and for trustees on term deals.

Karen Guch will be a partner in the Private Equity Group within the Corporate Department. She specialises in leveraged buyouts, investments, acquisitions and disposals, both UK and cross border, and regularly acts for a number of key private equity houses across Europe.

Steve Holmes will be a partner in the IT and Communications Department. He has a broad non-contentious TMT practice, which includes advising on complex IT and outsourcing transactions and providing commercial advice to clients in the technology, telecommunications and media sectors on matters such as the distribution of content using new technology, music, sponsorship, publishing and sports rights. Steve's recent experience includes advising mobile operators in relation to mobile TV, content and technology procurement, sponsorship and roaming arrangements.

Anthony Poulton will be a partner in the Dispute Resolution Department. He specialises in trust and private banking litigation and has substantial experience in cross border trust related disputes, often involving fraud and asset tracing. He acts regularly for trustees, beneficiaries and interested third parties such as creditors. Anthony also has an active Privy Council practice, handling appeals on behalf of law firms, government agencies and companies based in a large number of overseas jurisdictions.

Ambassador Charlene Barshefsky Receives a Lifetime Achievement Award for her Outstanding Contribution to the Legal Profession
WilmerHale Partner Ambassador Charlene Barshefsky was presented with a Lifetime Achievement award at the Chambers USA Awards for Excellence ceremony the evening of June 14 in New York. The award recognized Charlene for her success as a central figure for international business and international economic trade issues and for serving as a model of technical skill and personal integrity for the profession.

More than 500 people from the legal community honored Ambassador Barshefsky for her outstanding contributions to the legal profession at the annual event held by legal publisher Chambers & Partners. Fiona Boxall, Chambers & Partners managing editor, made the following remarks about Ambassador Barshefsky:


"The first recipient of our award for Outstanding Contribution to the Legal Profession tonight is a star of international trade. As the United States Trade Representative, our recipient was responsible for the negotiation of hundreds of complex market access, regulatory and investment agreements with virtually every major country in the world. She is internationally renowned as the architect and chief negotiator of China’s historic WTO Agreement and is considered one of the most influential women lawyers in America.”


It was also this month that Ambassador Barshefsky was also awarded by The National Law Journal as one of "The 50 Most Influential Women Lawyers in America." She was noted for her achievement as “architect and chief negotiator of the deal that brought China into the World Trade Organization,” as well as her instrumental work in stabilizing US-Vietnam relations through trade. Ambassador Barshefsky is considered a “a legend in international business deals and trade agreement negotiations,” having negotiated trade and investment agreements across the globe in sectors as diverse as financial services, telecommunications, manufacturing and agriculture. Her legal career spans international litigation, commercial negotiations, and investment, market access and regulatory advice, as well as dispute resolution.

Vinson & Elkins Ranked Among the Best by Chambers USA
Vinson & Elkins was ranked among the best law firms in the nation in 37 practice areas and within Texas had the most top rankings of any other firm listed in the 2007 Chambers USA: America’s Leading Lawyers for Business guide. Thompson Hine Expands Bankruptcy Practice
Martin Eisenberg has joined the law firm of Thompson Hine LLP as a partner in the New York office. Mr. Eisenberg is a member of the firm’s Bankruptcy and Business Litigation practice groups. He focuses his practice on debtors’ and creditors’ rights, distressed debt and commercial and bankruptcy litigation.

On joining Thompson Hine, Mr. Eisenberg stated, “I was drawn to the firm because of its reputation as a premier business law firm with superior client service. I look forward to growing my practice with Thompson Hine.”

Mr. Eisenberg routinely represents financial institutions, investment banking firms, mutual funds, private equity and hedge funds and large corporations in a broad range of disputed and transactional commercial matters including distressed asset and high yield transactions and the purchase and sale of syndicated bank debt and bankruptcy claims. He also has extensive commercial and bankruptcy litigation experience in state, federal and bankruptcy courts.
