Del Smith Moderates Session at International Satellite Conference
Jones Day Senior Telecommunications Counsel Del Smith moderated a session on "Mobile Content Goes Commercial for Entertainment and Business" at the 6th Annual ISCe International Conference and Expo in San Diego, June 5-7.

Representatives from Thales Alenia Space, Tandberg Television, Entrique Corp., Qualcomm | MediaFLO Technologies, and Envivio Inc., participated in the lively discussion on key future trends. Securing content to mobile devices is a major concern to top-level executives trying to capitalize in the very promising mobile content field. Hardware issues, software compatibility, marketing campaigns, legal hurdles, regulatory questions, and service models were a few of the key issues.

The program featured commercial, government, and military experts who addressed the top vertical markets that are driving businesses: the thriving commercial market, which featured hybrid solutions for satellite concerns, cable TV companies, telecoms, and new media users of telecom services, and the critically important government/military sector.

Jones Day London Awarded "Best Recruiter" by LawCareers.net
Jones Day was presented with the award for Best Recruiter - Medium City Firm at the Law Careers.Net Training & Recruitment Awards on the 6th June 2007. These awards honour the best trainers and recruiters in the industry.

Detailed feedback from nearly 3000 trainees and newly qualified solicitors was gathered with participants invited to complete an online survey assessing their own experiences. As LawCareers.Net publisher Matthew Broadbent stated, "Winners can luxuriate in the knowledge that they have gained the ultimate accolade in their field."

Jones Day had also been nominated for Best Work Placement Scheme - City Firm.

USPTO Begins Peer-Reviewed Patent Application Pilot Program
The United States Patent and Trademark Office (“USPTO”) began an experimental, pre-grant, patent review program called the Community Patent Review Pilot (“CPRP”) developed in conjunction with New York Law School. As part of its 2007-2012 Strategic Plan to improve patent quality, the USPTO will use the pilot to evaluate the effectiveness of an Internet-based collaborative analysis of prior art by members of the public. Patent applicants can participate by submitting up to fifteen patent applications to the program. The public can participate by reviewing or challenging a patent application submitted for peer review. Please see here and below for more information on this program.

Anthony F. Vitiello Featured in NJBIZ
Anthony F. Vitiello authored an article, “Can You be a Beneficiary of Your Own Trust?” which is featured in the June 4, 2007 issue of NJBIZ. In the article, Mr. Vitiello explains how a self-settled trust can work under the right circumstances.

Mr. Vitiello discusses how nine states have changed their trust laws to allow individuals to create a trust and be a “discretionary” beneficiary of such a trust. However, Mr. Vitiello goes on to say that given the risks associated with self-settled trusts, they should not be used as the first choice in estate planning, but as a last resort.

Molson Coors in $575 Million Convertible Debt Offering
Cleary Gottlieb represented the underwriters, led by Deutsche Bank Securities Inc. and Citigroup Global Markets Inc., in a $575 million registered public offering by Molson Coors Brewing Company of 2.50% convertible senior notes due 2013. In the offering, which closed June 15 (including full exercise of the related over-allotment option), Molson Coors entered into convertible note hedge and warrant transactions that have the effect to Molson Coors of reducing the potential dilution from conversion of the notes.

Molson Coors used a portion of the net proceeds from the offering as partial funding for a tender offer by its Coors Brewing Company subsidiary for the purchase of up to $625 million (increased from the initially announced amount of $450 million) of its outstanding 6 ?% Senior Notes due 2012. Cleary Gottlieb also represented J.P. Morgan Securities Inc. as dealer manager in that offer.

Molson Coors is one of the largest brewers in the world, by volume. Its beer products, including Molson Canadian, Coors Light, and other top-selling brands, are brewed and distributed throughout the U.S., Canada and Europe.

German Savings Bank Association in Landesbank Berlin Acquisition; Landmark Deal for German Financial Sector
Cleary Gottlieb represented Deutscher Sparkassen- und Giroverband ö.K. (the German Savings Banks Association widely known as DSGV) in its acquisition of the State of Berlin’s 81% share in Landesbank Berlin Holding AG and NORD/LB’s 10% Landesbank stake. Cleary Gottlieb also represented DSGV in the acquisition financing, which came from a consortium of WestLB, NORD/LB and Sachsen LB.

The deal was signed on June 15, and is awaiting the approval of Berlin’s Parliament and clearance by regulatory authorities.

The fiercely contested acquisition (which at one point involved some 19 bidders, including both private equity buyers such as Cerberus, Lonestar and JC Flowers, and banks like Commerzbank, HVB/Unicredit and German Landesbanken) was headline news in Germany, and is one of the largest domestic deals on record in the German finance sector.

Landesbank Berlin, previously known as Bankgesellschaft Berlin, nearly collapsed in 2001, when a revaluation of its real estate-related liabilities wiped out its capital. The European Commission had approved a € 23 billion bailout by the State of Berlin, on the condition that it divest its stake by the end of 2007. The Commission monitored the auction process closely to ensure that it was open, transparent and non-discriminatory.

DSGV indirectly represents more than 400 German savings banks, one of the largest groups of financial institutions of the world. These banks serve almost 50 million customers in Germany, among them 1.9 million customers in Berlin.
