Telecommunications Team Joins Sheppard Mullin D.C.
Christopher S. Huther and Megan H. Troy have joined the Washington, D.C. office of Sheppard Mullin Richter & Hampton LLP as partners in the firm's Business Trial practice group. Huther and Troy most recently practiced with Kirkpatrick & Lockhart Preston Gates Ellis in Washington, D.C.

Huther and Troy advise and represent domestic and international telecommunications companies in litigation and other matters involving local telephone competition and policy, pole attachment disputes, inter-carrier compensation, interconnection and universal service. They have counseled clients with respect to compliance with state and federal regulations, the development of regulatory and policy strategies, the negotiation and drafting of interconnection and service agreements, legislative and regulatory developments in the telecommunications industry, and have substantial experience in the development, defense and critique of cost models and rate-making methodologies. They represent clients before federal and state courts, the Federal Communications Commission, state regulatory commissions, and Congress.

"The arrival of Chris and Megan marks another significant step in broadening the firm's litigation expertise," said Robert Beall, chair of the firm's Business Trial practice group. "Their telecom and FCC background will complement the firm's telecom expertise, as well as our FCC regulatory practice based in D.C."

Earlier this year, Don Pelto joined Sheppard Mullin's Washington, D.C. office, also from Kirkpatrick & Lockhart Preston Gates Ellis in Washington, D.C. Pelto joined the firm, with a team of IP specialists from his prior firm, as a partner in the Intellectual Property practice group.

Huther earned a J.D. from Georgetown University Law Center in 1992 and a B.S., cum laude, from Radford University in 1988. Troy earned a J.D., cum laude, from Georgetown University Law Center in 1997 and a B.A., magna cum laude, from University of California, Los Angeles in 1993.

Cathy Fleming to Be Honored by National Organization of Women; Ms. Fleming, Attorney and Champion for the Advancement of Women in the Legal Profession
Ms. Fleming is president of the National Association of Women Lawyers (NAWL). Her career has been marked by extraordinary courtroom advocacy for her clients as well as public advocacy for women both in and out of the legal profession. As the current president of NAWL, she leads the longest continuing women’s bar association in the United States. The association is nationally renowned for its long record of achievement on issues that affect the interests of women in and under the law. Under her leadership, NAWL has expanded its reach. During her tenure, NAWL initiated a student mentoring program and has launched the “Ready to On Ramp,” an innovative tool for women to re-enter the profession after a hiatus.

Ms. Fleming said, “I am privileged to receive this honor from NOW, an organization which has been leading the fight for women’s rights for many years. As a woman who is passionate about both practicing law and advancing women, I am honored that NOW has chosen me for a 2007 Women of Power & Influence Award. I accept it as a representative not only of my law firm, Nixon Peabody, but also on behalf of the National Association of Women Lawyers.”

Ms. Fleming is nationally known for her practice in complex civil and corporate integrity matters. She has extensive experience in trials and counseling individuals and corporations on matters involving commercial, securities, employment, antitrust, and issues related to corporate integrity. Ms. Fleming has tried more than fifty cases to resolution, primarily in federal courts, in numerous jurisdictions across the country. She also regularly represents corporations and financial institutions in arbitrations, mediations, and litigation involving millions of dollars.

Ms. Fleming has also appeared as a commentator for Court TV and other media outlets. In 1987, she received the Department of Justice’s prestigious Special Commendation Award. She has been named a Super Lawyer, among other legal honors. Ms. Fleming was graduated from Mount Holyoke College with a B.A.. She earned a J.D. from Columbia University School of Law.

She has also served on the New Jersey Supreme Court’s Ethics Committee and currently serves as a trustee for the Historical Society of the United States District Court for the District of New Jersey.

Neil Robinson Named to Clemson Foundation Board
Neil C. Robinson, Jr., a Member (partner) in Nexsen Pruet’s Charleston office, has been elected to the Board of Trustees of the Clemson University Foundation.

Robinson’s election comes on the heels of two other appointments he has accepted at Clemson. University President Jim Barker recently named him to the Board of Visitors, and he has agreed to serve as a founding trustee of the new Clemson Real Estate Development Foundation.

Robinson, who earned his undergraduate degree from Clemson, concentrates his practice in areas that include complex real estate transactions; administrative law, including permitting, zoning, and Development Agreements; and commercial, resort and planned community real estate development.

He was recently named to the 2007 edition of Best Lawyers in America for real estate, was ranked in Chambers USA as one of the best lawyers in South Carolina for real estate law, and was one of just three attorneys in South Carolina listed in Who’s Who Legal: USA – Real Estate 2006.

Additionally, he is Founder and past President of the Charleston Education Network; past President of the Clemson Advancement Foundation; President of the Coastal Properties Institute; immediate past President of the Hibernian Society; former President of the South Carolina Tourism Council; and a member of the Urban Land Institute’s Recreation Development Council. He currently serves as a member of the S.C. Education Oversight Committee and President of the Southeastern Wildlife Exposition (SEWE).

The Clemson University Foundation raises, manages, and invests private gifts on behalf of the school, while the Board of Visitors works to support the university’s mission, serves as statewide ambassadors for Clemson, and assists the administration with special projects.

The Real Estate Development Foundation will support Clemson’s graduate program in real estate development, one of just seven such programs in America.

Milbank Partner Allan Marks to Address P3 Americas Conference on Infrastructure Investment Opportunities for Equity Funds
Allan T. Marks, partner in the global project finance department of the international law firm Milbank, Tweed, Hadley & McCloy LLP, will speak at the P3 Americas “US P3 INFRASTRUCTURE FINANCE FORUM 2007” to be held June 21 – 22, 2007 in New York City. Mr. Marks will be chairing a panel focusing on strategies for equity funds seeking to invest in infrastructure assets. The panelists will include senior executives from Goldman Sachs, Carlyle, Babcock & Brown, Macquarie and Morgan Stanley.

P3 Americas annual conference will focus on critical issues impacting infrastructure development, including political, environmental and financing challenges. Case studies, such as toll roads in Texas and Florida, will be used to examine these issues. “P3” or “PPP” are acronyms for public-private partnerships, a mechanism in which an infrastructure asset (e.g. toll road, airport) or government service is funded and operated through a collaboration between government and one or more private sector companies. Widely used in Europe, this innovative financing structure allows public agencies to build critical infrastructure projects sooner while shifting risks onto the private sector.

Based in Milbank’s Los Angeles office, Mr. Marks represents developers, investors, lenders and underwriters in the development of complex infrastructure projects worldwide, with special expertise in the transportation, energy and telecommunications sectors. Mr. Marks has been particularly active in toll road financings, and has worked on a number of noteworthy deals, including the first PPP done in the United States – the $773 million public-private co-financing of the SR 125 South toll road project in California (2003); the dual currency, dual tranche senior secured bond financing of the Autopista Central toll road in Santiago, Chile (2003); the US$200 million bond financing of the Monterrey-Cadereyta toll road in Mexico (2004); and the refinancing of the Chicago Skyway (2005). Most recently Mr. Marks completed the $603 million acquisition financing of the Pocahontas Parkway toll road in Virginia, which was named “Project Finance Deal of the Year (Americas)” by International Financial Law Review. He is currently working on several toll road projects in Texas, Florida, Canada and Latin America.

The P3 Americas two-day conference will feature presentations by leading infrastructure executives from development companies and government agencies to investors and financiers. Individual and panel discussions will cover a range of complex issues, such as “Overcoming political hurdles to match private capital with the US’s transportation funding deficit”; “The evolution of the US P3 greenfield and asset acquisition infrastructure market”; “How will equity funds actually be invested in infrastructure assets?”; “How will mega US infrastructure transactions be funded as the debt market becomes increasingly mature?”; and “The role of private activity bonds in P3 projects”.

P3 Americas and its sister site Infra-News are owned by Inframation Ltd., a privately owned financial media group based both in London and New York. P3Americas provides specialist news and research for the Americas P3/PPP infrastructure finance markets, covering the US, Canada and Latin America.

Denise Trujillo Joins McKenna Long & Aldridge's D.C. Office
The Washington, D.C. office of McKenna Long & Aldridge LLP is pleased to welcome Denise Trujillo as a corporate partner in its Employee Benefits and Executive Compensation Group. Before joining the firm, Trujillo was an executive director and chief counsel at the National Rural Electric Cooperative Association (NRECA), a national trade organization that represents more than 900 cooperative members throughout the U.S. Her practice focuses on day-to-day client counseling related to plan operation and regulatory compliance for defined contribution and defined benefit retirement plans, executive and equity compensation programs, and health and welfare plans. She also counsels clients on compensation and benefit plan matters that result from corporate transactions, including mergers and acquisitions and reduction-in-force initiatives.

“Denise brings with her an in-house perspective that provides an added dimension to our group,” said Thomas Wardell, chair of McKenna Long & Aldridge’s corporate department. "Her experience is the right match for our practice, and we are excited to have her join us. The combination of talent and the more than 20 years of experience that she brings will immediately compliment a number of existing firm projects."

While at NRECA, Trujillo held various positions, including serving as the vice president and general counsel to its mutual fund, and chief counsel with respect to its retirement plans and compliance departments. She provided counsel on a variety of benefit plans, including non-qualified deferred compensation plans for taxable and tax-exempt entities. Trujillo worked at the Internal Revenue Service (IRS) at the beginning of her career.

Trujillo has extensive experience in representing clients before the IRS, Department of Labor, and Pension Benefit Guaranty Corporation. She has also counseled clients with respect to their institutional IRAs, VEBAs, and company-sponsored Cafeteria (Section 125) Plans.

Trujillo received her LL.M. in Taxation from Temple University School of Law (1985), her J.D. from Temple University School of Law (1984), and her B.A. from Haverford College (1980). She is admitted to practice in the District of Columbia and is a member of the American Bar Association and D.C. Bar Association.

Mayer, Brown, Rowe & Maw advises Entertainment One Ltd on the Acquisition of Contender Entertainment Group and Placing
Mayer, Brown, Rowe & Maw LLP's London corporate group has advised Entertainment One on its acquisition of the Contender Entertainment Group. The deal is for a total consideration of £49.4 million, payable by the issue of approximately 7.4 million ordinary shares in Entertainment One Limited and £42 million in cash raised through an institutional placing with Collins Stewart and a UK credit facility with Barclays.

Over the last 25 years, Entertainment One has become a leading distributor of home entertainment products in North America, including DVDs, CDs and video games. Entertainment One was admitted to trading on the AIM market on 29 March 2007. Its subsidiary Koch Entertainment is the largest independent record label and a leading distributor of home entertainment products in the United States.

Contender Entertainment Group is the leading independent distributor of content on DVD in the UK. Its core business includes the acquisition of DVD distribution rights for third party producers. Its titles include Life on Mars, Will & Grace, Spooks and Cutting it.

Mayer, Brown, Rowe & Maw represented Marwyn Investment Management LLP on its acquisition and listing of Entertainment One in March. The deal was structured as a private-equity buy-out, using an AIM vehicle by way of an accelerated IPO.

The Mayer, Brown, Rowe & Maw team was led by corporate partners Robert Hamill and Lauri-Lynn Pursall and assisted by tax partners Andrew Stanger and James Hill and corporate assistants Julie Fowler, Elaine Thornton and Sam Webster.

Davenport Lyons represented Contender Entertainment Group led by corporate partner Jeanette Gregson and assistants Paul Toolan and Natalie Wright.
